DEED OF SALE

KNOW ALL MEN BY THESE PRESENTS:

I, NOEL P. TABLIGAN, Filipino, of legal age, single and resident of

Dueñas, Iloilo, Philippines, am the absolute and registered owner of a certain
motor vehicle described as follows:

That for and in consideration of the sum of Forty Five Thousand Pesos
(P45, 000.00) Pesos, Philippine Currency, receipt of which is hereby
acknowledged to my entire satisfaction from ________________________,
Filipino, of legal age, and resident of ____________________, do hereby sell,
transfer, and convey unto the said buyer ______________________
(hereinafter referred to as Buyer), his heirs and assigns, the above
described motor vehicle which I am the actual owner thereof;

That the Seller warrants in favor of the said buyer to defend the title of
said motor vehicle herein conveyed against all just claims of all persons and
entities and that I also guarantee the right of said buyer to possess the motor
vehicle subject of this deed.
