Partnership Agreement

Scope
This MOU applies to the development of Leadership session development between the parties
This agreement applies to the current agreement only. Anyprevious MOUs are superseded by this MOU.
The Parties will not entertain any third parties in the agreement period, without prior intimations

Legislation and regulations:


Identify and incorporate the relevant legislation, regulations, standards and codes that the agreement should
comply with.

Article 01: The name of the partnership will be the Leadership Coalition. The partnership is organized to
promote leadership in the country. The Partner (01 is ) a premier consultant to provide, mentoring, coaching
and other leadership business, whereas the Partner (02) is a registered training organization, who will
extend its services to the company.

Article 02: The agreement's Time frame will be for 03 years effective from 01 Jan 2020 and will end on 31
Dec 2020. If both Partners agrees, then this partnership will end before the maturity period.

Article 03: The Partner will be considered as an active partner, and he will extend his services actively and
cannot sublease the partnership. Otherwise, it is agreed by the partners.

Article 04: The Partner 01 ( Grow Management Consultant) will share the modules, finances and technical
support to the Partner 02 ( RTO). The RTO will share their expertise, space and technology for the same.
The RTO will take public relation and communication care.

Article 05: Partner 02 will share the business expenses, out of the Grow Management consultants' funds.
Article 06: Book and Records: The partners shall maintain books of accounts and be subject to audit. The
RTO will maintain all receipts, payments and transactions and it should be maintained till 03 years of the
project execution,

Article 07: The fiscal year of the project will be ………………………….. to ………………………….. The
general accounting shall be made and taken by the partners on all the transactions. Every accounting

process will be verified monthly by the accounting department of both the organization. If any errors will
found in the document, the company will rectify the same.

Article 08: Profit and loss: The Profits and losses will be distributed as per the partnership agreement.
Suppose the company will make profits. it will share its 30% of profit to the partner organization for the fiscal
year. Distribution of profit will be held on each December.

Article 09:Advance: Each Partner have the right to draw an advance up to …………………, but proper
records will be maintained for the same.

Article 10: Salary – No Partner shall receive any salary, whereas the consultant and other staffs will receive
the salary as per agreement.

Article 11: Employee Management: No Partner shall hire or dismiss any persons from employment without
the other partners' consent. In case of any gross misconduct, the Partner will inform other partners and
dismiss him fro the duty, except in cases of gross misconduct or violation of any law.

Article 12: Additional contribution: In case of requirement, the partners can spend up to $ 1000 to meet the
expenditure, which will be adjusted in the funding flow of the Grow Management Consultant.

Goals and objectives

This Partnership agreement made with the statement on the boundaries that, both the organization will work
to
 achieve the common goals of both the organizations in business expansion in the leadership
industry.
 Partners will enter into formal ventures for their business activities as outlined in the document.
 The operations, support will be mutually agreed with each other
Both the parties carefully agreed on this parameter and there will be no contradiction on the agreed areas

Outline the known and intended roles and responsibilities during the set-up stage of the partnership.

About the Partnership Program

Grow Management Consultant is seeking partnerships with the reputed organization to build leadership in
this region and beyond. With training implementing the programs will be upscaled in the country. In this
program, the Partner will help the organization in designing and implementing the program.Grow
Management Consultant has appointed King Edward II college as its partner. King Edward II college will
spare its space, integrate courses, and impart training to its students. In this partnership, both organizations
will share their resources for mutual benefit of each other.

Meetings
The Partners will meet on a quarterly basis to review the meeting.
The senior consultants will document the meeting outcomes and report the matter.
The Management committee will sit on a half yearly basis and review the program and financial and
technical component.

Reporting
Recommend the partnership’s reporting standards.

Reporting’s will be done as per the agreement . A Monthly reporting techniques will be agreed between both
the partners.

Confidentiality
 For purposes of this Agreement, "Confidential Information" shall include all information or material that
has or could have commercial value or other utility in the business in which Disclosing Party is engaged. If
Confidential Information is in written form, the Disclosing Party shall label or stamp the materials with the
word "Confidential" or some similar warning. If Confidential Information is transmitted orally, the
Disclosing Party shall promptly provide a writing indicating that such oral communication constituted
Confidential Information.

Dispute resolution

Both the organization will follow dispute resolution process


 For general disputes, / operational difficulty, both parties senior line manager sits and discuss
together and resolve the issue.

 If dispute cannot resolve through open discussion, the parties may issue a dispute notice to other
party and specify, about the dispute, its nature. Within 10 days of receiving notice, the parties will be
resolved at their operational level.

 If the issues will not be resolved at senior manager level, the line manager will forward the same to
Managing directors.

 Decision of dispute, will be communicated to both parties.

Variations: how to change the MoU.

If required, the Mou may change in consent with both the parties. Supplementary guidance material and
documents may be formulated to facilitate achievement of the objectives of the Agreement. Any major
revision in the objectives or scope of the Agreement outlined herein, which either party may consider
desirable or necessary in the future, will be the subject of supplementary agreements. This Agreement can
be updated with amended terms and conditions as agreed in writing by each of the parties

Evaluation

The Agreement will be evaluated on a yearly basis on the indicators, that they were agreed between the
partners.
