Warranty: 18 months from Delivery/12 months from commissioning, which ever come first.

Following is not included in ABB Scope of Supply:

a) Any civil works

b) No Site service including site visits, Replacement works, integration, interface
Engineering, studies, installation etc.
c) Any type of Spares/tools
e) Cables/ erection accessories and consumables
f) Any Item unless explicitly mentioned in Price Schedule/Offer

ABB SPECIAL CONDITIONS
SALE OF PRODUCTS AND/OR SERVICES

This Quotation is firm and superceeds all quotations submitted for the subject material till today. This Quotation is
based upon following documents:

a) ABB Special Conditions

b) ABB General Terms & Conditions for sale of products and services 2019
c) ORGALIME S 2000

In the event of any discrepancy or inconsistency within the Contract documents, then the documents shall prevail in
the order listed above.

General:

The products are delivered in standard seaworthy packing. ABB is continuously working to improve the
product range. If there is a change in the specified product after the time of the offer or an order, ABB will
have the right to supply the newer model, provided that it complies with the technical specifications for the
product concerned contained in the offer or order.

GTC 3. Contract Price and Payment:

GTC 3.2 This Quotation is based on prevailing legislation, rates of taxes and duties etc. However, our Quotation is
exclusive of GST value. GST shall be charge as per actual, the impact of legislation change, addition of
tax(s) and change of rate will be paid by Purchaser.

GTC 3.3 100% payment as advance.

GTC 4. Delivery, Risk, Title and Performance of the Services

GTC 4.1 Delivery of Products shall be EXW ABB Warehouse LHR pursuant to INCOTERMS 2010. 14-16 working
weeks EXW ABB Warehouse LHR after receipt of advance payment, technically & commercially fully cleared
purchase order, advance payment and technical design approval (if any) whichever occurs later.

GTC 13. Suspension and Termination:

GTC 13.1 If Purchaser cancel the Purchase Order/ terminate Contract, after Ten (10) days from acceptance of
Purchase Order, 100% Purchase Order/Contract value will be charged.

GTC 14. Liquidated Damages:

ABB will not liable for any liquidated damages, consequential and indirect damages.

Code of conduct:

1.1 The Purchaser hereby warrants that it will not, directly or indirectly, and it has no knowledge that other
persons will, directly or indirectly, make any payment, gift or other commitment to its customers, to
government officials or to agents, directors and employees of ABB or any other party in a manner contrary
to applicable laws (including but not limited to the U.S. Foreign Corrupt Practices Act and, where applicable,
legislation enacted by member States and signatories implementing the OECD Convention Combating
Bribery of Foreign Officials) and shall comply with all relevant laws, regulations, ordinances and rules
regarding bribery and corruption.

1.2 Nothing in this Agreement shall render ABB liable to reimburse the Purchaser for any such consideration
given or promised.

1.3 The Purchaser’s material violation of any of the obligations contained in Section 1.1. above may be
considered by ABB to be a material breach of this Agreement and shall entitle ABB to terminate this
Agreement with immediate effect and without prejudice to any further right or remedies on the part of ABB
under this Agreement or applicable law. The Purchaser shall indemnify ABB for all liabilities, damages, costs
or expenses incurred as a result of any such violation of the above mentioned obligations and termination of
this Agreement.

1.4 The Purchaser herewith acknowledges and confirms that he has received a copy of ABB’s Code of
Conduct and the ABB Supplier Code of Conduct or has been provided information on how to access the
Codes of Conduct online. The Purchaser agrees to perform its contractual obligations under this Agreement
with substantially similar standards of ethical behavior.
 
1.5 ABB has established the following reporting channels where the ABB Business Partner and its employees
may report suspected violations of applicable laws, policies or standards of conduct:

Assignment of Contracts:

Notwithstanding the foregoing, it is hereby agreed between the Parties that the Contractor may transfer or
assign all its rights and obligations under the Contract to another legal entity of the ABB Group of Companies.

ABB Group means any legal entity directly or indirectly owned by ABB Asea Brown Boveri Ltd, a company
incorporated under the Laws of Switzerland, with registered office at Affolternstrasse 44, 8050, Zurich,
Switzerland, registered with the trade register of the Swiss Chamber of Commerce under number Reg. No.
CH 106.239.600.

Covid 19 clause

If after submission of ABB’s bid or during the term of the agreement there are any measures taken by authorities, by
ABB or others in connection with the current coronavirus (Corvid 19) outbreak, which affect the performance of the
agreement including but not limited to cost and/or time, an equitable adjustment to the agreement must be made – as
notified and based on documentation provided by the ABB - to (i) the date of delivery or completion, (ii) the price, which
must be increased to compensate ABB for any increase in costs, or (iii) any other ABB’s commitments or obligations
taking into account the impact of such measures advised or taken by the WHO, [government] authorities, business
partners or ABB protecting or intending to protect the Health and Safety of humans. [ABB is entitled to terminate the
agreement [for convenience] after […] days of a measure taken that prevents ABB to comply with the original scheduled
performance of the agreement.]”
