Dear Sir,

We thank you for providing us the opportunity to offer for Supply, Installation Testing & Commissioning of Fire Detection System For
TMS Trading and are pleased to enclose herewith our terms and conditions, which shall from an integral part of our offer.

1. Basis for Proposal

• For Local Items, quoted prices in Local Currency including Custom duty, import related VAT, Taxes and other
related cost as per present duty structure of the Government. Price is subject to adjustment if there is any
change of duty structure by the Government. Prices are DDP at site excluding withholding taxes.
2. Scope of Work

• Supply of materials as per specified Bill of Quantities.

• Installation of materials as per specified Bill of Quantities.
• Testing & commissioning of the total system supplied by ACL as per client requirement.
• One day customer training for operation & maintenance of the system.

4. Scope of exclusions:

Kindly note that following Items are excluded from the scope of our works and the same have not been considered in
our offer:
• Power supply for installation, testing, commissioning of the system.
• Incoming power supply and distribution including sockets for termination to our equipment's in control room and
field panels.
• All carpentry/ civil works/ masonry works required to be done at site other that minor works such as cutting of
wholes for drawing cables, conduits, raceways, trunks, grunting of controllers/ panels on walls, etc. are excluded
from our scope of work.
• Termination of cables of any other vendors system Is not In our scope.
• For interfacing with other sub systems all potential free contacts are to be provided. These contacts shall have to
be normally open type.
• Further for interface with Electrical distribution panel & MCCs all interface pOints/ potenu~~!::!!*"",-o
to be provided in numbered terminals inside the DB/ MCC free of cost to us.
• Any other works/ services not specifically mentioned in our scope of work.

5. Responsibilities

A. Ace Controls Limited

The following personnel will be assigned to execute the project.

o One (1) Commissioning Engineer (during commissioning of the system)
o One (1) Project Engineer
o One (1) Electrical Supervisor
o Two (2) Skilled Electrician
o Five (5) Semi-skilled worker

B. Client

o Client will provide Electric Power required for installation work.

o Client will provide water & sanitation during our installation work.
o Client will provide proper lighting during our installation work.

6. Delivery:

• For imported items, delivery within 10-12 weeks after receipt of technically & commercially clear confirmed
Letter of Credit.

• For Local items, installation & commissioning work will take 6-8 weeks after receipt of imported Items,
availability of ready site, and advanced payment as per payment clause mentioned in clause 7.0 below.

7. Price:

• Attached AS Per BOQ.

8. Payment:

• For Materials:
o 60% advance along with work order.
o 40% payment should be made after delivery at site.

• For local Items:

o 30% advance along with work order.
o 60% will be paid as progressive payment against running bill.
o 10% will be paid after completion of Installation, Testing & commissioning.
o Mode of payment will be cash/ Pay order/Demand draft/Cheque in favor Ace Controls ~~~1(
payment Is made by cheque delivery will take place after encashment of cheque.

9. Inspection:

Customer or third party inspection charges are not included in our offer. In case buyer wants to carryout
inspection on their own a three weeks' notice in advance should be issued.

10. Cancellation Clause:

30 % of the total work order value will be charged if you want to cancel the order after placement of work order
in favour of us.

11. Warranty:

We stand guarantee for trouble free operation of our supplied equipment and our installations to be free from
defect in any material and workmanship under normal use. We undertake warranty for free replacement of any
parts failing due to manufacturing defects, which shall not include normal operational wear and tear, for a
period of 12 months from the date of Delivery. This warranty /defect-lIabllity of obligation will not be extend to
system failure due to the negligent/careless operations by the users, supply of irregular power, damage due to
accident etc.
