After a long and detailed discussions & after a series of quotations as per your latest revised offer letter
dated 17th December 2020 Ref: DG/EPBL/2020/MSI/400 for Supply, Installation, Testing and
Commissioning of Welland Power 660KVA (Prime Power) & (726KVA Standby Power) Generator work of
DR. FAZLUL HAQUE COLORECTAL HOSPITAL LTD, 726/A(Old), 86/A(New) Satmasjid Road, Dhanmondi,
Dhaka -1209. We are pleased to inform you that the Management of DR.FAZLUL HAQUE COLORECTAL
HOSPITAL LTD has decided to accept your offer under the following Terms & Conditions:

Tk-40,00,000/- (Forty Lac Only). As per discussion with our
Honorable CEO Dr. Md. Shahidullah and Mr. Mohammad
Abdur Rahim, the Head of Sales of EDISON POWER
BANGLADESH LTD., this price was fixed and final price. This
price includes all the DG set equipments from UK, VAT, Taxes,

 AITs and all sorts of Customs Duties, Marin Insurance, LC and
Bank Charges, Loading- Unloading, Carrying costs to the project
site, Dhanmondi, Dhaka-1209 and all other expenditures up to
Installation, Testing, Commissioning of the total system are
included in this price. The Installation, Testing, Commissioning
will be free of cost.
4 Mode of Payment  During Work order 30%.
 After arrival at Chattaragam Sea Port 20%.
 After installation 30%.
 After commissioning 10%.
 One year after commissioning 10%.

7 Commencement of work You should take over the site immediately.
8 Approval You will be required to get an approval of working Drawing
from concern Authority/ Consultant within one week from the
date of getting the work order and having the first installment
payment.
9 Completion of work Total completion period 04 months and 10 days from the time
of manufacturing of DG set in UK factory, carrying upto
Chattagram sea port, sea port to our project site, installation,
testing. Commissioning at our project site 726/A (Old),
86/A(New) Sarmasjid Road, Dhanmondi, Dhaka-1209 from the
date of work order.
10 Additional Work If additional work is required and deemed necessary beyond
the job specified, the concerned signatories shall notify
accordingly.
11 Service 01 [One] year after sell Service against equipment and
workmanship defects with effect from the date of completion
of work at site and commissioning of the system.
12 Warranty Edison Power Bangladesh Ltd. (SECOND PARTY) shall provide
Warranty of equipment’s, Battery and fittings against
Manufacturing defects for a period of 18 months from the date
of shipment or 12 months from the date of Commissioning
whichever falls due first.
13 Maintenance Edison Power Bangladesh Ltd. will carry out free of cost
servicing for 12 (Twelve) months from the date of
Handover, during which time Edison Power Bangladesh
Ltd.will carry out the service of the Generator set and
should attend to the breakdown calls.
14 Penalty If the work is not completed within the time period as
stipulated date of Work Order at para 09, you shall be liable for
a penalty @ 0.01% of total contracted value per day of delay
which shall be realized from your bill [penalty will not exceed
5% of total value]. If there is any delay from the client's end i.e
Power line, Interior work, Change of Design etc Vendor will not

 be liable for penalty.
15 Other Conditions a. Your entire job planning and schedule of work should
be framed in such a way that the other tenants of that
site do not feel inconvenient and disturbed due to your
on-going job. Moreover, you must take reasonable care
to store of your materials and continue your job
without hampering other works. In case any problem
arises, you shall resolve the issues in consultation with
the engineer in charge and the Chief Executive Officer.
b. DR. FAZLUL HAQUE COLORECTAL HOSPITAL LTD
reserves the right to cancel the Work Order for not
complying with any conditions of this Work Order and
in such case Company will not be liable to pay any
compensation.
16 Elements of Work Order This work order comprises of
a) 4 pages of this work order,
b) Your last revised Quotation dated: 17.12.2020. Where
your Quoted price was Tk-40,00,000/- (Forty Lac only).
c) Our latest BOQ Dated: September,2020

17 Skilled Work Force During work you must have One skilled DG Engineers, requisite
nos of Skilled Technicians other skilled people at the project
site to complete the work within the stipulated time frame with
skillness and craftsmanship. No delay of work will be allowed.
No unskilled Labor/ Technicians/ Engineers will be allowed.
There must have craftsmanship in your work. Required Duct
made by Steel sheet must be done by definite tools and
machineries. Leak proof test must be done properly.
17 FORCE MAJEURE i. If the delivery, installation, as well as the Project
completion and work under this agreement be
prevented or delayed due to prohibition of law, act of
nature, war, riot, or any other reasonable
unforeseeable circumstances caused beyond the
control of the SECOND PARTY, the SECOND PARTY shall
not be held liable for any delay in the performances of
all or any part of this Contract in connection thereof.

ii. Subject to Article 17 (i) of this agreement the SECOND

PARTY invoking this Force Majeure clause shall submit
notice to the FIRST PARTY within seven (07) working
days from the knowledge and establishment of the
compelling and / or unforeseeable circumstances.

iii. In case of any Force Majeure applicable to one or both

the PARTIES, this agreement may be modified, if so
required, with mutual consent of both PARTIES,

 evidenced and reduced to writing, by virtue of a
Supplementary Agreement

iv. If the materials or any part of it’s are damaged or

destroyed at the factory site in UK, carrying process
from UK to FIRST PARTY’S project site in Dhaka or
during installation, testing & commissioning the
materials or any of its part should be changed by new
one & in good conditions.
18 Safety & Security of a) During work all the work force of the EDISON POWER
Work Force: BANGLADESH LTD. must be equipped with all sorts of
necessary security equipment (Gumboot, Helmet,
Safety Belt, Hand Gloves and other requisites).
b) The Buyer will never responsible for any
accident/Incidents.
c) All responsibilities for security of work force will goes
to EDISON POWER BANGLADESH LTD.
19 Dispute Resolution Any dispute or differences whatsoever arising between
the parties out of or in connection with or incidental to
the agreement including the operation or
interpretation of this agreement shall be solved
amicably by mutual discussion between the parties. In
the event of failure to solve any such disputes within 7
days from the date of notice the problem will be solved
by the law of the land.
20 Factory Visit You must arrange a Welland Power factory visit in UK by two of
our personnels, the cost of which will be beared by your
company or Welland Power Company, UK.
We are, therefore, requesting you to start preliminary works before delivery of the imported items and
ensure supply of Welland Power 660KVA (Prime Power) & (726KVA Standby Power) Generator System
for our prestigious project and to complete the total works at the stipulated time frame at the DR.

Dhaka-1209, at a cost of Tk.40,00,000/- [ Taka Forty Lac Only ] complying with required Specifications,
Standard, Measurement, Terms and Conditions maintaining superior quality.
If the terms and conditions of the Work Order are acceptable to you, please return the duplicate copy of
this Work Order to us duly signed by you as a token of your acceptance.
