Title :- Elevators Installation Contract Agreement

Agreement for Two Units of FUJIZY Elevators Installation, System Startup and
Commissioning works

This Agreement is made and entered into in Addis Ababa on this March 23/ 2020 by and
between Bright Engineering Address: Addis Ababa, Sub city Akaki Kality, Woreda 09, House
No. 058/02 Tin No.0007510730 Po-Box 120127 Tel. +251901250011 (hereinafter called the “sub-
contractor”) on the one Part.
AND
Dagem Kennedy General Trading Plc. Address: Addis Ababa, Sub city BOLE woreda_____,
House No.______ , P.O. Box _______, Tel.___________,Tin No ________ (hereinafter referred
to as the “The Contractor”) on the other part;

WITNESSES

WHERE AS the sub-contractor is desirous to install two units of FUJIZY Passenger elevators
from Contractor and has accepted the offer made by the contractor for installation and
commissioning of two units of FUJIZY elevators at Akaki Poly technical college new building in
Addis Ababa.
NOW, THEREFORE, the parties hereto agree as follows:

Article-1
Definitions

In this contract, the following terms shall be interpreted as follows:

1.1 “Contract” means the agreement entered into between the sub-contractor and the Contractor as
recorded in the contract from signed by the parties, including all documents which are defined
and be considered as part of the contract.
1.2 “Effective date” means the date when the first down payment becomes effective
1.3 “Party” means the employer or contractor individually.
1.4 “Parties” means the employer and the contractor together.
1.5 “Contractor” means impression general trading that under takes the contract to provide
materials or labors to perform installation and commissioning of eighteen elevators.
1.6 “Sub-contractor” means a business that carries out eighteen elevators installation work for
contractor as part of the project.

Article- 2
Objectives of the Contract

2.1. The sub-contractor shall perform an Elevator Installation and Commissioning works with
behalf of Dagem Kennedy General Trading Plc. for two elevators and the Contractor
shall pay the fee as per the terms of contract.
2.2. The contractor shall pay the contract price as per the terms and conditions stated in the
article7 contract.

Article-3
Obligations of the Sub-Contractor
The sub-Contractor shall;-
3.1. Install Commission and handover two elevators to contractor totally within 6-8 weeks from
the date of December 1st 2018.
3.2. Use its own tools box and safety closes for its crew.
3.3. Assign its qualified personnel and labors force for the work.
3.4. Behalf of contractor provide the necessary equipment’s and tools for the execution and
completion of the installation works.
3.5. Train client’s technicians on emergency rescuing of trapped elevator passengers.

Article-4
Obligation of the Contractor

4.1. Provide appropriate information to the sub-contractor on the condition, to perform the
related installation and maintenance, or repair works. Not allow or permit any party other than
Sub-contractor to execute installation works on two elevators without prior written consent of the
Contractor. Therefore any infringement of this clause constitutes a serious breach of the
Agreement by the Contractor and shall release the sub-contractor from any or all responsibilities’
or liabilities under this Agreement.
4.2. Acknowledge the sub-Contractor as its sole service, ordinary and extra ordinary
maintenance service provider for its elevators stated in this Agreement.
4.3. Pay the fee as per the terms of payment indicated in the Agreement.

Article-5
Normal working hours
5.1. This Sub-contract shall provide the installation service from Monday up to Saturday during
Morning 8:00 – 12:00 AM
Afternoon 13:00 – 18:00 PM
5.2. The Client or contractor can report any breakdown to Sub-contractor Staffs through Mobile

6.2. Payment method

Unless some other method of payment is specified in the schedule of compensation .the Dagem
Kennedy General Trading plc. Shall pay to sub-contractor for all expenses stated thereon which
are approved by Dagem Kennedy General Trading plc. Pursuant to this agreement no later than
the last working day of the month the payment shall be performed with the reference of the above
elevator installation schedule operation task.

6.3. Payment terms (For two unit of elevators)

Article -7
Termination

7.1 If either party fails to perform its obligation or parts thereof, the other party shall give a
notice to the party in default to perform its obligation with in thirteen calendar days. If the party
fails to perform its obligation with in the period mentioned above, the aggrieved party may
terminate the contract accrued upon the time of termination

7.2 This Agreement may be terminated by any one party in case of force major as defined in
the civil code of Ethiopia.

7.3 This Agreement is made in two originals and shall enter in force on the data it is signed. The
Agreement shall be terminated on the last date of Contract unless it is mutually agreed to renew
it by written agreement.
