Employment Agreement & Employment Benefits

This section sets out Oracle NetSuite’s terms of employment and some of Oracle NetSuite’s current
benefits extended to employees. Regular full time employees are eligible for these benefits, subject to
Company’s policies, rules and guidelines. However these benefits are pro- rated for Part Time, Temp and
Intern employees. Oracle NetSuite reserves the right to review these benefits on a regular basis
and make adjustments or replacement where appropriate. These benefits shall cease upon termination
of your employment with Oracle NetSuite, and may also cease if you take long-term personal leave of
absence. These benefits shall be discussed with you in detail by our Human Resources Group during your
orientation. Please note that the attachment outlines only the basic features of the benefits. Some may
be subject to residency or other requirements and are subject to change depending on the decision by
the management and subject to compliance with labor laws. You will need to check with your local HR
team for details.

1) Terms of Employment
Remuneration Payment Advice
Your salary will be paid by way of direct deposit into your nominated local bank account by the 15th day
of each month. Should the payment date fall on a public holiday or a non-working day, payment will be
made on the following working day.

Your salary shall be subject to statutory deductions for Social Security, PhilHealth, Pag-ibig HDMF and
Income Withholding Tax.

Your remuneration will be subject to annual review, or at such times as may be appropriate. Review dates
are set by Corporate Headquarters. When you move from one country to another country, we strongly
urge you to seek professional income tax advice on how this move may impact your personal tax
commitments on cash compensation, stock options, and any private investments. Please ensure that you
are aware of the necessary implications as applicable in your own situation.

Work Hours
The standard working days and hours will be in accordance with the Company policy, and defined by your
immediate manager. The position and the operation of our business may require you to be on a shift
schedule and rest day may not necessarily fall on a weekend.

Lunch break will not constitute working time (this means 8 hours of work + 1 hour break; short coffee
breaks of 15 minutes in the morning and afternoon may however be deemed as work hours).

Probation (Not Applicable to International Transfers)


You shall undergo a probation period of six (6) months during which period your performance shall be
assessed on the basis of your Key Result Areas (KRAs), your demonstration of the required competencies
and the Company’s values in the discharge of your function, the compliance with the Company’s rules and
regulations.

During this period, you may be terminated for just and/or authorized causes, or when you fail to qualify
as a regular employee in accordance with reasonable standards made known and explained to you in
detail at the time of your engagement.

You shall be accorded regular status upon your satisfactory completion of the probationary period.

Travel and Transfers


During your employment with Oracle NetSuite, you may be expected to travel to customer sites and other
Oracle NetSuite offices should there be a need. Oracle NetSuite may also in its business interests,
transfer/relocate you to any of its offices on such terms and conditions as are applicable to transfers.
Oracle NetSuite does not guarantee the continuation of any facility or perquisite in the new location. In
all cases of transfers, you will be governed by Oracle NetSuite’s transfer policy. Reasonable relocation
costs (as determined by Oracle NetSuite) may be paid if applicable, subject to Oracle NetSuite's Relocation
Policy in effect at the time of such relocation.

Visa
For non-Philippines citizens, you may not commence employment unless you have a legal entitlement to
live and work in Philippines. Your employment period will be subject to the approval of your work permit
by the Immigration Department. Subsequent renewal or extension thereon is also subjected to Oracle
NetSuite Management and Immigration approvals.

Code of Ethics and Business Conduct


Your adherence to the Oracle NetSuite’s and its parent company, Oracle’s Code of Ethics and Business
Conduct is vital to Oracle NetSuite and to your success at Oracle NetSuite. When you accept this letter of
offer, you are agreeing to thoroughly familiarize yourself with the Oracle NetSuite’s and that of Oracle’s
Code of Ethics and Business Conduct and abide by it. You also agree to take Oracle's Ethics and Business
Conduct course, available on-line through Oracle's intranet. The Oracle Code of Ethics and Business
Conduct and Oracle Policies are available on the APAC HR website, accessible to all employees from
myoracle Home Page.

You agree, after beginning employment, to access the APAC HR Website and thoroughly familiarize
yourself with Oracle NetSuite and Oracle's policies as amended from time to time. These policies do not
form part of your contract of employment. However, you are expected to abide by these policies.
Additionally, from time to time, Oracle NetSuite will communicate important information about its
policies by way of electronic mail notification and/or the Oracle NetSuite and Oracle’s intranet. By clicking
the accept button of this agreement, you agree to thoroughly review these policy communications and to
abide by them.

Personal Data Transfer


Oracle NetSuite’s Parent Company, Oracle Corporation human resources electronic data are held and
secured at a global level in the United States. Personal data may be accessed from Oracle Corporation
locations worldwide, as required for business purposes, by personnel with appropriate access privileges.
Personal data may be shared with external organization as required to permit their provision of services
to the Oracle Corporation workforce. Your provision of the personal data confirms your consent to this
process.

Conditions of Employment
Our offer of employment is contingent upon:

a) Your completion and satisfactory results of Oracle NetSuite’s pre-employment requirements,


including but not limited to: medical examination, your eligibility to work in the Philippines, and
successful completion of references and background checks. If you are allowed to commence
work prior to the completion of these requirements, it is hereby understood that your continued
employment will be subject to the satisfactory results of the mentioned pre- employment
requirements. Additionally, you hereby represent to us that you are not under a non-compete or
similar agreement with any other party which would restrict you from accepting this offer of
employment or performing any of the duties associated with this position or to your knowledge
any other position at Oracle NetSuite (Philippines) Corporation or Oracle to which you are
reasonably suited based on your background and experience. We are relying on this
representation in making this offer of employment to you. You understand that any
misrepresentation/falsification or omission on your part shall be a ground for Oracle NetSuite to
rescind this contract or seek your dismissal, upon observance of due process requirements.

b) The amount of remuneration is to be treated on a strictly confidential basis. It must not be


discussed with other staff members of Oracle NetSuite

c) You agree to bind yourself and abide by the obligations of the Oracle NetSuite’s Confidential
Information, Invention Assignment and Conflict of Interest Agreement hereto attached and made
an integral part of this contract

d) You undertake to place your full working capacity at the disposal of Oracle NetSuite. You are not
permitted to work either part time or full time with another company whilst employed by Oracle
NetSuite.

e) You agree that you will not, for a period of 12 months after your employment with Oracle NetSuite
terminates, directly or indirectly:

1) contact or solicit any client, supplier or any other person or entity who is or has been in a
business relationship with Oracle NetSuite or with whom Oracle NetSuite is, at your
termination date, in negotiations with a view to having a business relationship and with
whom you have dealt during the course of your employment with a view to diverting their
business from or encouraging them to cease doing business with Oracle NetSuite;

2) perform or provide to any client, supplier or other person or entity who is or has been in
a business relationship with Oracle NetSuite or with whom Oracle NetSuite is, at your
termination date, in negotiations with a view to having a business relationship and with
whom you have dealt during the course of your employment any goods or services that
compete with the goods or services offered by Oracle NetSuite and which you have been
involved in the performance or provision of during the course of your employment;

3) solicit, hire, retain or engage as an employee, independent contractor or in any capacity
whatsoever, any person who is, or who was at the time your employment with Oracle
NetSuite terminates, an employee of Oracle NetSuite and with whom you worked during
the course of your employment.

Cessation of Employment
Termination of employment by either party shall be one (1) month's notice in writing or payment in lieu
of notice. Such notice may be offset by unused leave with the approval of your manager. Oracle NetSuite
may end this contract and terminate your employment immediately without notice or further
compensation to you if your actions at any time constitute a serious breach of Oracle NetSuite’s standards
of behavior and/or employment conditions, including but not limited to, any breach of any of the
provisions of this Employment Agreement, the Proprietary Information Agreement or the Code of Ethics
and Business Conduct; you are guilty of any serious misconduct or willful neglect in the discharge
of your employment duties; or you engage in any conduct of a criminal nature (including but not limited
to assault, theft and fraud).

You acknowledge that upon the termination of your employment, you will sign the Terminating
Employee’s Agreement.

Deductions
During your employment or upon termination of your employment for any reason, Oracle NetSuite may
deduct from your salary (including holiday pay) or outstanding expenses claims, any overpayments,
outstanding debts or moneys owed by you to the Company or the value of any unreturned Company
property.

Acknowledgement:
I acknowledge that I have read and that I understand the terms of this agreement. I understand that by
clicking the Accept button of this document, I agree to be bound by all the terms, conditions and
obligations set forth above.
