ENGAGEMENT CONTRACT
KNOW ALL MEN BY THESE PRESENTS:

This contract is made and entered into this, 8th day of January 2020 by and
between:

PILAPIL-DIAZ ACCOUNTING SERVICES, a business duly organized and existing under

the Philippine Law with principal office at Unit 2A The Market Front Building,
54A Rizal Street, Baras, Rizal. Herein referred to as the Auditor. Represented
by its owner, MARIE STACY MARGARETT DIAZ, CPA, CAT, MSAT, 34 years old, Single.

That, the Client is seeking the services of the Auditor to perform and provide
general accounting services to the former's business. Corollary, the Auditor is
willing to supply the needed services by the Client but with the following
conditions:

1. Pilapil - Diaz Accounting Services provides practices in the

following areas: (1) Accounting Services, (2) Financial
Services, (3) Audit, and (4) Other Agreed Upon Engagements and
Facilitation, depending on the agreement. ALL of these service
areas require review of the relevant legal documents,
organizational structure, past planning, as well as, the
client's objectives. Hence, ALL questions, hypothetical fact
patterns, or technical questions of any kind by the Client may
be entertained by the Auditor upon conclusion, validation and
putting in-effect of the ENGAGEMENT CONTRACT, as well as, the
receipts of the corresponding fees by the Auditor.

2. The ENGAMENT CONTRACT is particularly a COMPILATION / NON-

ASSURANCE ENGAGEMENT which includes the following: 1. Monthly
filing and payment of BIR Forms (Registration Fee, Percentage
Tax, Withholding Tax); 2. Quarterly filing and payment of BIR
Forms (Percentage Tax, Withholding Tax, Income Tax); 3. Annual
Filing of Income Tax Return; 4. Bookkeeping assistance; 5.
Monthly filing and payment of SSS, PHILHEALTH, PAGIBIG
contributions and 6. Other related services. Any variation of
work carried-out as a result of abnormal working conditions
and/or work to be carried-out but not included in the above
services shall be treated as ADDITIONAL WORK CONTRACT and shall
be confirmed and agreed upon in writing by both parties.

3. All pertinent documents, records and other sources used and to

be used in the conduct of the services are the responsibility of
the Client.

4. The Auditor will communicate to the client once a month to check

the processes and systems flow of the company if they are
following the agreed procedures for bookkeeping either through
physical visit or virtually, whichever is needed. Both parties
may also schedule an emergency visit or consultancy for whatever
concerns regarding the business subject to availability of both
parties.

5. Both parties are under a professional obligation to ensure

confidentiality of the engagement. Neither party should divulge
to third parties details of audit, fees, and other information
unless approved by both parties or requested by the court for a
legal proceeding.

6. Audited Financial Statement amounting to Php 5,000 is Payable

per request.

Professional Fee amounting to Php 5,000 is Payable every 5th of

the month.

Filing / Facilitation Fee amounting to Php 1,000 is Payable

every 5th of the month or before facilitation should be done on
a per day basis.

7. The Auditor reserves the right to withdraw from representation

at any time if (1) the transactions involved were considered
illegal, unethical, immoral, (2) non-payment of the fees on the
agreed time, (3) delayed response to requests for information in
a timely manner.

In the event that the Auditor withdrew from representation due

to one of the above reasons, the Client is bound to pay the
Auditor for the time spend until formal withdrawal of services.

8. Upon termination of the contract, a 30-day notice should be

given by the Auditor to the Client to give the latter the time
to look for a new Auditor.

9. This contract can neither be extended nor renewed, but the

parties may, by mutual agreement, enter into another contract or
agreement.

 That, the foregoing have been completely read & understood, and mutually
accepted & concurred by both parties.

IN WITNESS WHEREOF, we have set our signatures below to validate and put in
effect this ENGAGEMENT CONTRACT.
