LETTER OF MUTUAL AGREEMENT

Its a letter of mutual agreement between Tanmoy Kumar Sarkar, as sole proprietor of Pixeeto
India, resident at Ramkrishna Nagar, Memari, Burdwan and ...............(Your Name And
Address). Hereby after Tanmoy Kumar Sarkar would be mentioned as 1 st party and .............as
the 2nd party in the prospect of the agreement.

As per the mutual discussion is considered this agreement is being conducted in way to
design and development of Financial Software For Arsen Business Solution, all features ans
options needed would be hereby attached to the agreement. Hereby after with the mutual
agreement of 1st and 2nd party the whole memorandum of the development work would be
divided in 10 (Max) Phases and those fragments or phases of enclosed deals or micro
agreements would be manifested under the supervision or authorization of this primary
agreement.

On every single phase of the development 1 st party will raise an agreement with a validated
quotation to 2nd party, with 50% advance of the quotation amount for the particular phase
would be collected from the 2nd party to 1st party before the work of the enclosed phase is
conducted.

With very phase concerned the 1st party will be liable to provide provisional updates om the
works being done on weekly basis in manner of verbal or official updates to 2 nd party.

With every phase of compilation for the next phase the 2 nd party will be liable to clear all the
outstanding amount that were billed or quoted for any of the previous phases to the 1 st
party.

Quotation from the 1st party to 2nd party on every phase of work will contain a schedule for
compilation of the phase and the 1st party will be liable to complete the phase within the
scheduled time.

If for any reason the 1st party is not capable of delivering the features mentioned in the
quotation for a particular phase, then 1st party will refund the whole amount dedicated for
that particular phase to 2nd party within 10 days of compilation of delivery date of that
phase.

Understanding The complexity of the product the 2 nd party will provide API documentation
for all The API and as well as all the help for understanding needed to the 1 st party.

After completion of any secluded phase the 2nd party can decide freely to withdraw the
project or work from 1st party, In this aspect after completion of all dues toward 2 nd party, 1st
party will be liable to provide all shorts of source code and products that 2 nd party has paid
for. On that consequence this agreement would be considered to be void and will release the
both of the parties from this agreement.

Maximum Days to be taken (Working Days Including All Phases) 180 days
Maximum amount to be taken ( Including All Phases) 5 lac

After completion of the project 2nd party can freely decide to keep the maintenance deal to
him or 1st party.
