Hereinafter referred to as Party B

The Parties agree to enter into the Contract of Money Donation (‘‘The Contract’’) with the
following terms and conditions :

ARTICLE 1:THE PROPERTY DONATED

Party A agrees to donate to Party B an amount of VND 9.700.000.000 (In words: Nine
billion and seven million dongs) and profit (if any) derived from the sale, transfer of the
real estate under the Contract for Transfer of Land Use Right, House Ownership and Other
Properties Attached to Land, which has been certified by Notary of Dong Thanh Pho
Notary Office on 12/05/2021, notary No. 009344.

ARTICLE 2: TERM AND HANDOVER METHOD OF THE DONATED


PROPERTY

2.1. The time limit for the handover of the donated property shall be mutually upon,
implemented by The two Parties and responsible before the law, without the witness
of the Notary.

2.2. Handover method of the donated property: Party A will transfer to the below account
number of Party B:

ARTICLE 3: THE OWNERSHIP OF THE DONATED PROPERTY

The ownership of the donated property mentioned in Article 1 shall be transferred to Party
B from the time Party B receives the amount of money through the account number
mentioned in Article 2.2.

ARTICLE 4: PAYMENT OF TAXES AND CHARGES OF NOTIFICATION

Taxes and fees related to the donation of the property under this Contract (if any) shall be
borne by Party A.

ARTICLE 5: ARGUMENT SETTLEMENT

If there is any dispute arise during the performance of the Contract, The two Parties shall
jointly negotiate and resolve on the principle of respecting each other's interests; in case it
cannot be resolved, either Party has the right to initiate a lawsuit to request a competent
court to settle it according to the provisions of law.

ARTICLE 6: COMMITMENTS OF BOTH PARTIES

6.1. Party A commits as below:

(a) The information about the personal identity, about the donated property stated
in this Contract is true ;

(b) The donated property has no dispute and is not handled by a competent State
agency in accordance with the Law;

(c) The signing of this Contract is completely voluntary, not deceived, not forced;

(d) To properly and fully perform all agreements outlined in this Contract.

6.2. Party B commits as below: :

(a) The information about the personal identity stated in this Contract is true ;

(b) Having a good knowledge about the donated property and other documents
providing the ownership;

(c) The signing of this Contract is completely voluntary, not deceived, not forced ;

(d) To properly and fully perform all agreements outlined in this Contract.

ARTICLE 7: FINAL PROVISION

Both Parties have fully understood their legal rights, duties, the significance and legal
consequence of the signing of this Contract.
