Today, August 17st, 2007, at Notary Public's Office No. 1, Ho Chi Minh City, We, the
undersigned, who found ourselves have qualified acts and shall be responsible before the law
for our acts as follows:

Party B is committed to make the common, private property registration, pursuant to the
law on marriage and family.
By this contract, Party A agrees to sell Party B the entire house described in Article 1
of the contract with the following agreement:
ARTICLE 1: THE CONTRACT OBJECT
1. The object of this contract is the house number: ……………….., the reality as follows:
- Structure: 3 floors, reinforced concrete floor, tole + reinforced concrete roof, brick wall
- Construction area: 408.57 m 2

2. The said house is the legal property of Party A according to the following ownership
documents:

ARTICLE 2: PRICE AND PAYMENT METHODS
1. House purchase price is: VND 2,200,000,000 (Two billion two hundred million dong).
2. - Party B deposits Party A: VND 440,000,000 (Four hundred and forty million dong).
- After two parties signed this Contract at Notary Public, Party B pays Party A VND
1,320,000,000 (One billion three hundred twenty million dong).
- After completing the ownership registration procedure, Party B pays off Party A the
balance.
3. The delivery and receiving the said payment, the parties are responsible before the law.
ARTICLE 3: DELIVERY OF HOUSE, PAPERS ON HOUSE AND LAND
Party A delivers and Party B receives the house in accordance with the said status and
the original of the house ownership papers after completing the house sale & purchase
procedures prescribed by law. Within the time limit is not delivery of the house, party A is
responsible for preservation of the house.
ARTICLE 4: PAYMENT OF TAXES AND FEES
Taxes and fees related to the sale and purchase of the house, two party are responsible
as prescribed by law.
ARTICLE 5: HOUSE OWNERSHIP REGISTRATION
1. Party B is responsible for stamp procedures and registration for the house mentioned above
in the competent authorities.
Party A must facilitate Party B complete the stamp and ownership registration procedure to
the competent bodies.
2. The above mentioned house ownership is transferred to Party B, from the moment of this
Contract is certified by the Notary Public’s Office.
ARTICLE 6: LIABILITY BREACH OF CONTRACT
In the course of performing the contract, if any dispute arises, the parties together to
negotiate a settlement; in case dispute cannot be handled, it should be done by the mediator; If
mediation fails, it shall be presented to the jurisdiction court for settlement in accordance with
the law.
ARTICLE 7: PARTIES' COMMITMENTS
Party A and party B are responsible before the law on the following commitments:
1. Party A is commited:
a. The said house:
- Under the ownership of Party A:
- No dispute about house ownership, land use right and the right to inherit (if any).
- No decision to levy of the competent authority.
- No mortgages, guarantees, donation, lease, exchange, declared as the capital of the
business or perform other obligations:
- Being handled by the state competent agencies according to law that the owner has not
yet executed.
b. Without any documentation about the said house ownership;
c. Papers on the above-mentioned house ownership is a unique original.
d. Complying with the agreements with Party B as mentioned in this contract.
2. Party B is committed:
a. Carefully review, know about the ownership origin and plan status of the said house,
including the papers of house ownership, agree to buy and no complaints whatsoever
about this contract notarized;
b. Execute properly and adequately the agreement with Party A mentioned in this contract.
c. The area beyond the sovereignty, violate the master plans (if any), Party B is committed
to comply with the regulations of the State.
3. Both two parties are commited that:
a. Make the true declaration and be solely responsible for the accuracy of the personal
information mentioned in the contract;
b. Since the date of this contract, neither party can use the original papers of the house
ownership to perform the above mortgage, guarantee, purchase, donation or exchange,
declare as the capital or other transactions with any kind until the completion of
ownership registration procedures.
c. Complying with the contents agreed in the contract; If either party violates the contract
leading to any damage, he/she should pay compensation to the other party or to a third
party (if any).
ARTICLE 8: FINAL PROVISIONS
1. The two parties have understood the rights, obligations and legal benefits, the meaning and
legal consequences of the notarization, after having heard the explanations of the notary.
2. The two parties have read, understood and agreed to all the terms stated in the contract
before signing the contract.
3. The contract is made into 03 copies, the copies are the same value, Party A holds one copy,
Party B keeps one copy and Notary Public’s Office no. 1 keeps one for record.

contract and have signed, pressed their finger print in this contract before my witness;
The contract includes three original copies (including 5 pages of 5 each original copy)
