Sur, Bauang, La Union, designated as Lot No. 5303-A, consisting of NINE
HUNDRED FORTY THREE (943) square meters, more or less.

“A residential (bungalow) building, consisting of ONE FORTYFOUR (144) square


meters, covered by Tax Declaration No. 2009-07-0005-00735.

Dear Ma’am Virginia,


This is to express our firm offer to buy and/or purchase the above stated property
subject to the following terms and conditions:
PURCHASE PRICE: 4.3 Million (agricultural, commercial and residential land
including all the improvements introduced by the owner thereat)
TERMS AND CONDITIONS:
1. Upon acceptance of this offer, earnest money /reservation fee in the amount of TWO
MILLION (Php 2, 000,000.00), Philippine Currency shall be paid by the buyer. In
case the sale or deal will prosper and completed the said earnest money/reservation
fee will be credited as part of the purchase price;

2. Upon payment of the TWO MILLION (Php 2, 000,000.00), Philippine Currency


paid by the buyer, both parties agreed that the SELLER will settle the estate of the
late, Jose H. Lalusin, Jr.

3. The balance, in the amount of TWO MILLION THREE HUNDRED THOUSAND


(Php 2, 300,000.00) Philippine Currency shall be paid full upon the release of the
newly approved tax declaration of the said property in the name of the SELLER.

OPTION: The SELER and BUYER will execute the necessary Extra-Judicial
Settlement of Estate with Simultaneous Sale and allows the BUYER to process the
transfer with the Bureau of Internal Revenue and the publication. Upon the release of
the Affidavit of Publication, the BUYER shall settle the balance of TWO MILLION
THREE HUNDRED THOUSAND (Php 2, 300,000.00), Philippine Currency. Upon
full payment the SELLER will allow the BUYER to process the registration of the
said transfer before the Office of the Registry of Deeds-La Union.

4. The SELLER shall undertake all the expenses incidental to the transfer of the property
in the name of the SELLER.

5. Once the newly approved Tax Declaration is released in the name of the SELLER, the
parties will execute the DEED OF ABSOLUTE SALE in favor of the BUYER;

6. The BUYER shall shoulder the payment of Capital Gains Tax, DST, transfer fee,
registration fee, and notarial feeling including the preparation of all the legal
documents for transfer and other expenses which is incidental to the transfer of the
said property.

7. The BUYER shall facilitate or process the transfer of the said property.

Note: This agreement is subject to the final terms and conditions in the Deed of Sale.
