CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT TO SELL made and executed this 06th day of February 2022 by and
between:

GILDA C. MORALES, Filipino Citizen, legal age, with residence and postal address at Block
8 Lot 12 Village Home Queensrow West Molino 3 Bacoor City, Province of Cavite hereinafter
referred to as the "VENDOR".

-AND-

CARLOS JR. R. ENRIQUEZ and JULIE O. ADARNE both of legal age, Filipino, presently
residing at #2565 Pasigline St. Sta. Ana Manila hereinafter referred to as the "VENDEE".

WITNESSETH;

WHEREAS, the VENDOR is the absolute and registered owner of the house and lot situated
at Block 8 Lot 12 Village Home Queensrow West Molino 3 Bacoor City, Province of Cavite
ISLAND OF LUZON and covered by Transfer Certificate of Title No.T-188708 issued by the
Registry of Deeds of PROVINCE OF CAVITE;

WHEREAS, the VENDEE has offered to buy and the VENDOR has agreed to sell the above-
mentioned property under the terms and conditions herein below set forth;

NOW THEREFORE, for and in consideration of the total sum TWO MILLION FIVE
HUNDRED FIFTY THOUSAND PESOS ONLY (PHP 2,550,000,00) Philippine currency and
of the covenants hereinafter set forth the VENDOR agrees to sell and the VENDEE agrees
to buy the afore said property subject to the following terms and conditions;

1. The VENDEE shall purchase for a house and lot in the amount of TWO MILLION
FIVE HUNDRED FIFTY THOUSAND PESOS ONLY (PHP 2,550,000,00)
Philippine currency to pay the VENDOR for the house and lot. The proceeds
cash shall be paid to and in the name of VENDOR;

2. The Vendee will proceed with the first payment, to pay the down payment
amounting ONE MILLION FIVE HUNDRED THOUSAND PESOS ONLY (PHP
1,500,000.00) by way of cash today Monday, February 06, 2023. The
aforementioned amount shall form part of the payment for the total selling price.

3. The balance in the amount ONE MILLION FIFTY THOUSAND PESOS (PHP
1,050,000.00) shall be paid also by way of cash on Monday, February 13, 2023.

4. The Vendee and the Vendor shall not end nor terminate this purchase contract.

5. The Deed of Absolute Sale shall be executed upon full payment of ONE
MILLION FIFTY THOUSAND PESOS (PHP 1,050,000.00).

6. The property and the Original Title shall be turned over upon execution of the
Deed of Absolute Sale.
A. Other Conditions:

1. SELLER’S ACCOUNT 

1. Updated Home Owner’s Association Dues until turnover of the property.


2. Updated Meralco and Water bills until turnover of property
3. Agents Commission 

2. BUYER’S ACCOUNT

1. Updated Real Property Tax until 2023


2. Documentary Stamp Tax
3. Notarial fee for DOAS
4. Capital Gains Tax (6%)
5. Transfer Taxes
6. Registration Fees
7. All other expenses related to the transfer of Title and Tax Declaration
8. Notarial fee for CTS

This contract to sell on representation and warranty of the owner /seller that she had
a good and registered title to the property, which shall be conveyed immediately to the Buyer
upon completion of the terms and conditions stated in the Contract to Sell.

If the above terms and conditions are acceptable to you, please signify your
conformity by signing on the space provided below.

IN WITNESS WHEREOF, the parties hereto have set their hands this 06 th day of February
2023 at Bacoor City, Cavite, Philippines.
