CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT TO SELL,made and executed this 21st day of December 2022 by and
between:

DAVID RAMILLA ISMAEL, married to LILIBETH UY ISMAEL Filipino Citizen, both of legal
age, with residence and postal address at #905 Park Tower II Ayala Center Cebu City,
hereinafter referred to as the "VENDOR".

-AND-

PHOEBE KAY HERNANDEZ ALDABA married to JULIUS DIMAANDAL ALDABA, both of


legal age, Filipino, presently residing at B 39 L20 Phase 3 Elisa Homes Subd. Molino 4 Bacoor
City Cavite. hereinafter referred to as the "VENDEE".

WITNESSETH;

WHEREAS, the VENDOR is the absolute and registered owner of the house and lot situated at
Block 1 Lot 11 Diamond St. Camella Classic Molino 3 Bacoor City, Province of Cavite, ISLAND
OF LUZON and covered by Transfer Certificate of Title No.T-386508 issued by the Registry of
Deeds of PROVINCE OF CAVITE;

WHEREAS,the VENDEE has offered to buy and the VENDOR has agreed to sell the above
mentioned property under the terms and conditions herein below set forth;

NOW THEREFORE, for and in consideration of the total sum of FOUR MILLION TWO
HUNDRED FIFTY THOUSAND PESOS ONLY (Php 4,250,000.00) Philippine Currency,and of
the covenants hereinafter set forth the VENDOR agrees to sell and the VENDEE agrees to buy
the afore said property subject to the following terms and conditions;

1. 1. The VENDEE shall purchase for a house and lot in the amount of FOUR MILLION
TWO HUNDRED FIFTY THOUSAND PESOS ONLY (Php 4,250,000.00) to pay the
VENDOR for the house and lot. The proceeds/check cash shall be paid to and in the
name of VENDOR;

2. Earnest money in the amount of TEN THOUSAND PESOS (PHP 10,000.00) to


reserve the property until the first payment this month of December 2022 is settled.
The aforementioned amount shall form part of the payment for the total selling price.

3. The Buyer will proceed with the first payment, to pay the down payment amounting
TWO MILLION ONE HUNDRED TWENTY THOUSAND PESOS ONLY (PHP
2,120,000.00) by way of cash, manager’s check on/or before end of December 2022.

4. The balance in the amount of TWO MILLION ONE HUNDRED TWENTY


THOUSAND PESOS (PHP 2,120,000.00) shall be paid also by way of cash,
manager’s check on/or before end of February 2023.

5. The deed of absolute sale shall be executed upon full payment of TWO MILLION
ONE HUNDRED TWENTY THOUSAND PESOS (PHP 2,120,000.00).

6. The property shall be turned over upon execution of the Deed of Absolute Sale.

A. Other Conditions:

1. SELLER’S ACCOUNT
1.1.1. Updated Home Owner’s Association Dues until turnover of the property.
1.1.2. Updated Meralco and Water bills until turnover of property
1.1.3. Updated Real Property Tax until 2022
1.1.4. Notarial fee for DOAS
1.1.5. Capital Gains Tax (6%)
1.1.6. Agents Commision
2. BUYER’S ACCOUNT
2.1. Documentary Stamp Tax
2.2. Transfer Taxes
2.3. Registration Fees
2.4. All other expenses related to the transfer of Title and Tax Declaration
2.5. Notarial fee for CTS

This contract to sell on representation and warranty of the owner /seller that she had a
good and registered title to the property, which shall be conveyed immediately to the Buyer
upon completion of the terms and conditions stated in the Contract to Sell.

If the above terms and conditions are acceptable to you, please signify your conformity
by signing on the space provided below.

IN WITNESS WHEREOF, the parties hereto have set their hands this 20th day of October 2022
at Bacoor City, Cavite, Philippines.
