CONTRACT TO SELL

Know All Men By These Presents:

This Contract to Sell ["Contract") is made and executed by and between:

ISABELITA DE PADUA BENDALL, of legal age, Filipino citizen, widow and a resident of Laguna
and MARCELINA D. DE PADUA, of legal age, Filipino citizen, widow and a resident of Bacoor City, Cavite
hereinafter referred to as the "VENDORS":

-and –

VERA FAYE FIDEL FAYLONA married to IVAN ROLAND T. FAYLONA, both of legal age, Filipino
citizens and with residence and postal address at KRL Building, Blk. 14 Lot 14, Cocoville Subdivision,
Calumpang Cerca, Indang, Cavite, hereinafter referred to as the "VENDEES”.

WITNESSETH THAT:

WHEREAS, the VENDOR is the absolute and registered owner of a parcel of land located at
Barangay Dalusag, Gen. E. Aguinaldo, with an area of FORTY EIGHT THOUSAND ONE HUNDRED SIXTY
NINE (48,169) SQUARE METERS, and covered by Transfer Original Certificate of Title No.
CARP2014000029 hereinafter referred to as the "SUBJECT PROPERTY", which is more particularly
described as follows:

Record No.) situated in the Barangay of Dalusag, Municipality of Gen. E. Aguinaldo, Province of Cavite,
Island of Luzon. Bounded on the SW., NW., & NE., along line 1-2-3-4-5-6-7-8-9 by Creek (3.00 m. legal
easement); on the NE., along lines 9-10 by Lot 2215; on the NE., & nw., along lines 10-11-12 by Lot 2078
both of the subdivision plan; on the NE., along line 12-13 by Narvaez River (50.00 m. wide); & on the SE.,
along line 13-1 by Lot. Beginning at a point marked “1” on a plan being S. 06 deg. 11’E., 4067.99 m from
BLLM No. 1, Cad 489-D, Gen. E. Aguinaldo Cadastre. beginning, containing an area of FORTY-EIGHT
THOUSAND ONE HUNDRED SIXTY-NINE (48,169) SQUARE METERS, more or less

WHEREAS the VENDORS desire to sell a portion of the said parcels of land with a total area of
TWENTY-FOUR THOUSAND SIX HUNDRED TWENTY-TWO (24,622) SQUARE METERS, and the
VENDEES is able, willing and ready to purchase the same under the terms and conditions hereinafter set
forth;

NOW, THEREFORE, for and in consideration of the above premises and the covenants herein
stipulated, the Vendors and Vendees (collectively referred to as "Parties") have agreed to enter into this
Contract under the following terms and conditions:

1. Total Contract Price - The Vendors agree to sell the Property to the Vendees for the Total Contract Price
of TWENTY-FOUR MILLION SIX HUNDRED TWENTY-TWO (PHP 24,162,000), Philippine currency.

2. The earnest money in the amount of TWO HUNDRED THOUSAND PESOS (P 200,000) was paid last
August 15, 2023 in favor of the Vendors.

3. Schedule of Payment - The TCP shall be paid by the VENDEES to the VENDORS by the following
Schedule:
3.1. Down Payment of TWO MILLION TWO HUNDRED THOUSAND PESOS (Php 2,200,000)
was paid last September 16, 2023.

3.2 Down Payment of TWO MILLION PESOS (Php 2,000,000) was paid last November 22, 2023.

3.3 Down Payment of TWO MILLION PESOS (Php 2,000,000) was paid last December__, 2023.

3.4 Down Payment of TWO MILLION PESOS (Php 2,000,000) was paid last January 29, 2024.

3.4. The remaining amount of FIFTEEN MILLION SEVEN HUNDRED SIXTY-TWO


THOUSAND PESOS (P 15,762,000) shall be paid by the VENDEE to the VENDOR for two (2)
years every quarter, on the following months:

NOW, for and in consideration of the foregoing premises, terms and conditions herein set forth,
and the PRICE paid upon the execution of this Deed of Absolute Sale the VENDORS hereby SELLS,
TRANSFERS, and CONVEYS to the VENDEES all RIGHTS and INTERESTS over PORTION OF THE SUBJECT
PROPERTY.

VENDORS hereby declare and warrant that THE SUBJECT PROPERTY is free from all liens,
encumbrances, and/or claims of any kind, and further binds herself to depend on the VENDEES against
any adverse claim by third parties, if any. The VENDOR shall sign, execute, obtain, and provide any further
document to the VENDEES in case the documents provided herewith turn out to be invalid, insufficient,
improper or unacceptable to the authorities concerned to transfer the title of PORTION OF THE SUBJECT
PROPERTY to and register in the name of the VENDEES.
