Based on our recent online interview with you, we are pleased to extend you an offer to join
Castle Hospital at 54 4 Westwell Ct. Newcasle upon Tyne,Newcastle upon Tyne, NE3 1YY, 1YY as
Yoga Instructor. Your employment is effective from Sept 13, 2021.

2. Your annual compensation will be GBP 109,380 (One Hundred and Nine ThousandThou , Three
Hundred and Eighty Great British Pounds) and Will be structured as per the attached Annexure-
I “Compensation Structure”.. This will continue to be applicable until further communication
on the same. All tax liabilities arising
ising out of your compensation package, present or future, shall
be borne by you as already been structured.

3. Your employment with Castle Hospital will be governed by the attached Annexure-II
Annexure
“Terms of Employment”.
You are required to carefully read, understand and accept these Terms of Employment

4. Upon joining, you may undergo few days or weeks of orientation program in our Hospital
complex to acquireire the necessary knowledge to enable you to successfully perform to the
expectations of the position offered to you. This offer and your employment with our Hospital
are contingent, upon you successfully completing the orientation program as per the satisfaction

of the hospital, you will be fully integrated..

5. You are required to provide copies of all mandatory documents required by tthe
he hospital before
joining and during your employment, as per the timelines communicated by the hospital

time to time. These documents include, but are not limited to, your education certificates and
past employment/s experience letters. (Optional)

ANNEXURE II
TERMS OF EMPLOYMENT

Your employment for Castle Hospital, will be governed by Hospital's policies, as modified, from
time to time and at Hospital’s sole discretion, upon notice to you.

The terms and conditions contained herein ("Terms of Employment") must be read carefully.
Any policy infraction will amount to breach of your terms of employment and may lead to
termination
of your services. These Terms of Employment and policies shall be subject to modifications,
from time to time, upon notice to you.

1. Probation

1.1. You shall be on probation for a period of ninety (90) calendar days from the effective
start date of your employment with the hospital. hospital may, in its sole discretion, at anytime
extend
this period of probation for an additional period up thirty (30) calendar days upon notice to you.

1.2. Unless otherwise communicated to you by the Hospital, the probation period shall expire in
ninety (90) calendar days after your effective start date, unless the probation period is extended
up to
an additional thirty (30) calendar day period, in which case, the probation period shall expire
after a
maximum of one hundred and twenty (120) calendar days after your effective start date.

2. Employee screening
2.1. You acknowledge and agree that Our Hospital has offered you employment based on the
specific

Information and records furnished by you or on your behalf. You will provide or arrange to
provide any
information and/or grant any consent or permission required by the Hospital and/or its agents
from time to
time to verify any such information and/or records and/or perform any background and/or
reference
checks. If, at any time, Hospital believes, at its sole discretion, that there is a discrepancy or
inaccuracy in or with respect to any information furnished by you or on your behalf, including
any
information, documents or certificates provided as a proof of your qualifications and experience,
or if
you fail to cooperate with the hospital and/or its agents in conducting such verification and/or
background
and/or reference checks, Hospital may, at its sole discretion, elect to terminate or suspend your
employment immediately

3. Duties
3.1. The roles, responsibilities and duties appropriate to your designation or your employment,
will be

As specified in the first page. Hospital management may at any time, in its sole discretion, upon
notice
to you, alter or otherwise modify these roles, responsibilities and duties. Further, in time of
emergency, you may be required to provide services, directly or indirectly, to your department
and its affiliates .

3.2. You will devote your work time solely to the hospital activities. You will not take on any
employment
or work of any nature without the written consent of hospital management .

3.3. In case you are found taking up any other employment except mentioned permission, your
services
shall be liable to be terminated without any notice and without assigning any further reason.

4.Working Hours:

4.1 We have three (3) different shift per day, (Monday to Friday). Each shift constitute of
Seven hours (7). ( Morning shift 8am—3pm, Evening Shift 4pm—11pm, and Night shift
12am—7am). Every staff is entitle to 45 minutes of Meal break in each shift. Each staff is
also entitled to 1 day week off, this will be made known through work roaster.

5. Visa Procurement and Reimbursement of Expenses (For foreign employees )

5.1 Hospital will send all the essential supporting documents to the UK Visas &
Immigration for your Visa / Work permit approval,

5.3 you will provide the necessary required documents ( such as international passport
copy, other academic credentials as may be required by the visa unit) in the British High
commission in employees home country.

5.4.The company will pay your Visa fee as soon as the High commission examines your
documents and declared you eligible for visa issuance .
5.5 Hospital management will book your flight ticket upon completion of your visa
processing, and a copy of it sent to us

5,6 You will take care of any little expenses / charges in your country Immigration only if
required.

5.7 Such expenses and costs in connection with Visa and work permit and any other
expenses incurred by you during course of your work permit, will be reimbursed in accordance
with the
travel and expense policy of our hospital

6. Salary and Benefits


6.1. Your compensation will be reviewed on an annual basis and your salary may be revised
depending upon various factors, including your performance during the preceding performance
period.

6.2. Notwithstanding the above, you acknowledge that it is hospital’s policy to review the
compensation Payable to its employees and such compensation may be decided basis employee
and hospital overall
performance.

6.3. In addition to your salary, you may receive other benefits, as applicable under the hospital’s
benefits
or similar policies. Hospital may, upon notice to you, at any time and in its discretion, amend,
suspend, vary and modify any of the terms and conditions of these benefits and/or policies. The
compensation and/or benefits offered to you by the hospital may be prorated depending on your
effective start or effective termination date.

6.4 Company will provide quality single or family housing accommodation in the hospital's
residential quarters
6.4.1 Medical care and checkups for employee and family after employee’s completion of
health surcharge
6.4.2 Excellent education assistance benefits with family status employment
6.4.3 Pay airfare allowing full flexibility with family status employment for employees from
outside UK
6.4.4 Full access to Hospitals internet (WIFI)
6.4.5 Full access to recreation facilities.

7. Leave Policy
7.1. Hospital’s leave policy shall apply to your employment and may be modified by Company
at any time, in its sole discretion, upon notice to you
8. Termination

8.1. Your employment shall terminate immediately:

8.1.1. When you reach the age of sixty (65) years.

8.1.2. If you decide to leave services of the hospital at any time, you will be required to give not
less
than 30 days’ notice in writing and the hospital may at its sole discretion relieve you of your
duties anytime during the notice period, and in that event you will be paid salary up to the last
working day. In case, due to reason beyond the employee’s control, the employee is required to
give notice less than the notice period, the hospital may at its sole discretion, relieve the
employee
of its duties before the completion of the mandatory notice period with or without payment of
salary in lieu of such notice period or shortfall therein.

8.1.3. Upon Hospital’s notice to you, if you are in breach of any of the terms contained herein or
any
of the Hospital’s policies and you have failed to cure such breach within thirty (30) calendar days
of notice of such breach.

8.2. Hospital may terminate your employment immediately, with or without notice, on
occurrence of:
8.2.1. Theft, intoxication or illegal drug abuse, unauthorized absence in excess of the hospital
leave policy, unauthorized disclosure or misuse or attempted unauthorized disclosure or misuse
of the
Hospital’s Confidential Information, gross insubordination, Harassment.

8.2.2. performance of your obligations hereunder, act of fraud or being arrested, charged or
convicted
in a criminal proceeding or similar proceeding that involves a matter which hospitals believes, in
its sole discretion, may affect the performance of your obligations hereunder, may affect the
hospital and/or its affiliates and their employees, contractors and/or clients or may otherwise
bring the hospital and/or its affiliates and their employees, contractors and/or clients any
disrepute, whether or not such matter is directly related to the affairs of the hospital and/or its
affiliates and their employees, contractors or patients; and or:

8.2.3. Involvement in any act of immoral activities.


8.2.4. If it has been alleged and prima facie established through preliminary internal inquiry that
you have committed sexual harassment.
9.Consequences of termination

9.1. Upon termination or expiration of your employment, for any reason, or as otherwise
requested by
the hospital, you will return to the hospital:

9.1.1. Any property belonging to the hospital, that is in your possession, custody or control,
including but not limited to laptop computer, uniform, hospital record book, identity card,
access card and other devices with details of any passwords or user ids installed therein; and

9.1.2. All Confidential Information and any work product, including any documents and
information, and any other documents or any written or machine readable material relating to
the business and affairs of the hospital or third parties that you have obtained access to by
virtue of your employment with the hospital, of whatever description or in whatever form,
tangible or intangible, in your possession, custody or control together with copies, notes or
summaries of such documents and your own working papers which are derived of or based on
such documents or work product.

9.1.3. After termination or expiration of your employment, you shall not make any
representations to any third person, entity or corporation for or on behalf of the hospital,
including use of the name of the hospital or the logo of the hospital. You shall also inform
all concerned parties, as well as update all your professional references or social media
accounts. During your employment, and thereafter, you shall not make any adverse written or
oral statement or take any action, directly or indirectly, which you know or reasonably should
know to be disparaging or negative concerning the hospital publicly (including on any form
of social media) or otherwise, except as allowed or required by law

9.2. Any termination of employment or these Terms of Employment by hospital shall be without
any further liability of hospital and its affiliates and their employees or patients to you
or to your successors-in-interest or assigns.

10.4. Hospital, in cases of data theft, failure to return hospital property and/or compromise of
hospital confidential information, or any other violation of your obligations under this clause 9,
non-settlement of monetary dues, by the employee, shall be entitled to, at its sole discretion,
withhold the relieving letter and all other documents regarding your employment hereunder.

10.Confidentiality
10.1. You agree, as part of your employment hereunder, you will have access, directly or
indirectly, to

certain Confidential Information of the Hospital and its patients, affiliates and their employees,
and/or clients. At any time during the term of your employment, you agree to execute non-
disclosure or similar agreements required by the hospital and its affiliates and their employees,
patients and/or clients with respect to such confidential Information.

10.2. During the term of your employment and thereafter, you shall:
10.2.1. hold the Confidential Information in the strictest confidence;
10.2.2. not make known, communicate, share, provide access to, transfer, disclose, reproduce,

distribute or use or attempt to use, reproduce, distribute or disclose or otherwise make


available, the Confidential Information ot patients , at any time, either during or after your
employment
with the hospital, except as expressly permitted in writing by the hospital and solely for
the purpose of performing your assigned duties for the hospital for which such Confidential
Information was disclosed to you and you shall also use your best endeavors to prevent any
other person from doing so;

10.3. You confirm that you will maintain confidentiality with regards to records, documents and
other
information relating to the patients of the hospital which may be confided to you. You shall

immediately return any records, documents and other information of the hospital and shall not
reain or share any copies in any form upon cassation of your services.

10.4. “Confidential Information” means any proprietary or confidential information of patients,


equipment which you were trained to use or other resources of the hospital.

11.Data Privacy Policy


11.1. Hospital may, in connection with your employment, receive personal data relating to you or

Third parties associated with you (such as your spouse or children). Such data may be received
from you, or from other sources, and some limited personal data maybe recorded directly or
indirectly by internal security systems or by other means. By signing these Terms of
Employment,
you consent to the terms and conditions of the Privacy Policy, as maybe modified by hospital at
any time, and in its sole discretion, upon notice to, and you expressly consent to the following:

11.1.1. The processing of your personal data in accordance with the Privacy Policy;
11.1.2. The collection and processing of sensitive personal data about you to the limited extent

And for the purposes described in the Privacy Policy;


11.1.3. The transfer worldwide of personal data held about you by the hospital to other

Employees and offices of the hospital and to third parties where disclosure to such third
parties is required in the normal course of business or by law
12. Non-Compete
13.1. During the term of your employment or these Terms of Employment, you will not, directly
or

indirectly, either alone or jointly with or as manager, agent, consultant or employee of any
person,
firm or hospital, engage yourself in any activity or business which could result in direct or
indirect competition with the services of the hospital.

13.Warranties
13.1. You warrant that your employment with our hospital will not violate or otherwise conflict
with any

Agreement (oral or otherwise) to which you are or have been a party to


13.2. You warrant that you have satisfactorily completed all of your obligations under any

employment contract or other contract or agreement with hospital that previously employed or
contracted with you and that any previous employment contract and/or relationships have
terminated and/or expired prior the effective start date at our hospital

13.3. You warrant that you will comply with all of hospitals’s policies and standards (including
the
Hospital’s Code of Conduct, Corrective and Disciplinary Action Policy, Information Security
and Leave Policy amongst others) in effect from time to time and shall perform your services in
a
professional manner and in a manner consistent with the ethical and professional standards of
hospital or otherwise as applicable to the services provided by you hereunder.

14.Indemnification
14.1. You agree to indemnify the hospital and its affiliates for any losses or damages sustained
by

hospital and its affiliates which is caused by or related to your breach of any of the provisions
contained in this Terms of Employment.

15.General
16.1. These Terms of Employment and your employment is personal to you and you cannot
assign,

subcontract or transfer your obligations hereunder to any other person or entity. Castle Hospital
may
assign these Terms of Employment, in part or whole, upon notice to you. No delay or failure by
Castle Hospital to exercise any of its powers, rights or remedies under these Terms of
Employment will
operate as a waiver of such powers, rights or remedies. If any provision of these Terms of
Employment is held by any competent authority to be invalid or unenforceable, the validity of
the
other provisions and the remainder of these Terms of Employment shall not be affected. You
shall
not make any announcement concerning hospital and its Patients and their employees,
contractors or clients without hospital’s prior written consent and you shall not use or disclose
the name, trademark, domain name, service mark, logo or any other intellectual property of
hospital and its affiliates and their employees, contractors or clients. These Terms of
Employment will be construed in accordance with and governed by the Laws of the United
Kingdom. These
Terms of Employment are integral part of your ‘Appointment letter (and any attachments
thereto)’, are the exclusive and entire agreement between the parties relating to its subject matter,
and supersedes all prior and contemporaneous discussions, agreements, negotiations,
representations, and proposals relating to the subject matter hereof.
