WHEREAS, the SELLER agreed to sell and the BUYERS agreed to buy the

NOW, THEREFORE, for and in consideration of the foregoing premises, the

The title herein conveyed is free from all liens and encumbrances.

Capital gains tax on the sale of the Subject Property shall be borne by the
SELLER.
 Value Added Tax on the sale of the Subject Property, if applicable, shall be borne
by the BUYERS.

The registration fees, documentary stamps, transfer tax and other expenses
incidental to the transfer of the title in the name of the BUYERS shall be borne
equally by the parties.
