Strategic Memorandum of Understanding

Ayon Chatterjee, Director, CENDEUX SERVICES PVT. LTD.

and

Soham Das, Founder, MORNING TIME

This Memorandum of Understanding (MOU), dated 29th day of October 2019, sets for the terms and
understanding between the two aforementioned companies to serve as the proof of incorporation and
inclusion.
Background
Morning Time a start up founded by Soham Das in June 2019 is hereby declared to be an initiative under
CENDEUX SERVICES PVT. LTD. The purpose and operational details of the above-mentioned
agreement has been enclosed herein.
Purpose
This MOU will stand as the official document of verification that Morning Time is part of CENDEUX
SERVICES PVT. LTD. from this moment onwards. This MOU serves the following purposes:
 Mutual benefit of both the companies by exchange of ideas and resources.
 Financial assistance to Morning Time by CENDEUX SERVICES PVT. LTD.
 Stake of CENDEUX SERVICES PVT. LTD. in Morning Time for its better interests

The above goals will be accomplished by undertaking the following activities:

 A semi-annual meeting in presence of a reporter to exchange information about the performance
of Morning Time
 Access of CENDEUX SERVICES PVT. LTD. to all documents and financial statements of
Morning Time deemed only for verification purposes only
Reporting
This MOU is being undersigned in the presence of a third party member with no vested interests in either
of the companies.
Funding
This MOU is not a commitment of funds.
Duration
This MOU is at-will and may be modified by mutual consent of authorized officials from CENDEUX
SERVICES PVT. LTD. and Morning Time. This MOU shall become effective upon signature by the
authorized officials from the CENDEUX SERVICES PVT. LTD. and Morning Time and will remain in
effect until modified or terminated by any one of the partners by mutual consent. In the absence of mutual
agreement by the authorized officials from CENDEUX SERVICES PVT. LTD. and Morning Time this
MOU shall end on 29th day of January, 2021.
