1) Contract Parties

out in accordance with the terms and conditions of this contract and at the prices specified in Appendix
B of this contract.

2) Dates

3) Laws enforceable, interpretation and arbitration

A) This contract is subject to Law No. (6) of 2008 regarding purchases, tenders, auctions, warehouses,
and other legislation Applicable in the Emirate of Abu Dhabi and in the United Arab Emirates.

B) The main headings in this contract are provided for convenience and reference only and do not
considered as part of this contract and do not have any Influence in interpretation.

C) The contractor shall obtain all licenses and permits required by the laws in force to implement this
contract.

D) Any conflict between the articles of this contract and other documents that prevail in the provisions
of the contract, and in the event of a conflict between the articles of the contract, the provisions of
the subsequent article shall prevail. On the provisions of the previous article.

E) Any dispute, lawsuit or dispute arising out of or related to this contract or any breach thereof shall
be referred to the two parties to settle it amicably, and in the event of failure of the endeavours. To
resolve the dispute, it is referred to the competent Al Ain City Court for a decision.

4) The entire contract

A) This contract constitutes the entire agreement between the two parties and includes all the terms
and conditions agreed upon between them

B) No party shall be obligated or responsible for any statement, acknowledgment, promise,


solicitation, or understanding of any kind or any nature except as stipulated in this contract.

C) No changes, amendments or modifications to the terms and conditions of this contract shall not be
applied unless they are made pursuant to an “amendment order” signed by the two parties.

5) Contractor independence

During the contractor's implementation of this contract, he must act as an independent contractor
and not an agent for the department and he is not entitled to submit any declaration, undertaking or
A commitment of any kind on behalf of the department and that it does not bind it in front of others
in any action.

6) The value of the contract, invoices and payments

A) The department shall pay the contractor the value of the contract specified in Appendix B of this
contract to fulfil all the contractor's dues related to this contract.

B) In exchange for the department's payment of the contract value, the contractor duly undertakes to
implement and provide the services indicated in Appendix A of this contract and to undertake all

Actions and other matters necessary and which can be understood within the security of this contract
at the times and by the manner and according to the terms and conditions and the texts included in
it.
C) The price of services stipulated in this contract is the full compensation owed to the contractor in
exchange for the services and it includes all costs Care expenses, agency, taxes, customs, fees, fees,
foreign exchange differences, or any other burdens Whatever type, it is borne by the contractor alone,
including the value-added tax.

D) Prices are fixed, fixed and not subject to increase in any way.

E) No amount shall be paid to the contractor unless he issues a performance bond specified in Article
No. (2) Paragraph B of this contract in accordance with the conditions. And the provisions stipulated
therein and are submitted to the department. (To be deleted if the general conditions, clause 10, are
applied)

F) The date of payment, or the time of determining the amount of any discount, starts from the date
the department receives a valid invoice and any other specified documents.

G) Any payments made by the department should not be interpreted as a waiver of its right to object
to any invoice that has been paid, and the department has the right to Rejecting any invoice that the
contractor did not deliver within a period of (6) six months from the date on which a certain work was
performed or from the date of bearing certain costs. It can be paid unless this bill is a

7) The contractor's representative

A) The contractor, before commencing the implementation of the works under this contract, shall
appoint a qualified representative whom the department accepts to represent him and act on his
behalf at all times regarding Related to the contract and the contractor is obligated to inform the
department in writing of the address and phone numbers through which this representative can be
contacted day and night as well as his powers.

B) After the department has approved the contractor’s representative, it is not permissible to change
him or his powers without the department’s written approval.

C) The contractor’s representative shall be generally responsible for the contractor’s works related to
this contract, whether these works are carried out at the contractor’s headquarters or in Its branches,
and if necessary, must be present at the site at the times specified by the department.

D) If the department considers at any time that the contractor's representative or his equivalent is not
cooperative, incompetent or negligent, or for any other reasonable cause, The contractor shall exclude
that person at his own expense upon receiving a written notice from the department requesting such
exclusion and proceeding Immediately he is replaced by another suitable person who is accepted by
the department representative.

8) Insurance and compensation

A) Notwithstanding any condition to the contrary, the services provided shall be the responsibility of
the contractor.
B) The contractor shall notify the department as soon as possible and in all cases within two business
days from the date of the occurrence of any accident likely to result To the department's insurance
claim against a third party. The contractor must also submit all insurance claim documents to the
department as soon as possible

In all cases, within (15) fifteen days from the date of that accident. The actual settlement of the claim
will be made by the insurance companies of the department directly.

C) Provided that the insurance is provided by the following approved insurance companies: 1 Abu

D) In no case shall either party be liable to the other party or its allies or subcontractors for any loss
or damage. Direct, punitive or consequential, including damages and claims in the form of gain,
income, lost profit or loss of opportunities Investment.

E) The contractor shall discharge, protect, defend and indemnify the department, its allies, officials,
employees, subcontractors and its agents from All claims, liabilities, damages and expenses including,
without limitation, attorneys ’fees and other defense expenses Resulting from this contract or
incidental expenses for:

- Any and all injuries, deaths or illnesses of any of the Contractor's employees or the liability of his or
his agents or subcontractors; or

- All damage or loss to the Contractor's property, Contractor's employees, liability, or his agents or
subcontractors, or any third party, except for It is the result, whether in whole or in part, of gross
negligence or intentional wrongdoing on the part of the department and its allies, officials and

F) Without specifying any of the obligations and responsibilities of the contractor under this contract,
the contractor shall be required for the duration of this contract from the date of its commencement
until

whatsoever.

9) Adjustments and Modifications

A) No amendments are made to any paragraph, condition or clause in this contract except by signing
an amendment order duly signed by the two parties. The amendment executed in this way is an
integral part of this contract.

B) The contractor must fully comply with all the terms and conditions of this contract and not
implement any amendments to it until this is officially approved. By duly signing the amendment order
from both parties.
10) Inspection and testing

A) The contractor undertakes that the services provided are prepared and capable of inspection and
testing by the department at all reasonable times.

The contractor shall allow or provide the department's access to all the workshops and other sites
where the services are set up, including offices Subcontractor. The department reserves the right to
audit the quality and location of final acceptance.

B) The department's inspection and testing, its not failure to do so, its partial or complete assignment,
shall not be deemed an acceptance by the department or a clearance by the contractor of his

C) If, after conducting an inspection and testing, it becomes evident to the Department that any of the
services do not meet the specifications, the contractor shall immediately undertake the repair or

Replacement according to the circumstances and at his own expense, and the contractor does not
grant any additional grace or extension of the contract period to implement such repair or
substitution.

D) If the contractor does not repair or replace any service deemed unacceptable by the department,
the department in this case has the right to repair or assign Any other party to carry out the repair or
replacement at the expense of the contractor and deduct the related expenses from the contract
value.

E) If compliance with the provisions of this contract or any applicable law requires examination or
inspection of services, the contractor is obligated to notify the department in a timely manner. He is
reasonable in his willingness to examine or inspect, and if that requires the presence of a party other
than the department, he shall inform the department of the specified date and bear Contractor all
costs and expenses related to the inspection or inspection process.

F) If the department has appointed a third party to conduct the inspection, the contractor must

the representatives of the department who are authorized for the purposes of disclosure and
examination of services in accordance with the provisions of this contract.

11) Performance Bond (to be removed if the general conditions, clause 10) apply.

A) The contractor is obligated to hand over to the department the banking performance bond
specified in Article (2) paragraph (b) of this contract at his expense, which must It shall be issued by
an approved bank in an acceptable form within (15) fifteen days from the date of its notification of
accepting its bid.

The contractor must ensure that the bond remains valid at the value stipulated in Article (2) Paragraph
(B) of this contract.

B) A performance bond shall be deemed a guarantee for the contractor to implement his obligations
under this contract regardless of any modifications or Additional may be agreed upon.

C) If the contractor delays submitting a performance bond within fifteen days from the date on which
this contract comes into permeation, the department may implement the subject matter of the
contract All or part of it is on his account without taking any judicial measures and without prejudice
to its right to claim any other compensation and deduct it from His dues from any other party or his
legal claim.

12) Delay fines

A) If the contractor fails to perform the services before or by the completion date, he must pay
compensation to the department, as a delay fine, not exceeding About 10% of the contract value. If
the achievement is divided into stages, then the aforementioned 10% will apply to the relative
contract value for each stage.

B) The delay fine is calculated by dividing the delay period on the entire period of the contract or the
stage, as the case may be, multiplied by the value of the contract or the stage.

C) The department is not obligated to answer any inquiries regarding the imposition of a delay penalty.

D) The Department has the right, without prejudice to its right to use any other means of claim, to
deduct the value of fines from any amounts due or may It is due to the contractor and to confiscate
the bank guarantee presented by the contractor. (To be deleted if the general conditions, clause 10,
are applied)

E) Paying or deducting fines does not relieve the contractor from its obligation to fulfil all of its
obligations under the contract.

13) Claims and mortgages

A) The Department has the right of a first-class mortgage on all materials and devices designated for
the performance of work under this contract that are intended to be included or included in the
services in order to ensure that the contractor performs his obligations under this contract.

B) The contractor shall not pledge or perform any act, agreement or thing that leads to a mortgage or
obligation on any materials or equipment that constitute or are intended to be part of the services.

C) The contractor shall protect, indemnify and preserve the department from and against any and all
liability in relation to the payment of the value of any mortgage or obligation that he claims on the
property of the department or the services or any part thereof for which the mortgage or obligation
is claimed to have been established by the contractor or by any of the Subcontractors or arising from
the works rendered or the materials and devices supplied and associated with the contractor's
operations related to this contract. The provisions of this Article shall apply to such mortgages and
obligations that are created by the department and for the department's account alone.

D) If the contractor fails to settle any mortgage, obligation, or claim in respect of which the provisions
of this article apply despite the passage of 14 days after his prior notification

The department must do so, the department has the right to make the settlement and to deduct and
seize any payment that is due or will be due to the entire contractor. The costs and expenses incurred
in order to do so, including all legal costs and expenses, regardless of their amount, in addition to any
losses the department is exposed to it as a result of the contractor's failure to settle
14) Subcontractors

A) The contractor shall provide a list of the names and addresses of all subcontractors, consultants
and any other service contractors working with him in the implementation of Contract.

B) The contractor shall be fully responsible for all works and services performed by the subcontractors,
and for the materials and equipment supplied by them

And for every action or inaction on the part of subcontractors and persons, whether directly or
indirectly employed.

C) The contractor shall pay the dues of the subcontractors within (30) days from the date of receiving
their dues from the department.

15) Terminate the contract

The department has the right to terminate this contract by sending a written notice to the contractor
for a period of one month, according to which it becomes aware of its intention to terminate the
contract, provided that it pays him part of the value The contract is consistent with the services
provided and accepted by the department.

16) Suspension of work

The Department has the right at any time to demand the contractor to halt its work related to this
contract in whole or in part, and the contractor must stop work accordingly.

17) Conflict of interest

Each party exerts reasonable care and attention to prevent any actions that may conflict with the
interests of the other party.

18) Waiver

The contractor shall not assign or transfer in any way or estimate directly or indirectly the contract or
any part thereof or any share or Interest in the contract without the department's prior written
consent.

19) The majeure force or Compulsivity

A) If, at any time, one of the parties becomes unable, in whole or in part, temporarily or as a result of
force majeure to implement his obligations under the contract and in the Case The other party was
given written notice of the force majeure case within seven days after the party facing the force
majeure case learned of its existence. That case, then the obligations of that party will be suspended
as long as it remains unable to fulfil its obligations as a result of force majeure, and on that party Notify
the other party of the end of the force majeure situation within seven days of the date on which it
becomes aware of its end.

B) Neither party shall be responsible for any delay caused by force majeure, provided the
aforementioned signs are directed.

C) The term force majeure used in this contract includes unforeseen circumstances beyond the control
of the party that faces it His ability to overcome or predict it if he takes the necessary care.
D) The burden of proving the existence of force majeure in the event of a dispute about it rests with
the party claiming it.

20) Confidentiality of information

The first party has the right to resort to any judicial measures stipulated by law, including
compensation for any loss or damage that he suffers from The second party, in connection with any
violation of any clause of the contract and the prosecution or any future amendment orders, and the
claim for compensation for Unauthorized use or disclosure of any confidential information. Also, the
second party will be fully and directly responsible for any action or Overrun by any third party,
including its affiliates or agents.

21) Arabic Language

The Arabic text is the only one applied on it alone in all matters related to the application and
interpretation of all articles and clauses of this contract and its documents. Correspondence in Arabic.

22) Advertising

A) The contractor may not publish, announce to the public, or transmit any matters related to the
services that are the subject of the contract except after obtaining prior written permission. From the
department, and it is not permissible for him or any of his employees or subcontractors to disclose
any of them or to inform parties or individuals who are not concerned with them except According to
the regulations and procedures in force in the government agency.

B) The contractor's employees working in any of the headquarters and work sites of the department
shall not intentionally access or disclose any information or contents to others Documents related to
the department that do not relate to the implementation of the obligations of this contract, and they
must sign declarations accordingly at the beginning of the contract's validity.

23) Health, Safety and Environment

A) The contractor shall comply with Chairman of the Executive Council No. (42) of 2009 regarding the
Health and Safety Management System in the Emirate of Abu Dhabi and "Framework Legislative
system for the environmental, health and safety management system in the Emirate of Abu Dhabi
"and the requirements of the relevant department., the contractor must contact the department's
representatives to obtain a statement of the mentioned requirements, and submit within fifteen
days from Effective date of this contract An HSE plan compliant with the aforementioned
requirements outlining the strategy, resources and procedures And implementation mechanisms.

B) The Contractor's employees working in any of the headquarters and work sites of the Department
shall comply with the following:

- The requirements of the health, safety and environment system and applicable in the department.

- Procedures for entry and exit to headquarters and work sites.

Knowing the names and phone numbers of the emergency team in the department.
Identify emergency and assembly exits, comply with instructions in cases of evacuation, and adhere
to the preventive and corrective measures that it is requested of them.

Report any accidents, injuries, or situations that may lead to work-related injuries, and about changing
their work sites and methods of contacting them in - Emergency cases.

24) Controls of private sector contracting with government agencies in the Emirate of Abu Dhabi

The contractor is obligated to:

A) Provides health insurance for its workers.

B) Availability of adequate housing for its workers in the Emirate of Abu Dhabi.

C) It provides valid residency for its employees in accordance with the legislation.

D) Implementing the wage protection system which applicable the Ministry of Labour in the United
Arab Emirates.

E) Apply the rules and provisions of the Labour Law in the United Arab Emirates.

F) Submit within 15 (fifteen) days from the beginning of the effective date of this contract with copies
of certified documents for the following:

- Proof of health insurance for its employees issued by a competent authority.

- Proof of providing adequate housing for its workers in the Emirate of Abu Dhabi.

- Valid residency for its employees.

- Evidence of the application of the wage protection system applicable at the Ministry of Labor in the
United Arab Emirates.

- A certificate from the Ministry of Labour that there are no violations of the Federal Labour Law in
the United Arab Emirates.

- Issuing a quarterly report with any amendments and updates to the above data.
Appendix A: Scope of Services

1. This tender is subject to Law No. (6) of 2008 regarding purchases, tenders, auctions, and
warehouses.

2. All companies must submit their sealed offers electronically, and the question will be made through
the system about the type of attached file.

The technical and financial proposal is listed separately according to the options in the system, and it
is forbidden to refer to any amounts related to the financial value of the tender in the technical
submission section or in any of the notes fields. Any party that does not abide by this condition will be
excluded from tender.

3. The tender bid form must be attached to the technical and financial proposal in the system.

5. A non-conflict of interest certificate approved by the company must be attached to the technical
and financial offer in the electronic system.

4. All companies must attach a copy of the company's commercial license to the system, noting that
any company that does not have the following activity: General maintenance category (special, first
second, third, fourth, fifth and sixth)

6. Providing the contractor to the Al Ain City municipality with a list of all equipments or machineries
that will be used in the project and attaching certificates proving the calibration of all devices.

7. The contractor shall provide Al Ain City Municipality with a weekly report indicating all (work
injuries, violations of environmental impact and new risks). - -

8. The contractor is qualified according to the conditions of the environment, health and occupational
safety in applicable in the Emirate of Abu Dhabi and according to the certificate issued by the
Department of Public health in the of Al Ain city municipality. (This clause is only for road and park
contractors contracts).

9. The financial payment due at the time specified in the contract, accompanied by the documents
required disbursing the payment, and in the event of delay, the contractor shall be notified from The
consultant accepted the necessity of completing the request for disbursing the payment within fifteen
days. If the contractor continues to delay, the consultant submits Requesting the financial payment to
be disbursed to the contractor according to the procedures followed in this regard.

10. The representatives of the bidders who have submitted bids are allowed to attend the session of
the bid opening committee in which the submitted bids are opened. In one envelope, or the session
in which the financial offers that are presented in separate envelopes from the technical offers are
opened. Attendance is required the session delegate must present proof of his identity and
authorization to attend the session.

11 The bidder (the contractor) bears full responsibility for the difference in the pricing clauses or any
calculation errors that he makes when submitting the financial offer.

Concerning the project subject of the contract, whether in the bills of quantities or in the statement
of opening the envelopes and the bidder (the contractor) is committed to the lowest prices provided
by him, and the department does not bear any responsibility for that.
12. Al Ain City Municipality shall be committed to award based on the lowest financial evaluation of
the technically successful bids in accordance with the standards considered by Al Ain City Municipality.

13) The second party has an obligation to deal with the emergency, crisis or disaster in a coordinated
and effective manner, so that you can fully recover from Disruption, and during this exposure to this

16 - Maintenance, repair and intervention for a period of three years for all mechanical systems,
electrical and electronic installations and emergency civil maintenance work for all toilets of the
municipality in Al Ain City (for 65 toilets delivered to the contractor in stages) according to the
attached quantities tables and the specifications required for sites according to the attached list

17- Mechanical works and their accessories:

1. Fire-fighting works and their accessories,

monthly count of all fire extinguishing cylinders, to ensure their safety at any time throughout the
contract period with the repair and replacement of damaged ones, provided that the fire extinguishing
cylinders are examined by a specialized company approved by the Civil Defence.
2. Water network works and their accessories:

Doing the necessary maintenance in a way that ensures that all water supply systems in all buildings
covered by this contract work are operating well throughout the contract period with replacing the
damaged parts in any of them. It includes:

• Checking all types of water supply lines, mixers, faucets and accessories of all kinds, sanitary
devices and their accessories and to ensure its safety with repair and replacement of the
defective.
• Check all pumps and do all the required maintenance.
• Inspecting drinking water coolers and doing the necessary maintenance.
• any breakage or damage to the water pipes inside the walls and buried underground inside
the buildings or the external site of any of the various mechanical systems is the responsibility
of the contractor, and accordingly, the work of breakage or drilling, replacing the damaged
pipes, checking them and then re-positioning to what it used to be, it will be included in the
works of this tender.
• change and replace the damaged network of pipes or the main components of the water
network.
• Maintaining and repairing drinking water coolers, washing and sterilizing them monthly, and
doing the necessary maintenance with replacing (5) micron filters every (15) days and every
month for the type (1) micron, so that the filters are of the types approved by food control.
• To carry out cleaning work for the ground and upper water tanks in the covered sites This
tender is made once a year and when necessary and according to the directions of the
engineer, the beneficiary and the responsible team of the Food and Environment Control
Centre throughout the contract period, including any modifications or additions to the
connections and automatic operating factors for the pumps and the covers for these tanks to
ensure the cleanliness, ventilation and safety of these tanks on an ongoing basis throughout
the contract period.

3- Maintenance of suction fans and their accessories including:

• Carry out periodic maintenance work in a manner that ensures the operation of all different
suction fan systems and their accessories in full efficiency throughout the contract period.
• Inspection of their electrical distribution panels, cleaning of electrical circuit breakers and
electrical connections, and replacing damaged ones,
• Inspection of all moving parts of motors or fans and lubrication. Or lubricating them according
to what is on the site and replacing the damaged axles.
• Inspecting the transmission belts and their drums, replacing the damaged ones.
• Painting all units with the necessary paints and resistance to external factors, and replacing
the plates or metal covers in case they are damaged or possessed with new ones.
• Inspecting, cleaning, repairing, painting and replacing the fan blades if damaged.

18- Maintenance, repair and operation of electrical and electronic installations - including periodic
and urgent maintenance work for all contracting work, including but not limited to:
• Doing the necessary and urgent maintenance in a way that ensures the operation of all devices
and equipment of the various electrical and electronic establishments and their accessories in
full efficiency throughout the contract period.

2- Power supply cables and wires:


• The contractor is responsible for inspecting the electrical supply system, including wires and
cables, and for detecting faults, maintaining them, and replacing the damaged parts.
• Inspect and clean the (Cable tray, Tranches, duct, Manhole) of the external and internal cables
and replace the damaged ones if necessary.
• Inspecting all kinds of socket wires and switches, maintaining them and replacing the damaged
ones if necessary.

3- Indoor lighting units:


• Doing periodic and urgent maintenance for all indoor lighting units of all kinds.
• Providing spare parts (Capacitor, Lamps, Starter, Choke ... etc) at any time and using energy-
saving lighting devices.
• Providing the technician at any time to repair emergency faults and replace the defective ones
If necessary,
• Inspect the power supplies, wires and switches for lighting units maintain it.
• Inspect and maintain all kinds of switches (Contactorsetc, Time Switcher, Switchers ... etc),
maintain them and replace the damaged ones.

4- External lighting units:


• Carry out the periodic and urgent maintenance according to the maintenance program.
• Providing spare parts (Capacitor, Lamps, Starter, Choke, ... etc)
• Providing the specialized technician at any time to repair emergency faults, and repair/
replace the damaged ones if necessary.
• Check the switches of the lighting units (Dimer Switch, Timer Switches Switchers), maintain
and replace of damaged ones.
19- Emergency civil works which include:

Aluminium and glass works:

• Maintenance of doors, windows, kitchen cabinets, replacement of damaged hinges, locks,


handles, glass, insect control wire, floor and top closing machines, and all that is necessary to
maintain them, including complete replacement if necessary.
• Maintenance and replacement of damaged partition walls, aluminium and glass facades or
from heat treated glass and everything necessary to maintain it, including full replacement if
necessary.
• wooden works:
Maintenance of wooden doors, windows and cabinets, replacement of damaged hinges, locks,
handles, glass, floor and top closing machines, and all that is necessary to maintain them,
including complete replacement if necessary.
• Iron works:
Maintenance of gates and iron protection networks, and replacement of damaged hinges,
locks, handles, glass and floor closing machines. And the upper and all that is necessary to

Maintenance of False ceilings of all kinds, replacement of damaged ones with the same quality
of existing ceilings and repainting of service openings and keeping them clean throughout the
contract period.

Maintenance and replacement of damaged exterior and interior cladding made of marble,
ceramic and stone, provided that the quantity does not exceed a maximum of 5 square meters

5. Financial penalty conditions for every day that one of the crew members is absent
