Preliminary

A. Mrs. Meneer Problem Background

The business world is a dynamic world. This world is never separated from the problems
of agreements and debts with their respective risks, namely default and unpaid debts. Regarding
the last thing mentioned, debt that is not activated, it is necessary to have an arrangement that
can be used quickly, openly, and effectively to provide an opportunity for the parties to settle a
settlement fairly.
Such efforts can be made through the Bankruptcy Law. The definition of bankruptcy
according to Article 1 point 1 of Law Number 37 of 2004 concerning Bankruptcy and
Suspension of Debt Payment Obligations (UUK-PKPU) is a general confiscation of all assets of
the Bankrupt Debtor whose management and settlement is carried out by the Curator under the
supervision of the supervisory judge as stipulated in the Law. Invite this.
In Indonesia, there are several cases of bankruptcy that attract attention. One of them is
the Bankruptcy Case of PT. Mrs Meneer whose decision was handed down at the Semarang
Commercial Court in 2015. This decision is quite controversial because no one suspected that a
company as big as PT. Mrs Meneer can be sentenced for bankruptcy. Especially considering that
PT. Nyonya Meneer is one of the largest traditional herbal medicine without chemicals in
Indonesia. PT. Mrs Meneer was founded in 1940 in Semarang, Central Java and Jakarta.

Initially, the herbal medicine made by Mrs. Meneer was only for her husband who was
sick, various treatments had been carried out but were unable to restore his husband's condition.
Finally, with the provision of knowledge that is not too broad, Mrs. Meneer concocts a
concoction of natural herbs that are efficacious. Unexpectedly, the herbal concoction she made
was efficacious to recover her husband's illness. His close relatives in Semarang immediately
smelled the cold hand of Mrs. Meneer in processing traditional herbal medicine.

The more people who feel the efficacy of his herbal medicine, the more requests for him
to deliver his own herbal medicine which he has recently started to pack. Because it was not
possible for him to deliver the herbal medicine himself, he apologized with a heavy heart and
instead he put a photo of himself on the packaging of the herbal medicine he made. From there,
Mrs. Meneer succeeded in realizing her dream of establishing an authentic Javanese herbal
medicine company. To make it easier for her customers, Mrs Meneer opened a herbal shop on
Jalan Pedamaran 92 Semarang.

This family company continues to grow with the help of their children who have grown
up. This can help the development of the business that was started by his mother. In the end a
daughter Nonnie moved to Jakarta. It was he who pioneered the opening of the Nyonya Meneer
branch on Jalan Juanda, Pasar Baru Jakarta. At first, Nyonya Meneer's herbal medicine was only
marketed in Indonesia. However, in 2006 the herbal medicine company Nyonya Meneer entered
the international world and succeeded in expanding its marketing overseas.

The marketing of Nyonya Meneer's herbal medicine was expanded to Taiwan after
previously successfully entering the marketing of Malaysia, Brunei, Australia, the Netherlands
and the United States. From there, Mrs Meneer's company began to grow rapidly and has
survived to this day. In 1919, at the instigation of the family, the Herbal Medicine Cap Portrait of

In addition to establishing a factory, Nyonya Meneer also opened a shop on Jalan

who are starting to grow up. In 1940, with the help of his daughter, Nonnie, who had moved to
Jakarta, the Mrs Meneer store branch was established, on Jalan Juanda, Pasar Baru, Jakarta. In
the hands of mother and daughter, Mrs Meneer and Hans Ramana the company is growing
rapidly. This is due to the large number of families who participate and help in the business of
Nyonya Meneer's family.

Nyonya Meneer died in 1978, the second generation, namely his son, Hans Ramana, who
also managed the business with his mother, died in 1976. The company's operations were then
carried on by the third generation, namely the five grandchildren of Nyonya Meneer. However,
the five brothers did not get along and the power struggle became an ongoing dispute during
1984-2000 and was brought to court. When the dispute was so intense within PT Nyonya
Meneer, the Menaker of Cosmas Coal at that time also intervened. This is because conflicts
between families involve thousands of company workers. Finally the brothers decided to split up
and sell their share to Charles Ong Saerang.
The media noted several times that workers' problems and labor strikes occurred in 2000
- 2001 in this herbal medicine company. These include: prosecution of THR payments,
demonstrations, strikes, human rights. However, since the improvement of management under
the leadership of Charles Saerang, there are no longer any personnel problems recorded in this
company. Now the company is purely owned and controlled by one of Mrs Meneer's
grandchildren, Dr. Charles Saerang. Factory PT. Mrs Meneer stands on an area of 9,980 m2 and
is equipped with a laboratory, since 1977.

The office itself is located on Jalan Raden Patah, Semarang. On the second floor of the
factory's main building, a herbal medicine museum was established. The museum is used to learn
various things about the ingredients for making herbal medicine. 5 In a press release, CIMB
Bank Niaga, which conducted Distributor Financing Cooperation with Nyonya Meneer, noted
that the domestic market was controlled by Jamu Nyonya Meneer with the support of 2000
agents through 28,665 outlets spread across 19 provinces. It indicates that in his time, Mrs
Meneer was very victorious and successful in the business world.

Meanwhile, exports continued to be made to destination countries, such as Malaysia,


Singapore, the Netherlands, Saudi Arabia, Australia, Taiwan and the United States, with exports
reaching Rp31 billion in 2007. Nyonya Meneer also plans herbal medicine as a method of
treatment in health institutions with establish a hospital that specifically uses herbs and
pharmaceutical drugs side by side.

B. Company History
