Service Agreement

This agreement forms a binding legal agreement between Joyanta Shutia founder of MyVA Services,
(referred to as “Project Provider”) and physical office exist at Dui Ali Maj, NH37, Near Pragati Chariali,
Sivasagar 785640, India and a contractual vendor of “We work Group”
and
Joyanta Shutia ,C/O Imam Laksono ,residing at
Caruban, East Java, Indonesia (“Associate”), and sets forth the terms and conditions
available on the application owned or controlled by Trell, including, without limitation, the Trell mobile
application (“Platform”), their related websites, services, applications, products and content owned or
controlled by We Work (collectively, the “ Services”).
These Terms are subject to, and shall also include, the Terms of Use of the Platform, the Privacy Policy of
the Platform and the Privacy Policy of the Program, as such terms may be amended from time to time in
accordance with the terms therein. In the case of any inconsistency between these Terms and the Terms of
Use of the Platform these Terms will prevail.

You represent that you are over 18 years old or older, and you have the authority to enter into this
agreement personally or on behalf of the legal entity you represent and to bind that legal entity to this
agreement.

General Terms and Conditions:

1. Tenure: This agreement is valid for a period of 3 months starting from 26th August 2020. Either of
the parties can cancel the agreement by giving prior 15 days’ notice by way of email stating the
reason for the same.

2. Targets: The Company through its representative will set targets for all the Associates. The
Associates agrees to achieve these targets in the timeline specified by the company. Failure to achieve
these targets will impact the pay-outs from the company. Your targets are mentioned in annexure A.
The company may from time to time change these targets and intimate you by way of email.

3. Trell Intellectual Property: The Services and Platform (including all Trell content included or
accessible within) are the sole property of Trell, and are protected by intellectual property
rights.

6. Assignment. Associates will not assign, sell, transfer, delegate or otherwise dispose of, whether
voluntarily or involuntarily, by operation of law or otherwise, this Agreement or any or its rights or
obligations under this Agreement without Project provider or We Work Group’s prior written consent.
Project provider may freely assign this Agreement or any of its rights or obligations under this
Agreement without the consent of Associates.

7. Applicable Law: Any and all disputes and causes of action arising out of or connected with the
Program and the enforceability of these Terms, shall be governed by laws of land, and shall be subject
to the jurisdiction of the Bangalore courts, India.

Other terms and conditions
1. The associates shall follow all the instructions and guidelines given by the Project providers team.

2. Associates are bound to work for 3 months once signed and accepted by him / her. Any avoidance
or misguidance to MyVA by the associates will be penalized and MyVA can take legal action on the
associates.
3. The associates should maintain 100% accuracy while copying comments against accurate
videos/topic displayed in the dashboard as per the guidelines.
4. The associates are bound to collect minimum of 500 comments per link.
5. The associates can include some keywords that are relevant to the content while searching for
videos to extract comments.
6. Same comments will not be accepted for topics appearing multiple times in the dashboard under
a single ID.
7. Comments submitted below 500 for any link will not be accepted and will be rejected.
8. Comments collected from irrelevant videos will also be rejected in the QC.
9. Each link submitted by the associates will be quality checked and reviewed for accuracy and
correctness, if the comments submitted by the associates are found to be
inaccurate/incorrect
/incomplete by the Trell team, the associates will not be paid for the same.

 Payments

1. Comments submitted by the associates will be paid only after it has been processed for
quality and is as per the instructions and guidelines.
2. The payment to the Associates shall be made only if,
i. All the comments submitted are APPROVED and pass the Quality Check
ii. The target assigned to the associates (see Target & payment matrix)
iii. The associates maintain all the tagging quality as per the agreed expected minimum
accuracy percentage
3. The payments will be done through the PayPal / Transfer wise ID given by the Associates.
(mentioned in the invoice)
4. MyVA has the right to decide which content is to be paid, based on the quality checking process.
5. All data to be submitted to Project provider before 12 AM of every 25thof month. For invoices
submitted by or before 25thof the month, payout will be processed by 15th of the next month.
6. Invoices submitted after 25thof the month, payout will be processed in the next payment cycle.
