PAYMENT TERMS
1. Upon signing and acceptance of the Contract and receipt of Seller’s Pro Forma Invoice, Buyer’s bank
will, within 5 days issue their pre-advice confirmed SBLC by SWIFT MT-799 to the Seller’s bank.
2. Within 5 days, Seller bank sends SWIFT message confirming Readiness, Willingness and Ability to
supply the product and readiness to receive and accept the Buyer’s SBLC. At the same time, Seller to
provide Seller’s export license, partial POP and location of stock.
3. Buyer shall send its representative in Brazil to witness and document physical stock.
4. Within 7 days of receiving Seller’s readiness SWIFT message and physical stock verification, Buyer’s
bank issues to Seller’s bank, via SWIFT, the 100% Cash Backed, Irrevocable, Divisible, Transferable
SBLC (MT- 760).
5. The Buyer’s issuing bank must be a prime world bank accepted by the Seller’s bank.
6. The SBLC will have a one-month face value of $26,500,000.00 (Twenty Six Million Five Hundred
Thousand US Dollars).
7. Upon receipt of the SBLC, Seller will verify, confirm, and accept the SBLC and issue 2%
Performance Bond (PB) and Proof of Product (POP) bank to bank.

8. Buyer will pay for the Goods by SWIFT (MT-103) or Wire Transfer, at discharge port against
shipping documents and CIQ inspection.
SELLER’S STANDARD PROCEDURE:
1. Buyer sends his Irrevocable Corporate Purchase Order (ICPO)
2. The Seller issues Draft Contract to the Buyer.
3. Buyer signs the Contract and returns to the Seller who also signs the Contract and sends Pro-Forma Invoice
to Buyer.
4. Seller provides partial POP, pictures of existing stock and stock location.
5. Buyer issues the SBLC as detailed in the Payment Terms above.
6. Seller issues POP + 2% PB bank to bank.
7. Loading begins as per the Delivery Schedule in the Contract.
8. Buyer makes payment against shipping documents and CIQ inspection at discharge port.
9. Steps (6-8) are repeated every Month, until all deliveries are completed as per delivery schedule in Contract.
PRODUCT DOCUMENTATION PER LIFT:
A full set of the following documents will be issued for payment:
1. Three (3) originals and three (3) copy sets of BILL OF LADING, “CLEAN ON BOARD” and marked “FREIGHT
PREPAID” issued to the order of Buyer, blank endorse.
2. Three (3) originals and three (3) copy sets of signed Commercial Invoice.
3. One (1) original and three (3) copy sets of Certificate of weight, quantity and quality issued by SGS or
compatible authority.
4. One (1) original and three (3) copy sets Certificate of Origin, issued by the Chamber of Commerce of the
country of origin.
5. One (1) original and three (3) copy sets of all necessary certificates issued by SGS or other designated
inspectors.

6. One (1) original and three (3) copy sets of Inspection certificate for the vessel confirming that the age of the
vessel does not exceed twenty (20) years and the vessel is registered under Lloyds Registry.
7. One (1) original and three (3) copy sets of Phytosanitary Certificate issued by appropriate government of the
country of origin stating that the goods is fit for human consumption.
8. Three (3) original and three (3) copy sets of Signed Packing List showing gross/net weight and the number of
Ocean of Bill of Lading.
9. One (1) Original and three (3) copy sets of Insurance Certificate in the Buyer name covering one hundred ten
percent (110%) of the cargo value.
10. One (1) original and three (3) copy sets of Radioactive Elements/Radioactivity Certificate stating the Goods is
within normal standard and without presence of cesium or iodine by competent authority.
11. Freight forwarding agent certificate stating that original signed copies of certificates, of foreign and
phytosanitary have been included in shipment of goods.
12. Pre shipment condition survey of cargo, inspection certificate for the vessel (cargo hold cleanliness/suitability
to hold load).
