DEED OF CONDITIONAL SALE

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF CONDITIONAL SALE is made, executed and entered


into by and between:

RHODORA DULAY, of legal age, Filipino, married to MELCHOR


ABEJERO and a resident of Poblacion, Kabacan, North Cotabato, Davao
City, Philippines, represented herein by LELAND DULAY, of legal age,
Filipino, married to CHERYL Y. DULAY and a resident of Poblacion,
Kabacan, North Cotabato, Davao City, Philippines, by virtue of a SPECIAL
POWER OF ATTORNEY (SPA), notarized by Atty. Herminio B. Faustino
with such SPA being registered in his notarial register as Doc. No. 45, in
page 10, Book 118, Series of 2020, hereinafter referred to as the “VENDOR”;

- AND -

MARIDEL BUMAAT HONG of legal age, Filipino, married to ZHIJUN


HONG and a resident of Rizal Avenue Cor. Sinamar 11 St., Kabacan, North
Cotabato, Philippines, hereinafter referred to as the “VENDEE”;

WITNESSETH THAT:

The VENDOR is the lawful and registered owner of a parcel of land


located at Barangay of Osias, Municipality of Kabacan, Province of
Cotabato, Island of Mindanao, Philippines containing an area of EIGHT
THOUSAND EIGHT HUNDRED TWENTY FIVE (8,825) SQUARE METERS,
more or less, covered by TRANSFER CERTIFICATE OF TITLE NO. 152-
2018001776;

LELAND DULAY, is the ATTORNEY-IN-FACT of RHODORA DULAY;

The VENDOR, as the ATTORNEY-IN-FACT of RHODORA DULAY,


through an instrument designated as a SPECIAL POWER OF ATTORNEY
(SPA), is authorized to SELL, CEDE, CONVEY, and/or otherwise
TRANSFER, the parcel of land located at Barangay of Osias, Municipality of
Kabacan, Province of Cotabato, Island of Mindanao, Philippines containing
an area of EIGHT THOUSAND EIGHT HUNDRED TWENTY FIVE SQUARE
METERS (8,825), more or less, covered by TRANSFER CERTIFICATE OF
TITLE NO. 152-2018001777;

The VENDOR is the lawful and registered owner of a parcel of land


located at Barangay of Osias, Municipality of Kabacan, Province of
Cotabato, Island of Mindanao, Philippines containing an area of EIGHT
THOUSAND EIGHT HUNDRED TWENTY FIVE SQUARE METERS (8,825),

The VENDOR desires to sell the above-mentioned properties for a purchase


price amounting to FORTY MILLION (PHP 40,000,000.00) PESOS;

That the VENDEE is interested to purchase the above-described properties


for FORTY MILLION (PHP 40,000,000.00) PESOS;

NOW, THEREFORE, for and in consideration of the above the parties hereto
have agreed as they hereby agreed to stipulate the following conditions to wit:

1. That the agreed purchase price of TCT no. 152-2018001776 and TCT no.
152-2018001777 is FORTY MILLION ( PHP 40,000,000.00) PESOS;

2. A down payment will be paid by the VENDEE to the VENDOR upon signing
of this DEED OF CONDITIONAL SALE in the amount of THREE MILLION
(PHP 3,000,000.00) PESOS;

3. The above-cited payment of THREE MILLION (PHP 3,000,000.00) PESOS,


shall be deemed as the FIRST PAYMENT, in accordance with the schedule
of payments as indicated below;

4. After a month upon the signing of this DEED OF CONDITIONAL SALE an


amount of SEVEN MILLION (PHP 7,000,000.00) PESOS will be given to the
VENDOR as SECOND PAYMENT, in accordance with the schedule of
payments as indicated below;

5. The VENDEE shall pay the remaining balance of THIRTY MILLION (PHP
30,000,000.00) PESOS on Sixty (60) installment months and secured by
individual post-dated check (PDC);

6. The remaining balance of THIRTY MILLION (PHP 30,000,000.00)


PESOS on Sixty (60) installment months and secured by individual post-
dated check (PDC), shall be paid in accordance with the following
payment schedules:

SECOND PAYMENT – Seven Million (PHP 7,000,000.00) Pesos

THIRD PAYMENT – Five Hundred Thousand (PHP. 500,000.00) Pesos

FOURTH PAYMENT – Five Hundred Thousand (PHP. 500,000.00) Pesos

FIFTH PAYMENT – Five Hundred Thousand (PHP. 500,000.00) Pesos

SIXTH PAYMENT – Five Hundred Thousand (PHP. 500,000.00) Pesos
