Construction Contract Agreement

THIS AGREEMENT made July 29, 2020 between Al-Alsa Trading PLC (hereinafter
"the Employer"), of the one part, and Desert Trading PLC (hereinafter "the Contractor"),
of the other part:

Whereas the Employer is desirous that the contractor should execute, complete and
maintain sub structures /Foundation Works/ at Samara, Afar, (hereinafter called "the
Works") and the Employer has accepted the Bid by the Contractor for the execution and
completion of such Works and the remedying of any defects therein The Total Lump sum
Contract Price of the equivalent of 4,000,572.32 ETB including VAT.

NOW THEREFORE, the parties agreed as follows:

1. In this Agreement, words and expressions shall have the same meanings as are
respectively assigned to them in the Contract referred to
2. In consideration of the payments to be made by the Employer to the Contractor as
hereinafter mentioned, the Contractor hereby covenants with the Employer to
execute and complete the Works and remedy any defects therein in conformity in all
respects with the provisions of the Contract.
3. The Employer hereby covenants to pay the Contractor in consideration of the
execution and completion of the Works and the remedying of defects therein the
Contract Price or such other sum as may become payable under the provisions of the
Contract at the times and in the manner prescribed by the Contract.
4. The Total Lump sum Contract Price for the provision of the works including VAT
4,000,572.32 ETB.
4.1. Among the lump sum contract 20% amount will be paid as an advance
payment when the contract signed by the parties.
4.2. Second payment will be made after the consultant conduct a re-measurement
and approved the works done by the contractor.

 4.3. Last payment will be made after the completion of the works and when the
consultant conduct a re-measurement and approved the works and issued a
payment certificate.
5. The Employer also hereby covenants to put into effect any existing or forthcoming
directives issued by Federal Authorities with regard to the price of fuel, cement,
reinforcement, steel and bitumen based on the base price indicated in particular
condition of contract.
6. The following documents shall be deemed to form and read and construed as part of
this agreement.
6.1. This Agreement
6.2. Letter of Acceptance
6.3. Proposed manpower and equipment, soil investigation reports and work
methodology (copies attached herewith)
6.4. Standard Conditions of Contract for Construction of Civil Work Projects by
Ministry of Works And Urban Development 1994, and Appendixes
6.5. Conditions of Particular Application
6.6. All Schedules
 Revised work schedule to be agreed upon
 Advance payment disbarment schedule to be agreed upon,
6.7. Priced, signed and sealed Bill of Quantities
6.8. Performance and advance payment bonds to be provided as specified in
particular condition of contract.
7. The whole work shall be executed and completed within 60 (sixty days) calendar days
starting from the commencement date ordered by the consultant excluding 7 calendar
days of mobilization time.
8. The Consultant LABA CONSULTING PLC shall be responsible for administering the
contract in accordance with contract documents specified here above and witnesses
this Agreement as hereunder.
