Dear Ms.Perry,

I have the honor to propose this agreement for the engagement of my services as your legal
counsel on a general retainer basis.

Accordingly, the purpose of this letter is to clarify and confirm these terms and conditions
Fundamental to a sound relationship is a clear understanding of the terms and conditions
upon which I will be providing legal services. Accordingly, the purpose of this letter is to
clarify and confirm these terms and conditions

The following services are included in your monthly legal services retainer:

1. Providing legal opinions on any and all legal matters concerning your business or
company;
2. Contract drafting and review;
3. Notarization of documents except deeds of conveyance and/or sale;
4. In general, other matters requiring competent legal attention.

Monthly legal retainership services fee is Pesos: Twenty Thousand (P20,000.00) payable
in cash on or before every 10th of the month.

Other matters not included in this agreement, including referral of court cases for
appropriate handling, shall be subject to a separate agreement and billing at a discounted
rate.

For meeting/consultation that will require my presence, a fee of Pesos: Two Thousand
Five Hundred (P2,500.00) shall be charged within Metro Manila and a minimum of Pesos:
Four Thousand Five Hundred Pesos (P4,500.00) per appearance outside Metro Manila.

Regarding the collection of your receivables, I shall charge you the amount equivalent to ten
percent (10%) of actual collection made or paid through my effort/demand letter. With this
arrangement, you shall have no obligation except from the moment that payment is actually
remitted to you.

This agreement shall take effect from ____________ to _____________ and renewable
annually unless terminated in writing by either party within thirty (30) days prior to actual
termination to facilitate proper turnover of documents.

Please confirm your agreement with the foregoing by signing a copy of this letter and
returning a copy or e-mailing the same to the undersigned.

If, however, there would be other services/matters that you would like to be included, please
let me know.

I am looking forward to a fruitful and lasting relationship with you.
