INTRODUCTION

In the following report, the topics related to technology negotiation are discussed, therefore, the

group participants elaborate a series of visual diagrams with the purpose of explaining

figuratively information about Negotiation and Licensing: Parties, Start date, Duration, Nature of

the Licensed IP, Work Schedule, Costs, Royalties, Payment Schedule, License options, Option

term on license, Right of first refusal, Scope of license, Exclusivity ,Liability, Warranty,

Ownership of IP, Ownership of Improvements, Infringement, Termination, Choice of law,

Dispute resolution.

Regarding the negotiation of biotechnological products that include intangible assets, the

participants individually develop a problem tree on the model "Agreements for licensing,

representation and distribution of a novel final product".

Finally, the participants assume the role of consultants for a company that wants to

commercialize its biotechnological innovations and generate a solution based on the model

"Agreements for licensing, representation and distribution of a novel final product". They also

provide explanations of the main concepts, arguing the advantages of technology negotiation.

Regarding this presentation, videos are produced to explain the subject.

To deepen the stages of negotiations of technological assets that promote the competitiveness of

innovative companies

SPECIFIC OBJECTIVES

 -Assume role and responsibilities for the creation of visual diagrams explaining

Negotiation and Licensing

 To deepen on the business model "Business models for biotech products" through

problem tree".

 Generate conceptual explanations about the business model "Business models for

biotech products" and propose an implementation strategy as a consultant for a

biotechnology company that wants to commercialize intangible assets

CONCLUSIONS

The negotiation of intangible assets such as technology has a series of considerations where

the company or owner of the intellectual property must prepare and establish the nature of the

license it wishes to grant, for example, there are business models for biotechnology products,

such as: License agreements, representation and distribution of a novel final product,

technology transfer, manufacturing contract, co-promotion and co-marketing, sharing of

benefits, joint ventures, binding agreement. In each of the mentioned negotiations there are

similar terms and conditions, and the form of payment is different.
