CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENT:

This Contract to Sell made and executed this 20th day of February 2022 in the City of San
Fernando, by and between:

Dianne Cortez Rosales, Filipino, of legal age, single, and a resident of Richville
Subdivision, Barangay Sindalan, City of San Fernando, Pampanga, hereinafter referred to
as the VENDOR,

-and-

Rhandel Joshua I. Teodoro, of legal age, Filipino citizen, and resident of San
Isidro Village, City of San Fernando, Pampanga, hereinafter referred to as the VENDEE.

WITNESSSETH:

That the Vendor is the sole and absolute owner of a parcel of land situated at Sindalan,
San Fernando, Pampanga, consisting of Three Hundred Square Meters, more or less, covered by
Transfer Certificate of Title No. 123123123, which property is more particularly described as
follows:

Beginning at a point marked “1” of Lot 4620, Cadm- 465, E-5 being S. 12-45 W. 2561.00m, from
B.L.L.M. No. 1, Cadm-465, Sindalan Cadastre T H E NC E ---
S. 4.47 E., 7970m. to point 2; S.89.37 W., 6741m. to point 3;
S. 87.18 W., 6502 m. to point 4; N. 3.07 W., 27.93m to point 5;
N. 18,25 w., 38.15m, to point 6; N. 82.17 E. 149.55 m. to point 1;

That for and in consideration of the sum of Fifty Thousand Pesos (P 50,000.00),
Philippine Currency, payable in the manner hereunder expressed the vendor has agreed to sell
unto the vendees, and the vendees have agreed to buy from the vendor;

The further condition of this Contract are as follows:

1. The vendees agreed to pay the vendor upon the execution of the Contract the sum
of Ten Thousand Pesos (P 10,000.00) as down payment on account of the purchase price
and agree to pay the balance of Forty Thousand Pesos (P 40,000.00) within six (6)
months from the date of this contract and upon delivery of the Title in the name of the
vendees.

2. That the vendor shall at his sole expense be responsible for the transfer of the
title over the said portion in the name of the vendees, the same to be completed within
eight (8) months from the date of this Court.

3. It is agreed and understood, however, that the full balance, of P 50,000 shall only
become due and demandable upon and simultaneous with the delivery of the owner’s
copy of Title over the subject 300 square meter portion in the name of the vendees, as
provided in the preceding paragraph.
4. It is likewise agreed and understood that notwithstanding the issuance of title
over the 300 square meter portion in the name of the vendees, ownership over the said
portion shall remain with the vendor until after full payment of the agreed purchase price.

5. All capital gains and documentary stamps, transfer tax, registration fees and other
expenses of sale shall be for the sole account of the vendor. The vendees shall bear the
expenses of the preparation and notarization of this contract as well as the deed of
absolute sale to be executed by the vendor under paragraph 3 above.

6. That upon the signing and execution of this Contract to Sell, the vendor agrees to
deliver unto the vendees the possession of the 300 square meter portion subject of this
contract.

7. This Contract shall be binding and obligatory upon the heirs, successors,
administrators, and assigns of the respective parties,

and voluntarily signed the foregoing Contract to Sell which she acknowledged before and
voluntary act and deed.

The foregoing Contract to Sell consisting of 3 pages including the page on which this
