MEMORANDUM OF AGREEMENT
(Patient Referral and/or Transfer to Another Facility)

KNOW ALL MEN BY THESE PRESENTS:

This MEMORANDUM OF AGREEMENT made and entered into this15th day of

July 2022 at Pulilan, Bulaca, Philippines, by and between:

OUR LADY OF MERCY GENERAL HOSPITAL INC., a private hospital and

medical services provider duly organized and existing under Philippine laws
located at Dona Remedios Trinidad Highway, Longos, Pulilan, Bulacan,
Philippines, herein represented by its Medical Director, Dr. Ma. Marci C. Cruz,
MD, MS, FPCP, MBA-Health, hereinafter referred to as the “FIRST PARTY” for
brevity;

-and-

SUNRISE DIALYSIS CENTER OPC, a dialysis center duly organized and

existing as a corporation under the laws of the Republic of the Philippines, with
an office address 723 Masagana Homes, Tabang, Guiguinto, Bulacan,
Philippines, represented by its Executive Director/President, Dr. Ritchel
Hidalgo Fronda, and herein after called as the “SECOND PARTY”. 
 
(Both of which are hereinafter jointly referred to as the “PARTIES”).

WITNESSETH

WHEREAS, the FIRST PARTY is a medical institution possessing sufficient

medical facilities, physicians/medical practitioners and other medical
professionals who can attend to emergency cases needing immediate treatment
and/or attendance. The FIRST PARTY has among its services a hospital-based
hemodialysis center.

WHEREAS, the SECOND PARTY is a free-standing dialysis center, and is

equipped with sufficient medical facilities, and manned by qualified
physicians/medical practitioners to perform dialysis procedures to patients in
need of treatment.

WHEREAS, the FIRST PARTY, in its desire to provide continuity of dialysis

treatment to its patients in the event of disaster, calamity, strike or other
analogous circumstance and emergency which may result to stoppage of its
operation, wishes to engage the SECOND PARTY to enter into this Patient
Referral and/or Transfer to Another Facility Agreement.
WHEREAS, the SECOND PARTY is amenable to accommodate the patients to
be referred or transferred by the FIRST PARTY, and that by virtue of this
Agreement, the SECOND PARTY also herein engages the FIRST PARTY for a
reciprocal accommodation in the event of disaster, calamity, strike, etc.
NOW THEREFORE, for and in consideration of the foregoing premises, the
PARTIES, hereby mutually and jointly agree to the following terms and
conditions:

1. That the FIRST PARTY shall be the provider of clinical and medical
assistance, care, examinations (check-ups), in case of emergency, which may
include Complete Blood Count, Urinalysis, Fecalysis, X-Ray (PA view), 12 lead
ECG, Drug Test, Fasting Blood Sugar, SGPT, SGOT, Physical Examination
services and any other health services, as the FIRST PARTY deemed it
reasonable, necessary and applicable under the given circumstances, and
which shall be performed by its duly licensed and trained health and medical
personnel, to patients under dialysis treatment in the facility of the SECOND
PARTY.

2. That the SECOND PARTY shall be the Referral Hospital for the dialysis
patients of the FIRST PARTY, in cases where dialysis procedure could not be
performed in the facility of the FIRST PARTY by reason of disaster, calamity,
strike and other analogous circumstance, the same way that the FIRST PARTY
is the Referral Hospital of the SECOND PARTY in the event of the said calamity,
disaster, strike, etc.

3. The foregoing contractual engagement between the two institutions shall be

free-of-charge.

4. However, the medical expenses/fees/charges incurred for the services

rendered by the FIRST PARTY to the patients referred by the SECOND PARTY
shall not be free and whatever amount due shall be settled to the FIRST PARTY
by way of an outright/up-front payment in cash for every services availed by
such patients from the SECOND PARTY.

5. If any provisions of this Memorandum of Agreement is declared to be illegal,

void, invalid, unenforceable or ineffective by any competent Court of law or
authority, such declaration shall not affect the legality, validity, and
enforceability of the other provisions of this document and solely the affected
provisions shall be deleted from this document and no longer incorporated
herewith but all other provisions of this document shall continue to remain
effective and shall be honored by the parties hereto.

6. This Agreement represents the entire agreement between the PARTIES and
supersedes all previous oral and written communications, representations, or
agreements between the parties.
 
8. Likewise, the foregoing Agreement shall take effect on the date of signing
and notarization and is automatically renewed for the same period from year to
year, unless sooner terminated upon written notice served by either of the
PARTIES to the other Thirty (30) daysprior to the date of termination.

corporations herein represented. This instrument, consisting of FOUR (4)
