MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This agreement is made and entered, by and between:

AIDA ESCALONA VALLADARES, of legal age, Filipino, widow and a

resident of Balogo, Pigcawayan, North Cotabato, Philippines, and AIRON
JENELL ESCALONA VALLADARES, of legal age, Filipino, married and a
resident of Balogo, Pigcawayan, North Cotabato, Philippines hereinafter
referred to as the FIRST PARTIES;

-and-

JENALYN F. TOBIAS, of legal age, Filipino, and a resident of Lanao,

Kidapawan Ciity, Cotabato, hereinafter referred to as the SECOND
PARTY;

WITNESSETH

WHEREAS, the FIRST PARTY have entered into an agreement with the SECOND
PARTY for the sale of the property identified as follows:

Original Certificate of Title No. ______________ with a total area of FORTY

FIVE THOUSAND THREE HUNDRED AND THIRTY NINE (45, 339) square
meters ,more or less located at Binoligan, Municipality of Kidapawan, Province of
Cotabato,

Transfer Certificate of Title No. CT-23301 with a total area of FORTY EIGHT
THOUSAND AND NINE (48, 009) SQUARE METERS, more or less located at
Binoligan, Municipality of Kidapawan, Province of Cotabato, which is owned by
SOFRONIO SAGUD RESCALLAR JR. by virtue of Special Power of Attorney dated
____________ under Doc. No._____, Page No. _____ Book No. ___ Series of 2022;

Original Certificate of Title No. ______________ with a total area of FORTY

NINE THOUSAND ONE HUNDRED AND FIFTY ONE (49, 151) square
meters ,more or less, located at Binoligan, Municipality of Kidapawan, Province of
Cotabato,

NOW, THEREFORE, for and in consideration of the foregoing premises and the
mutual covenants and stipulations herein set forth, the PARTIES hereby enters into this
Agreement upon the following terms and conditions, to wit:

1. This contract confirmed the actual agreement of the PARTIES herein with respect
to the sale of the abovementioned parcel of land in the amount of THREE
MILLION PESOS (₱3, 000, 000.00) per hectare of the land above stated;

2. Upon receiving the cash from the buyer, the FIRST PARTY will immediately pay
the amount of FIVE HUNDRED THOUSAND PESOS (₱500, 000.00) per
hectare (as their share for the sale) of the lands to the SECOND PARTY;

 3. That the SECOND PARTY will also have the share of FIVE HUNDRED
THOUSAND per hectare and thereafter, the amount of TWO MILLION per
hectare will go to the FIRST PARTY ;

4. That upon the execution of this Contract, the SECOND PARTY will pay the FIRST
PARTY the amount of Five Hundred Thousand Pesos (P500, 000.00) as
payment for the Transportation of the FIRST PARTY, immediately after she
received her shares of the above stated agreement;

5. From the foregoing, no other terms and conditions shall be valid other than what
is stated in this agreement.

the same persons who executed the foregoing Memorandum of Agreement for the sale
of a parcel of land and they acknowledged to me that the same are their own true, free
and voluntary act and deed.

This instrument consisting of two (2) pages had been signed by the parties and
their instrumental witnesses and sealed with my Notarial seal.
