CONTRACT OF LEASE

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT OF LEASE made and executed by and between:

Eleanor U. Ang Lin Bee, Filipino, married, of legal age, with address at Ang Kalian
Bldg., National Highway, General Santos City, hereinafter referred to as the “LESSOR”;

-and-

Kazuki Uchida, Japanese, of legal age, with address at Yuta @ Dabaw Bldg, Purok 38,
C.P. Garcia Highway, Maa, Davao City, hereinafter referred to as the “LESSEE”;

WITNESSETH That:

WHEREAS, the LESSOR is the absolute and registered owner of a Two Bedroom (2 BR) residential
condominium with an area of Eighty One square meters (81 sqm.) more or less, known as UNIT 2505 at
Abreeza Residences Condominium located at Barangay Bajada, J.P. Laurel Avenue, Davao City with
parking space B057 , including furniture and appliances found herein listed as “ANNEX A”, hereinafter
exclusively referred to as the “LEASED PREMISES”;

WHEREAS, LESSEE desires to lease the above-mentioned LEASED PREMISES and the LESSOR is
willing to lease the same unto the LESSEE subject to the terms and conditions hereinafter specified;

NOW, THEREFORE, for and in consideration of the foregoing and the mutual covenants herein
contained, LESSOR hereby leases unto LESSEE and the latter hereby accepts the lease from the former,
the aforesaid LEASED PREMISES and LESSEE hereby accepts the same by way of lease as follows:

1. PERIOD

This lease shall be for a period of Twelve (12) months beginning January 25, 2021 until
January 24, 2022, renewable for another year, escalation of rate to be agreed upon by both
parties, provided that a written notice of renewal is given by LESSEE to LESSOR at least ninety
(90) days before the expiration of this Contract of Lease. It is however, understood that the
Twelve (12) months lease is guaranteed.

2. RENTAL

The parties herein agree that the monthly rental on the LEASED PREMISES shall be EIGHTY
SEVEN THOUSAND PESOS in Philippine Currency (P87,000.00), exclusive of withholding
taxes, inclusive of Association dues (P 9,660.85), basic wifi & basic cable TV (plus NHK World
premium) (P 1849.00). Personal Lease.

2.1 Upon execution thereof, LESSEE shall deliver a Manager Check in the amount of ONE
MILLION FORTY FOUR THOUSAND PESOS (P1,044,000.00), Philippine
Currency, net of withholding taxes, as advanced rental payment for TWELVE (12)
months covering the period of January 25, 2021 until January 24, 2022.

2.2 LESSEE paid LESSOR the amount of ONE HUNDRED SEVENTY FOUR
THOUSAND PESOS (P174,000.00), Philippine Currency, upon execution of
previous Contract, representing two (2) months security deposit, for the faithful
compliance by LESSEE of the covenants hereof and to answer for any bills for water,
electricity, telephone or damages to the premises, natural wear and tear excepted, if any.
Security deposit can also be used for a) unpaid rent, b) cleaning costs, c) key replacement
costs, and d) any other amount legally allowable under the terms of this agreement.
Such amount shall be deducted from this deposit, and the balance, if any, shall be
refunded to LESSEE upon the settlement of such accounts, and which shall not exceed
two (2) months after termination of this contract. It is also further understood that the
deposit shall in no case be applied as rental.

2.2 LATE CHARGE: A late fee of TEN THOUSAND PESOS (P10,000.00), Philippine
Currency, shall be added and due for any payment of rent made after the 5th of the
month. Any dishonored check shall be treated as unpaid rent, and subject to an additional
fee of FIVE THOUSAND PESOS (P5,000.00), Philippine Currency.

3. WATER, ELECTRIC, CURRENT, ETC.

All expenses for utilities such as water, electric current, telephone shall be collected from and for
the account of LESSEE.

4. USE OF THE PREMISES

4.1 LESSEE shall use the LEASED PREMISES for residential purpose only of two (2)
occupants, as the Authorized Occupants.

4.2 LESSEE shall not keep, deposit or store in the premises any explosive, inflammable,
hazardous and obnoxious substance or material which may put danger on the lives and
property of the other occupants of the building and the public in general;

4.3 LESSEE shall not engage in illegal activities, like gambling and drug use, etc. that are
prohibited by existing laws and regulations. LESSEE hereby holds LESSOR free and
harmless, from whatever liability, which may be incurred as a result of the use of the
LEASED PREMISES in the manner described herein. NO SMOKING is allowed inside
the unit.

4.4 LESSEE shall not keep domestic, exotic pet animals within the LEASED PREMISES.

4.5 LESSEE shall at all times avoid making extreme and unnecessary noise within the
LEASED PREMISES which may disturb other occupants of the building.

4.6 LESSEE hereby holds the LESSOR free and harmless from any liability which may be
incurred as a result of the violation of the prohibitions stated in this Section.

4.7 LESSEE shall abide by the rules and regulations of Abreeza Residences Condominium
Corporation or to a resident-controlled board in connection with the maintenance and
upkeep of the landscaped areas, amenities and facilities of the condominium community.

5. SUBLEASE / TRANSFER OF RIGHTS

5.1 LESSEE shall not sublease, transfer or assign the leasehold rights on the LEASED
PREMISES without the prior written consent of the LESSOR. In any case, the consent of
LESSOR shall be limited to the unused portion of this Contract, and shall not relieve
LESSEE in any way, from the obligations under this Contract.

5.2 In the event that LESSEE subleases the LEASED PREMISES without the express written
consent of LESSOR, then this Contract shall automatically be terminated. In such case,
the amount of ONE HUNDRED NINETY THOUSAND PESOS (P190,000.00)
equivalent to two (2) months deposit shall be forfeited in favor of LESSOR by way of
liquidated damages;

6. THIRD PARTY LIABILITY


6.1 LESSEE shall, during his/her occupancy of the LEASED PREMISES, hold LESSOR
free and harmless from any damage, liability or responsibility to any person or property
arising out of, or as a consequence of the use of the Leased Premises by fault or
negligence of LESSEE, his/her agents, employees, domestic helpers and guests;

6.2 When such damage or liability is caused by fortuitous events or acts of God, such as
typhoon, earthquake, flood, etc., which are beyond the control of the LESSEE, the latter
shall not be liable to LESSOR or to any third person. However when such damage due to
fortuitous events render the LEASED PREMISES un-tenantable the LESSEE shall, with
prior written notice to the LESSOR, exercise his/her option to vacate the unit, pre-
terminate this CONTRACT OF LEASE, and LESSOR shall refund any unused portion of
the advance rent and refund of deposit as provided for in Section 2.2 of this Contract.

7. IMPROVEMENTS

LESSEE shall not make architectural or structural changes, alterations, or improvements in the
LEASED PREMISES without the written consent of LESSOR. However, any alteration or
improvement made or introduced by LESSEE in the LEASED PREMISES with the written
consent of LESSOR shall be for the account of LESSEE. Should said alteration or improvement
cannot be removed without defacing, damaging, or injuring the LEASED PREMISES, it shall
become the property of LESSOR upon termination of this contract and shall be surrendered
together with the said premises without compensation to the LESSEE;

8. REPAIR AND MAINTENANCE

8.1 LESSEE shall, at his/her expense, maintain the LEASED PREMISES in a clean and
sanitary condition, free from disturbing noises or other nuisances which would interfere
with the rights, comforts or convenience of other tenants or neighbors and, upon the
expiration of this Contract, shall surrender and return the LEASED PREMISES and the
furniture and fixtures therein in as good condition as they were actually found at the
beginning of the lease, as evidenced in the attached pictures and list of inventories in
“ANNEX A”, ordinary wear and tear excepted. Any damage caused or done by LESSEE
or member of his/her household may be repaired by LESSOR for the account of
LESSEE;

Prior to the execution of this CONTRACT OF LEASE, the condition of the


property/premises were inspected by the LESSOR and the LESSEE and the same was
found to be in good and tenantable condition.

The LESSEE agrees at all times to keep the leased premises in the same good and
tenantable condition, including the REGULAR CLEANING of all air-conditioning
units, once every 4 months, and for this purpose, the LESSOR may, at reasonable times
and with 24-hour prior notice, enter the LEASED PREMISES to examine the condition
of the same in the presence of the LESSEE and/or a duly authorized representative. Said
inspection of the LEASED PREMISES by the LESSOR shall take place only once every
calendar month as upper limit.

The LESSEE shall not introduce any permanent alteration, addition, or improvement on
the LEASED PREMISES, which cannot be removed without destroying or defacing the
premises without the previous written consent of the LESSOR. Should such consent be
given, the same shall become the property of the LESSOR upon the termination of the
lease without any right of reimbursement on the part of the LESSEE. The LESSEE shall,
however, have the right to introduce furniture, carpets, drapes, paintings, appliances,
ornamental and decorative objects or fixtures, and other movable improvements and the
LESSEE shall have the right to remove said objects at the termination of the lease.

8.2 LESSOR shall undertake to do all repairs and breakdown in the premises which may
occur within the first FIFTEEN (15) days of this Contract as a result of age and/or
previous use, provided that it is not due to the fault or negligence of LESSEE and
reported to LESSOR by LESSEE in writing within fifteen (15) days from actual transfer
of LESSEE to the LEASED PREMISES;
8.3 Damaged furniture or appliances which are found to be unrepairable due to negligence of
the LESSEE shall be replaced with new items with equal or better quality. Cost incurred
by the replacement shall be borne by the LESSEE.

8.4 LESSEE shall repair damages of the LEASED PREMISES arising from his/her fault or
negligence or any member of his/her household, live-in guests or visitors at his/her
expense including minor repairs amounting to TEN THOUSAND PESOS (P10,000.00),
Philippine Currency, and below, per occurrence, incurred through ordinary wear and tear
such as but not limited to replacement of light bulbs and uses and breakage or loss of
electrical switches or outlets shall be for the account of the LESSEE.
 
8.5 LESSOR shall be responsible for major repairs over TEN THOUSAND PESOS
(P10,000.00), Philippine Currency, which may be necessary for the conservation or
preservation of the LEASED PREMISES and building, as well as due to structural
defects.

8.6 LESSEE shall deposit all garbage and waste in a clean and sanitary manner into the
proper receptacles and shall cooperate in keeping the garbage area neat and clean.
LESSEE shall be responsible for disposing of items of such size and nature as are not
normally acceptable by the garbage hauler. LESSEE shall be responsible for keeping the
kitchen and bathroom drain free of things that may tend to cause clogging of the drains.
LESSEE shall pay for the cleaning out of GREASE TRAP or any plumbing fixture that
may need to be cleared of stoppage and for the expense or damage caused by stopping of
waste pipes or overflow from bathtubs, wash basins or sinks.

9. TAXES AND INSURANCE

Real estate taxes, government assessment and fire insurance charges shall be for the account of
the LESSOR.

10. INSPECTION OF THE PREMISES

Upon 24 hour advance notice, LESSOR have the right to enter the LEASED PREMISES to make
repairs, alterations, improvements maintain the LEASED PREMISES in good and tenantable
condition and for such purpose LESSOR reserves the right at reasonable times and with prior
notice to enter and inspect the LEASED PREMISES and to make the necessary repair therein.

11. PRE-TERMINATION CLAUSE

In no case shall LESSEE be entitled to a refund of deposit and advanced rental payments if he/she
pre-terminated during the twenty-four (24) months effectivity of this CONTRACT OF LEASE.
Said deposit and advance rental payments shall be forfeited in favor of the LESSOR as liquidated
damages except as provided for in Section 6.2 of this Contract.

12. RULES AND REGULATIONS

LESSEE agrees to abide by the existing rules and regulations promulgated by Abreeza
Residences Condominium Corporation.

13. SALE, TRANSFER AND MORTGAGE

In the event of the sale, transfer, mortgage or any other encumbrance of the LEASED PREMISES
or any existing sale, transfer, mortgage or encumbrance of the same, LESSOR warrants that the
purchaser, mortgagor or encumbrance shall respect all the terms and conditions of this Contract
of Lease including the provisions for renewal thereof.

14. PROSPECTIVE TENANTS


During the last month of this Contract and in the event that the parties shall mutually decide not
to renew this Contract, LESSEE shall allow LESSOR or his/her representative to show the
LEASED PREMISES to prospective tenants during business hours and upon prior notification
and appointment.

15. RETURN OF PREMISES

Upon the termination of this Contract for any reason whatsoever, LESSEE shall immediately
vacate the LEASED PREMISEES and return possession thereof to LESSOR upon the latter’s
request, unless the term of this Contract is extended. LESSEE shall return the LEASED
PREMISES to LESSOR in a clean, orderly and in the same condition as it was at the time of
delivery, ordinary wear and tear accepted.

16. VIOLATION

Any violation of the terms provided for in this Contract on the part of either party shall be
sufficient ground for the termination of this Contract by the aggrieved party without the need of
judicial action.

17. TERMINATION

After expiration of the leasing period, the premises shall be considered vacated only after all areas
including storage areas are clear of all LESSEE’s belongings, and keys and other property
furnished for LESSEE’s use are returned to LESSOR. Should the LESSEE hold over beyond the
termination date or fail to vacate all possessions on or before the termination date, LESSEE shall
be liable for additional rent and damages which may include damages due to LESSOR’s loss of
prospective new renters.

18. INSURANCE

LESSEE acknowledges that LESSOR insurance does not cover personal property damage caused
by fire, theft, rain, war, acts of God, acts of others, and/or any other causes, nor shall LESSOR be
held liable for such losses. LESSEE is hereby advised to obtain his/her own insurance policy to
cover any personal losses.

19. ATTORNEY FEES

If any legal action or proceedings be brought by either party of this Agreement, the prevailing
party shall be reimbursed for all reasonable attorney’s fees and costs in addition to other damages
awarded.

20. JOINTLY AND SEVERALLY

The undersigned LESSEE are jointly and severally responsible and liable for all obligations under
this agreement.

21. VENUE OF ACTION

Any action or proceeding by either party herein shall be filed in the proper court of Davao City.

23. ENTIRE AGREEMENT

This Agreement constitutes the entire Agreement between LESSOR and LESSEE. No oral
agreements have been entered into, and all modifications or notices shall be in writing to be valid.

IN WITNESS WHEREOF, the parties have hereunto signed these presents on this ______day of April,
2021 at Davao City.
