 Established Corporation: Majisa is a well-established business icon in the arena of restaurant
aggregation and food delivery, and has its business spread across multiple countries.
 Enormous User Base across India: It has gained more than 14 lakh active customers, nearly 3.5
lakh active restaurants listed on its platform and provides services across 18 states and 90+
cities in India.
 Adept Leadership: The CEO of Majisa, Moti Lal is a pioneer in the Indian online food delivery
market and his successful leadership, business strategies like ‘Majisa-Pro’ and commercial
acumen is recognised through multiple awards.
Ganga Spirits [“Ganga”]
 Prominent Restaurant Chain in Delhi: It has more than 15 cloud kitchens across Delhi, most
famous for its drive-thru feature, catering to vegetarian and non-vegetarian pallets.
 Alternate Delivery Partners: Ganga has the scope of entering into new partnership contracts with
other food delivery companies, such as RK and Laxmi.
 Popular Budget-Friendly Chain: Its food and pricing strategies have made Ganga popular across
all age groups.

Majisa Inc
 Strategies of Competitors: The other food delivery companies, such as RK and Laxmi have been
offering relatively lower rates of interest that shall be attractive and accommodative of partner
restaurants’ interests.
 Outcry from Partner Restaurants: Involvement of high commission rates and lack of adequate
information to the partners even in times of GLOVID was inconsiderate on part of Majisa.
 One-sided contract: The terms of the contract are unfair on aspects like deemed acceptance, lack
of accountability to partners, Majisa’s high negotiating power and arbitrary decision of paying
only Rs. 30,000 for breach of warranties.
Ganga Spirits
 Financial Crunch: GLOVID affected Ganga severely to the extent of cutting costs to avoid
insolvency.
 Kitchen Controversy Uproar: The presence of a rat in the kitchen that was highlighted on Twitter,
negatively impacted the hygiene and due-diligence standards of Ganga and Majisa.

 To re-establish itself as the top food delivery company in India and clear the air apropos the
Ganga incident.
 To maintain the favourable contractual terms, in order to preserve the financial progress and
expand its business.
 To regain financial stability by countering losses faced during the
pandemic.

 To effectively and efficiently establish itself as a top food delivery restaurant.
 To amend certain terms of the contract such as the rate of commissions and promotion fee,
in order to counter financial hardships.

 Dispute resolution: To resolve the discord based around partnership contracts with restaurants
and reach an amicable solution in furtherance of the same.

shall be strictly followed by all partner restaurants and followed up via routine checks.

BEST ALTERNATIVE TO NEGOTIATED AGREEMENT (BATNA)


Majisa Inc
Should negotiations fail, Majisa Inc. must create a fresh partnership contract with fine dine
restaurants that incentivizes on a progressively increasing rate of commission, which shall offer
space for the partner restaurants to regrow post GLOVID.
Ganga Spirits
Should negotiations fail, Ganga Spirits can enter into talks with the other food delivery companies
that are charging lesser commission rates to counter the financial crunch.
WORST ALTERNATIVE TO NEGOTIATED AGREEMENT (WATNA)
Majisa Inc
Should negotiations fail, Majisa shall fall into a business standstill owing to the termination of
contracts with partner restaurants and it will have to manage its business operations with the
restaurants that are left post the negotiation failure.
Ganga Spirits
Should negotiations fail, Ganga Spirits shall shift their focus from food delivery to serving food in
restaurants and continue with their prior work with cloud kitchens.

NEGOTIATION STRATEGY `
Majisa Inc
Majisa Inc will start by acknowledging the value of Ganga Spirits’ in Delhi’s food industry and also
emphasise on the long-lasting relationship between Joshi Ji and Moti Lal. Majisa Inc will then put
forth the benefits of the partnership between Majisa Inc and Ganga Spirits with respect to the
business opportunities in the food delivery business. Firstly, Majisa Inc will leverage upon the
enormous user base that it shall provide to Ganga Spirits, thereby, providing it great financial and
business growth opportunities, to secure which, the current partnership agreement shall be upheld.
Secondly, Majisa Inc shall apprise Ganga of the losses incurred by Majisa during GLOVID,
thereby proposing a small reduction in the commission rates which shall progressively increase
vis-a-vis the financial recovery of Ganga. Thirdly, Majisa Inc shall establish a Standard Operating
Procedure for maintenance of sanitation, while emphasising on the kitchen-rat controversy.

Ganga Spirits
Ganga shall begin with expressing its gratitude towards Majisa for considering it as a partner
restaurant despite the former being a relatively small-sized business. Ganga intends to strengthen
this strong belief and relation through a partnership with Majisa that shall mutually benefit both
the parties. Firstly, Ganga shall explain its weak financial position, that requires external support
to sustain, for this, they shall leverage on the friendship between Moti Lal and Joshi Ji and demand
for a change in the commission rate. Secondly, Ganga shall put forth the proposition for an
alteration in the contract to ensure that it is able to recover financially, for which Ganga shall offer
a sole-delivery partner deal to Majisa through which Ganga shall avoid partnership contracts with
other delivery companies. Thus, providing Majisa a larger scope of business. Thirdly, in order to
provide a reduction in promotion fee, Ganga shall provide for free-branding to Majisa that shall
help in increased visibility of the latter’s platform to more customers.
