CONTRACT OF SERVICE

This Contract is made and entered into by:

MUNICIPAL GOVERNMENT OF TAPAZ, with office address at Poblacion, Tapaz, Capiz,

represented herein by the Municipal Mayor HON. ROBERTO O. PALOMAR, hereinafter
referred to as the FIRST PARTY.

-and-

ERNIE P. VILLAREAL, of legal age, and resident of Barangay San Julian, Municipality of
Tapaz, Province of Capiz, hereinafter referred to as the SECOND PARTY.

Witnesseth:

WHEREAS, the FIRST PARTY is a local government organized under laws of the
Philippines;

WHEREAS, the SECOND PARTY acquired expertise as CONSULTANT FOR

ENVIRONMENT AND NATURAL RESOURCES MANAGEMENT;

WHEREAS, the FIRST PARTY is in need of Consultant in Environment and Natural

Resources Program;

WHERES, SECOND PARTY has signified to offer his expertise, which the FIRST PARTY
has accepted in order to bring effective environmental management,

NOW THEREFORE, for and in consideration of the foregoing premises, parties further agree
that the execution of this Service Contract shall be subject to the following terms and
conditions:

1. OBLIGATIONS OF THE FIRST PARTY

The FIRST PARTY and/or its authorized representative/s shall:

a. Make available all up to date and relevant technical program and data that will be necessary for
priority programs in the field of Environment and Natural Resources;

b. Provide the necessary technical and manpower support to SECOND PARTY;

c. Pay the SECOND PARTY the amount of Twenty Thousand Pesos (P 20, 000.00) per month
as service fee;

d. If necessary, provide decent and comfortable accommodation and transportation cost during
scheduled meetings or other proceedings outside the usual place of work, which the SECOND
PARTY may be required to attend to represent the FIRST PARTY;

2. OBLIGATIONS OF THE SECOND PARTY

The SECOND PARTY and/or his authorized representative/s shall:

a. Coordinate and Supervise the Environment and Natural Resources Program of the Municipal
Government of Tapaz;

b. Provide effective recommendation to the Office of the Mayor pertaining Environment and
Natural Resources Program;

c. Ensure that the programs and projects of the FIRST PARTY complies with existing laws, rules
and regulations;
d. Observe honesty, proper conduct and maintain high moral standard of professionalism during
contract implementation;

e. Make himself available to the Office of the Mayor based on the agreed schedule and other work
arrangements;

f. Perform faithfully, efficiently and effectively to the satisfaction of the FIRST PARTY;

g. Submit Monthly Accomplishment/Status Report of every program and projects under his
technical areas.

3. DURATION OF THE CONTRACT

This Service Contract shall commence on January 1 until June 30, 2020.

4. NO EMPLOYEE-EMPLOYER RELATIONSHIP

It is understood that this Contract is principally for the engagement of professional legal
services, and shall not be construed to give rise to any employer-employee relationship between
the FIRST PARTY and the SECOND PARTY.

5. DISCHARGE OF CONSULTANT

The FIRST PARTY may discharge the SECOND PARTY at any time by written notice to the
latter. The discharge shall be effective upon receipt. Notwithstanding the foregoing, the FIRST
PARTY shall be obligated to pay the SECOND PARTY for all expenses advanced and fees
accrued.

6. GOVERNING LAW AND VENUE FOR DISPUTE

This Contract shall be subject to and interpreted according to the general laws of the
Philippines on contracts. If the parties have a dispute over this agreement which cannot be
settled except through court intervention, and in any action to enforce any provision hereof, the
venue for the same shall be the courts of Roxas City, Capiz.

7. ENTIRETY OF CONTRACT

This Contract contains the entire understanding of the parties and there shall be no
representations, warranties, promises or undertakings that shall be given force and effect other
than those contained herein.

8. MODIFICATIONS

Any changes in this Contract shall be executed in writing and signed by the parties.
