CONSULTANCY AGREEMENT

KNOW ALL MEN BY THESES PRESENTS:

THIS CONSULTANCY AGREEMENT made and entered into this

___ day of September 2022 at Lipa City, Batangas,

BY AND BETWEEN:
SUNRISE RURAL BANK INC., A rural bank organized and existing
under Philippine laws, located at Rosario, Batangas, herein represented by
its President, Ms. Annabelle P. Mantuano, herein referred to as the FIRST
PARTY;
-and-
RANILLO OLIVA LIMBO, filipino, of legal age, and with residence at
MP Casanova St., Brgy. Tambo, Lipa City, Batangas herein referred to as
the SECOND PARTY;
(BOTH OF WHICH ARE HEREIN REFERRED TO AS THE PARTIES)

WITNESSETH:
WHEREAS, the FIRST PARTY in order to provide good services and
security to its clients and stakeholders hereby engaged the services of the
SECOND PARTY as a Consultant for its Security Guard Officers;
WHEREAS, the SECOND PARTY as a Consultant hereby vows to
continuously adopt measures that will guarantee that the security guards at
the employ of the FIRST PARTY are well equipped with the newest security
awareness program, well supervised and managed;
NOW THEREFORE, for and in consideration of the foregoing
premises, the PARTIES, hereby mutually and jointly agree to the following
terms and conditions:
I. TERM:

I.1. The term of this agreement shall commence on the date written
above and shall be terminated after the lapse of One (1) year or on
September 30, 2023.

II. RELATIONSHIP:

II.1. The SECOND PARTY is to be understood as the consultant of the

FIRST PARTY.
II.2. The FIRST PARTY has no control nor supervision over the work of
the SECOND PARTY.
II.3. No employer-employee relationship exist between the PARTIES.
II.4. The FIRST PARTY only takes the initiative on whether to implement
or carry out the recommendations of the SECOND PARTY.

III. SERVICES:

3. The SECOND PARTY, as a Consultant, hereby agrees and undertake

to provide the FIRST PARTY with the following services:

III.1. Develop and administer a security program appropriate to the risk

profile of the FIRST PARTY;
III.2. Evaluate existing security measures applicable to the existing
criminal modus and propaganda in light of the recent news and
current affairs, and recommend the appropriate actions to be taken
by the Security Guards to further strengthen security and avoid such
incidents.
III.3. Constitute a security management team, as appropriate;
III.4. Conduct a security awareness program among the employees of the
FIRST PARTY on a continuing basis;
III.5. Investigate bank robberies/hold-ups as enunciated in light of the
recent current affairs, recommend the filing of appropriate charges
in court as the evidence may warrant, and assist in the prosecution
of the perpetrators thereof;
III.6. Establish an effective working relationship with the Bangko Sentral,
Philippine National Police, and other law enforcement agencies in
the prevention of bank crimes and other natural and man-made
hazards; and
III.7. Implement new techniques, methods and equipment to enhance the
FIRST PARTY’s protection measures in a cost-effective manner.

IV. COMPENSATION:

IV.1. In consideration of the services mentioned above, the SECOND

PARTY will receive a compensation in the amount of Three
Thousand Pesos (3,000) monthly, and a pay amounting to One
Thousand Five Hundred Pesos for every special visit to the premises
of the FIRST PARTY;
IV.2. The SECOND PARTY is not entitled to any pay or renumeration in
case of his non-appearance or non-fulfillment of the services agreed
upon.

V. WORK SCHEDULE:

V.1. The SECOND PARTY should report in the office of the FIRST
PARTY once a month, he is entitled to flexible working hours,
provided that he deliver the services agreed upon.
V.2. The SECOND PARTY is required to report on site as required and as
needed by the FIRST PARTY or in case of emergency or exigency.

VI. VENUE :
VI.1. The PARTIES agree that any action, suit, or any judicial or legal
proceeding for the enforcement of this agreement or any provisions
hereof, shall be instituted in the Municipal Trial Court or Regional
Trial Court of Rosario, Batangas only.

VII. TERMINATION:

7.1. After lapse of the Term agreed upon, this Service Agreement shall be
understood to be terminated without any need of prior notice from
the FIRST PARTY.
7.2. Should the SECOND PARTY fail to observe and to meet his duties
and responsibilities, the FIRST PARTY shall send a notice to the
former stating therein the reason/s for the termination of this
SERVICE AGREEMENT.
