Sub: Terms for conducting Promotional Activity by Outlier Innovations Pvt Ltd

Dear Sir / Madam,

Further to the detailed discussions, we are pleased to offer you to do the Promotional activity
at our Campus. Following are the terms and conditions:

1. Cafeteria lobby will be allotted to you for setting up your kiosk.

2. You will be allowed to conduct the activity only for 1 day i.e. dated 21st December
2022 from 10:00AM to 6:00 PM.

3. The date agreed shall be fixed but however agreed date can be changed for one time
on a valid reason and upon prior notification of a minimum two days and in any case
the event shall be conducted within 20 days on signing of this term sheet.

4. You shall set up a proper and presentable Kiosk / Promotion Counter for doing the
promotion. Unprofessional presentation will not be entertained.

5. The entire promotional staff shall be directly employed by you and Mack Soft Pvt Ltd
(Q City) is not liable on any aspect.

6. You shall comply with all statutory requirements pertaining to the operation of such
services at our campus. Any obligation on this part shall be at your sole responsibility.
You shall follow all statutory laws pertaining to the employment of your work force.
 7. We will not be responsible for any loss or risk caused to you for conducting the
promotional activity and it shall be at your own risk

8. In the event of any loss or damage caused by you to our property or assets of the
parkites directly or indirectly then you shall be responsible to reimburse at actuals.

9. The advance fee payable by you for conducting the activity shall be Rs. 15000/- +
applicable taxes which shall be non-refundable.

10. The entire fee for the promotion has been paid in advance

11. You will be responsible to restore the place in “as is” position and provide a handover
letter upon your completion of the promotional activity.

12. If any disputes arises on the agreed terms such dispute shall be settled by the parties
by way of negotiation.

13. Disputes shall be resolved in accordance with laws of India and shall be subject to the
exclusive jurisdiction of the courts of Hyderabad, Andhra Pradesh.
