84
TO
PROFESSIONAL SERVICES AGREEMENT

This Amendment No. 84 (this “Amendment”) to the Professional Services Agreement,

as amended (the “Agreement”) is entered into on November 15, 2022 (the “Amendment No. 84
Effective Date”) by and between Life Technologies Corporation, a part of Thermo Fisher
Scientific Inc. and a Delaware corporation, with its principal place of business at 5781 Van
Allen Way, Carlsbad, California 92008 (“LTC” or “Thermo Fisher”) and NB Ventures, Inc., a
Delaware corporation, doing business as GEP, with its principal place of business at 100 Walnut
Avenue, Clark, New Jersey 07066 ( “Consultant” or “GEP”).

Unless otherwise defined herein, all capitalized terms used in this Amendment shall have
the meaning defined in the Agreement.

WHEREAS, the parties entered into the Agreement on September 16, 2009;

WHEREAS, the parties previously entered Statement of Work #26, dated January 4, 2022,
for the Chip Sourcing Support to Thermo Fisher’s Analytical Instruments Group (“AIG”)
(“SOW#26”), and amended SOW#26 on July 3, 2022, with Amendment 67-A and on August
17, 2022 with Amendment 70

WHEREAS, the Parties desire to further amend SOW#26, as described more specifically
below,

NOW, THEREFORE, the Parties, intending to be legally bound, agree as follows:

Section 4.1, Term, is hereby modified to delete December 31, 2022, as the completion
date for SOW#26 and to replace that date with June 30, 2023.

1. Section 4.2, Fees, is hereby modified to delete the text that reads “Three Hundred Six
Thousand Dollars ($306,000)” and to replace that text with the following text for the
revised total Fees for SOW #26: “Six Hundred and Seventeen Thousand Dollars”
($617,000)”.
2. Section 4.5, Invoicing, the Invoicing Schedule in Table 2 is hereby deleted, and it is
replaced with an updated Table 2 as shown below:

3. No term or provision of the Agreement shall be affected by this Amendment, unless

specifically set forth herein and any term or provision not affected by this Amendment
shall remain in full force and effect following the date hereof. In case there is any
conflict between the Amendment and the Agreement, the Amendment shall prevail.

4. This Amendment may be executed in counterparts (which may be delivered by means of

a facsimile machine or other electronic transmission, including electronic mail of .pdf
files), each of shall constitute an original, and all of which shall constitute one and the
same instrument.

IN WITNESS WHEREOF, the Parties hereto have executed this Amendment by

persons duly authorized to take effect as of the Amendment No. 84 Effective Date first written
above.
