1. INTRODUCTION
This document contains the requirements and procedures designed to assist in the
achievement of the efficient and fully integrated performance of the WORK, which may be
further developed in separate procedures by CONTRACTOR.
This procedure shall not limit SUBCONTRACTOR's responsibility to provide systems and
controls related to its own activities nor shall it prevent the development of this or other
procedures which may become necessary during the performance of the WORK.
The SUBCONTRACTOR shall as required develop detailed Coordination Procedures
adhering to the instructions given hereafter and other documents forming part of the
SUBCONTRACT, and shall submit them to CONTRACTOR for review and APPROVAL.
The development and implementation of procedures shall not constitute a CHANGES
under the SUBCONTRACT.

2. SUBCONTRACTOR DOCUMENTATION

2.1 Deliverables to be submitted by SUBCONTRACTOR


This section defines the documents and technical data generated by SUBCONTRACTOR,
to be submitted to CONTRACTOR as part of SUBCONTRACTOR’s scope of WORK.

The initial list of documents included in the Master Document Register (MDR) shall
contain as a minimum the documents required under the scope of WORK and will be
extended as the WORK progresses and according the requirements of the
SUBCONTRACT.
If not otherwise specified, SUBCONTRACTOR shall use the 036909C-000-MDR-XXXX-
XX-A included into Instruction to Bidder.
The development of this list together with the associated procedure and documentation
throughout the execution of the project shall not constitute a CHANGE under the
SUBCONTRACT.
SUBCONTRACTOR shall, within two (2) weeks after SUBCONTRACT award, submit to
CONTRACTOR this 036909C-000-MDR-XXXX-XX-A listing all documents to be submitted
by SUBCONTRACTOR, including listed documents. Necessary additional column shall be
added to incorporate submission date, return date, revision record…

In case that CONTRACTOR’s SITE MANAGEMENT is not set up at the date of the issue
of the documentation, SUBCONTRACTOR shall issue such documentation to
CONTRACTOR’s home office.

2.2 DESIGN BY SUBCONTRACTOR


The SUBCONTRACTOR shall take full responsibility for quality, progress, performances,
etc., and for any design carried out by SUBCONTRACTOR on the basis of
CONTRACTOR's DOCUMENTATION or carried out (by SUBCONTRACTOR) from
documents issued by the COMPANY.
All drawings, specifications, data, calculations, procedures and the like submitted by
SUBCONTRACTOR shall be certified by SUBCONTRACTOR to be correct.
CONTRACTOR shall perform the review within the time specified in the Project Procedure
“Instructions Concerning SUBCONTRACTOR’s Documents” (SDB) attached to the Scope
of Work for SUBCONTRACTOR’s Documentation ref. 036909C-000-SOW-0000 included
into PART C. General Scope of Work.
All documents prepared or produced by SUBCONTRACTOR shall upon their preparation
or production become CONTRACTOR's and/or the COMPANY's property.

2.3 Documentation at site


SUBCONTRACTOR shall keep as a minimum at the SITE and upon CONTRACTOR

 The originals of all permits, approvals and authorities authorizations pertaining to the
SUBCONTRACT.

3. EARLY DOCUMENTATION
These documents shall be submitted for CONTRACTOR approval.

3.1 SUBCONTRACTOR’s authorised site representative


The SUBCONTRACTOR shall prepare a letter nominating SUBCONTRACTOR's
authorised Site Representative on SUBCONTRACTOR's official letterhead and submit it
for CONTRACTOR APPROVAL prior to opening of the SITE.

3.2 Mobilisation Plan


Not later than six (6) weeks after the EFFECTIVE DATE (except otherwise mentioned in
the Scope of work for SUBCONTRACTOR’s Documentation referenced 036909C-000-

GSOW included into PART C. General Scope of Work), the SUBCONTRACTOR shall
furnish the Mobilization Plan as detailed here below.
The Mobilization Plan shall be submitted to CONTRACTOR for review and APPROVAL.
Authorization to commence WORK on SITE will be notified by CONTRACTOR only after
CONTRACTOR comments have been incorporated by SUBCONTRACTOR into the
Mobilisation Plan.
The Mobilisation Plan shall be updated monthly for the first four (4) months (starting after
its approval). CONTRACTOR may at any given time during this period request the plan to
be updated every two (2) weeks. It shall be broken down into four sections as hereafter
defined. All schedules shall show forecast and actual status.
 General:
Field organisation chart with names, duties and assignment schedule of staff
personnel
If applicable, subcontracting plan (with company names and relevant duties)
Schedule for administrative formalities with copies of supporting documents:
block visa application (if any)
legal registration

As a minimum, the following positions are considered as being part of

3.3 Execution plan

Not later than six (6) weeks after the EFFECTIVE DATE and before the start of the works
at WORKSITE (except otherwise mentioned in the Scope of work for
SUBCONTRACTOR’s Documentation referenced 036909C-000-SOW-0000 included into
PART C. General Scope of Work), the SUBCONTRACTOR shall furnish the Execution
Plan as detailed here below.
The Execution Plan shall be submitted to CONTRACTOR for review and APPROVAL.
Further to any CONTRACTOR’s basic execution plan already part of SUBCONTRACT,
SUBCONTRACTOR shall develop a fully detailed Execution Plan which shall comprise
the following information:
Section 1 – Execution plan - General Description
General strategy of execution, engineering location, technical risk assessment, material
sourcing, fabrication location, schedule critical path, proposed solutions to mitigate the
technical and schedule risks (evaluation and proposal).
Section 2 – Project resourcing
Summary to be provided and reference to be done to the Mobilisation Plan.
a. Organization chart for indirect personnel (office or site)
SUBCONTRACTOR shall provide the proposed organisation chart. Lines of authority and
reporting will be identified on the chart and will be consistent with the narrative. Key
personnel shall be clearly identified on the chart.
b. Organisation description
SUBCONTRACTOR shall provide a descriptive narrative in order to explain how this
organization will operate efficiently.

Section 3 – Construction plan


 SUBCONTRACTOR is requested to provide a description of the methodology /
sequences / critical activities (lifting & safety) / area allocated / equipment used /
measures to mitigate the risks for the execution of the project.
 In order to support and detail its execution plan and fabrication sequences,
SUBCONTRACTOR is requested to submit as a minimum the following drawing and
information:
Overall site layout showing all major facilities (major workshops, functions and
description of internal gantry cranes and other facilities within buildings, office
facilities showing administrative, engineering offices, testing facilities, gantry
cranes, storage and lay-down areas, transportation facilities…, COMPANY /
CONTRACTOR’s office facilities)
Construction / fabrication area layout identifying the fabrication / storage / paint
and blast areas.
Construction sequences:
▪ Construction area.
▪ Construction erection / main assembly sequence (3 drawings minimum for
the main assemble sequence). These drawings shall include the estimated
weight of the main elements to be assembled together with the description of

b. S-curves and ORWPC (OVERALL REFERENCE WORK PROGRESS CURVE)
SUBCONTRACTOR shall present an overall “S” curve of the project and the ORWPC as
defined in article 6.1.2 hereafter. The other S-Curves (Engineering / Shop drawing,
Procurement, Fabrication and assembly…) will be submitted with the progress
measurement procedure.
Section 5 – Procurement and subcontracting
SUBCONTRACTOR shall provide a summary of the subcontracting / procurement plan
and procedure. This section shall reference the subcontracting/procurement plan and
procedure.
Section 6 – Quality Assurance / Quality control activities
SUBCONTRACTOR shall provide a summary of the Quality Assurance / Quality Control
activities plan. This section shall reference the Quality Assurance / Quality Control plan
and procedure.

Section 7 – Health, Safety and Environment (HSE) and Security


SUBCONTRACTOR shall provide a summary of the main objectives / challenges of
SUBCONTRACTOR to enhance safety HSE throughout the project execution. This
section shall reference the HSE&S plan.

4. COMMUNICATIONS AND CORRESPONDENCE

4.1 Communications
CONTRACTOR requires a single point of contact between SUBCONTRACTOR and
CONTRACTOR. The SUBCONTRACTOR's Site Representative shall be the person
authorised by the SUBCONTRACTOR in this respect; its contact with CONTRACTOR in
all instances shall be through the SITE MANAGER. All instructions given to
SUBCONTRACTOR will be in writing.

4.2 Correspondence
All correspondence from the SUBCONTRACTOR to CONTRACTOR shall be through the
SITE MANAGER.
All correspondence between SUBCONTRACTOR and other parties appointed by or under

4.2.1 Correspondence rules


 Correspondence shall be by letter or transmittal note and shall bear in heading the
reference number of the SUBCONTRACT.
 Each letter will cover one subject only.
 Letters and transmittal notes will separately bear an individual sequential number
starting with 0001 onwards. There shall be no gap in the numbering sequence. The
addressee is responsible for checking that there is no gap in the correspondence
received.
 ISO standard size A4 shall be used for all correspondence.
 One original and one copy of each letter along with attachments shall be provided
unless otherwise noted.

4.2.2 Correspondence Identification


All correspondence from SUBCONTRACTOR not channelled through SDB
(Subcontracting Database), shall be identified using the numbering below:
AAAAA – XXX – YYY – ZZZ - NNNN

 First group (AAAAA) denoting the SUBCONTRACT number (project and chrono
number)
 Second group (XXX) denoting the type of correspondence:

4.2.3 Transmittal Note


Drawings and specifications will be distributed by CONTRACTOR to SUBCONTRACTOR

All SUBCONTRACT documents, drawings, specifications and other important items
forwarded to SUBCONTRACTOR shall be accompanied by a Transmittal Note in
accordance with a mutually agreed system between CONTRACTOR and
SUBCONTRACTOR.
The Transmittal Note lists all items being forwarded to ensure proper check-off and serves
as an acknowledgement when signed by SUBCONTRACTOR.
Transmittal of IFC (Issued For Construction) documents serves as an instruction to
proceed with the said WORK.

4.2.4 Technical Queries


In order to track answers to SUBCONTRACTOR’s queries, SUBCONTRACTOR shall
provide queries under the format provided in Attachment 1 - Technical Query. Technical
Query register shall be updated weekly by the SUBCONTRACTOR for review prior to any
weekly coordination meeting.

5. SITE ORGANISATION

5.1 Supervision of resources used


Prior to commencing WORK and throughout its stay on SITE, SUBCONTRACTOR shall
provide CONTRACTOR with the following reports:
 Management staff organisation chart with assignment dates for each person

This organisation chart and schedule submitted as part of the Mobilisation Plan shall be
updated whenever a change (name, duration, etc.) can be anticipated and they shall be
submitted for the APPROVAL of CONTRACTOR.
 Daily work force reports
These daily reports shall be handed over to CONTRACTOR every morning before 10
a.m. and shall refer to the previous working day. They shall be in accordance with the
form in Attachment 2 - Daily report. These daily reports shall clearly indicate the
name of each direct personnel (foreman, number of skilled workers, number of
unskilled workers, etc) and associated breakdown of man-hours worked by unit, work,
type of work, quantity, craft…
These daily reports shall be indicated too:
- name of indirect personnel,
- identification of “beginners” and “short term non-payroll employees” as introduced
in the PART G. ATT #4. HSE Requirement.
 Construction equipment reports
They include two types of reports:

- Number of man-hours worked broken down by unit, work craft, type of work.
This daily report shall be handed over to CONTRACTOR every morning before 10
a.m. and shall refer to the previous working day.

Above mentioned chart(s)/reports shall be made on forms provided by CONTRACTOR.


CONTRACTOR may proceed to checks without notice to ascertain the correctness of the
said reports. Should any discrepancy be discovered, SUBCONTRACTOR shall correct its
reports within forty-eight (48) hours. In such case, SUBCONTRACTOR shall compensate
CONTRACTOR for the costs incurred in proceeding to the checks.

5.2 Access to SITE - Visitors - Photographs


SUBCONTRACTOR's personnel, construction plant and vehicles shall use the SITE
entrance, areas of work and route as assigned by CONTRACTOR. Any operation outside
such routes shall be subject to the prior APPROVAL of CONTRACTOR.
SUBCONTRACTOR may only bring on SITE tools marked with its name. If
CONTRACTOR so requires, SUBCONTRACTOR shall furnish a complete inventory upon
arrival on SITE. In this case, withdrawal authorisations shall only be issued for equipment
listed on such inventory.

No employee of the SUBCONTRACTOR will be allowed to enter the SITE outside the
normal working hours unless he has a written authorisation from CONTRACTOR.
Any visitor must report to, and obtain the written authorisation of CONTRACTOR before
entering the SITE.
When so requested and/or authorised by the COMPANY and/or CONTRACTOR, the
SUBCONTRACTOR shall grant free and complete access and facilities for any person
authorised to see or inspect any part of the WORKSITE, any EQUIPMENT or SUPPLY.
Whatever the applicable laws and regulations in this respect, no photograph of the
WORK, PLANT or any one of its parts or components shall be taken, published or
circulated without the prior authorisation in writing of CONTRACTOR.

5.3 Meetings
During the period commencing fifteen (15) DAYS before and ending fifteen (15) DAYS
after the WORK performance period on SITE, the SUBCONTRACTOR shall either
personally or through its representative, attend, at its own cost, the SITE meetings as set
by CONTRACTOR.
Except for the above period, the SUBCONTRACTOR shall attend, at its own cost, SITE
meetings on special notice from CONTRACTOR.
Meetings with the SUBCONTRACTOR will generally be arranged by CONTRACTOR. In

addition to the regular meetings defined hereafter, other meetings may be convened as
deemed fit by CONTRACTOR:
The first meeting to be held after SUBCONTRACT award will be the Kick-Off Meeting
(KOM).
Coordination meetings shall be held weekly or as required by CONTRACTOR for the
purpose of keeping all parties informed of all phases of the WORK to be performed, for
discussion of technical subjects, for reviewing progress of the WORK and scheduling of
the WORK remaining to be performed. When the WORK includes an important part of
engineering activities, right after EFFECTIVE DATE, the SUBCONTRACTOR shall either
personally or through its representative, attend, at its own cost, the coordination meetings
as set by CONTRACTOR in CONTRACTOR’s home office. Contractual problems, if any,
shall be identified but not discussed during these coordination meetings. They have to be
discussed and resolved between SUBCONTRACTOR and CONTRACTOR’s
Subcontracting Manager and/or Administrator.
Daily coordination and Permit To Work meetings will be held involving HSE and
construction representatives.
Meetings on Health, Safety and Environment will be held at regular intervals as defined in
the Health, Safety and Environmental ATT #4. HSE & QAQC Requirement or in the
relevant detailed procedures. If not otherwise specified, weekly HSE coordination
meetings will involve HSE professionals and monthly HSE coordination meetings will
involve Project managers of involved parties.
Meetings on Quality Assurance and Quality Control will be held at regular intervals as
defined in the Quality ATT #4. HSE & QAQC Requirement or in the relevant detailed
procedures.

Meetings for coordination of works with other Subcontractors will be held as frequently as
required.
Meetings will be held at certain stages of the WORK progress to review specific topics.
Meetings shall be held at the location designated by CONTRACTOR.
CONTRACTOR will provide adequate prior notice of meetings, specifying:
 the purpose of the meeting,
 the timing and location,
 the agenda.
SUBCONTRACTOR will confirm, in writing to CONTRACTOR in letter, telefax or e-mail,
all such meetings together with intended representation.
Unless otherwise specified, meetings will be chaired by CONTRACTOR who will be
responsible for the preparation of Minutes.
SUBCONTRACTOR shall immediately implement any decisions reached at these
meetings as well as any instructions given by CONTRACTOR.
Each meeting shall be reported in Minutes of Meeting written by CONTRACTOR and sent
to the SUBCONTRACTOR. SUBCONTRACTOR shall advise of its comments, if any,
within three (3) working days of its receipt of the Minutes of Meeting which will be deemed

5.4 Working hours, overtime, shift work and stand-by time

5.4.1 Working hours


The hours of work set by the SUBCONTRACTOR shall be submitted for the APPROVAL
of the SITE MANAGER and shall be in conformity with the laws in force and shall also be
compatible with the general working hours of the SITE.
SUBCONTRACTOR shall be entirely responsible for obtaining at its own cost from the
Authorities concerned any required exceptions and shall bear any consequences thereof.

5.4.2 Overtime and shift work


SUBCONTRACTOR shall advise the SITE MANAGER whenever he anticipates working
outside the normal working hours and days and obtain his APPROVAL, in addition to that
of any legal Authorities concerned.
SUBCONTRACTOR shall, at no additional cost to CONTRACTOR, work whatever hours
are necessary through over time or by making use of additional shifts to maintain the
WORK program and progress; and to meet special requirements including but not limited
to road crossings, shutdowns, tie-ins, testing and pre-commissioning.
Work Permits to allow SUBCONTRACTOR to perform WORK outside the working time
defined above are subject to CONTRACTOR’s APPROVAL.
If WORK executed outside the working time defined above is approved by
CONTRACTOR, SUBCONTRACTOR shall ensure that there is a suitable work

environment including but not limited to adequate safety precautions, sufficient lighting,
supervision and the like all subject to CONTRACTOR’s approval.

6. SCHEDULING AND PHYSICAL PROGRESS MEASUREMENT

6.1 Scheduling

6.1.1 Scheduling activities


The SUBCONTRACTOR shall initiate, and maintain throughout the duration of the
SUBCONTRACT, a hierarchical scheduling system as described herein which shall be
used as a basis of planning and monitoring the progress of the WORK.

6.1.2 The SUBCONTRACT SCHEDULE

6.1.2.1 CONTRACTOR shall prepare and issue to SUBCONTRACTOR within twenty-one (21)
DAYS from SUBCONTRACT EFFECTIVE DATE the Detailed Construction Schedule
Level 3 showing on a bar diagram the start/end dates of the work classes within each
discipline.
Based on:
• the SUBCONTRACT Completion of the WORK and milestone dates specified in the

progress measurement rules set out in the PART F. Specification and Drawings;
the PARTIES shall, within thirty (30) DAYS from SUBCONTRACT EFFECTIVE DATE,
agree the OVERALL REFERENCE WORK PROGRESS CURVE (hereinafter called
ORWPC) which will become an integral part of the SUBCONTRACT.
SUBCONTRACTOR shall achieve and maintain the progress required by the ORWPC
implementing the supervision, working force, equipment, materials, tools, etc. ensuring the
required quality and quantity of WORK as per SUBCONTRACT’s requirements.
SUBCONTRACTOR shall, not later than forty-two (42) DAYS from the EFFECTIVE
DATE, draw up the construction schedule (the Detailed Construction Schedule Level 4)
which shall be submitted for APPROVAL to the CONTRACTOR. Once
SUBCONTRACTOR has incorporated CONTRACTOR’s comments, if any, then it will be
APPROVED by CONTRACTOR and shall become the SUBCONTRACT SCHEDULE.
CONTRACTOR has the right to require that WORK to be executed or material to be
assembled on the SITE is undertaken in a definite sequence. All WORK shall be done in
order to achieve the progress required by ORWPC and SUBCONTRACT SCHEDULE
even if CONTRACTOR requires a particular sequence of WORK. Accordingly, in case of
SUBCONTRACTOR refusal to implement CONTRACTOR’s comments here above
mentioned, CONTRACTOR shall direct the finalization of the Detailed Construction
Schedule Level 4 which shall become the SUBCONTRACT SCHEDULE.

6.1.2.2 In case the SUBCONTRACT is an EPC Subcontract, the following shall apply:
SUBCONTRACTOR will prepare a level 3 Schedule, in compliance with the requirements
specified elsewhere in the SUBCONTRACT, which will evidence how
SUBCONTRACTOR will meet the Completion of the WORK and Milestone Dates
specified in the ATT #7. Milestone Table. Within forty-two (42) DAYS from the
EFFECTIVE DATE, this schedule shall be submitted to CONTRACTOR for APPROVAL.
This level 3 Schedule will include:
• a bar chart with a time-scale in weeks showing all activities, including those
performed by sub-subcontractors, the weekly manpower distribution required to
perform each activity as well as the weekly production progress expressed in the
physical quantity (m, m2, m3, kg). This bar chart shall be supported by a narrative.
• a Manpower Summary,
• an OVERALL REFERENCE WORK PROGRESS CURVE (hereinafter called
ORWPC) derived from the above and in strict compliance with the physical
progress measurement rules set out in the PART F. Specification and Drawings,
representing the planned physical progress of the MAIN WORK.
SUBCONTRACTOR shall achieve and maintain the progress required by the ORWPC
implementing the supervision, working force, equipment, materials, tools, etc. ensuring the
required quality and quantity of WORK as per SUBCONTRACT’s requirements.

Once APPROVED by CONTRACTOR the above document will form and become the
SUBCONTRACT SCHEDULE.

6.1.3 Area Summary Schedules


SUBCONTRACTOR shall produce Area Schedules which shall be detailed bar chart
schedules, networked, showing the Critical Path and resource loaded, derived from the
SUBCONTRACT SCHEDULE. Area Schedules shall be monitored by
SUBCONTRACTOR weekly and updated and submitted to CONTRACTOR monthly.

6.1.4 Scheduling Hierarchy


The project schedule will be developed in accordance with the Critical Path Method (CPM)
logic networks in Primavera P6, in compliance with industry best practices and will be
structured in accordance with the project WBS (Work Breakdown Structure), DBS
(Discipline Breakdown Structure), OBS (Organization Breakdown Structure) and control
budget.
The planning process uses a top-down approach for schedule development and a bottom-
up approach for schedule management. Each activity at a higher level is represented by a
number of more detailed activities at the next lower level as shown in the figure below:

Scheduling activities are implemented on a hierarchical basis of 4 levels as defined herein


(Gantt diagram).
SUBCONTRACTOR shall develop, produce and submit the Schedules and Work Plan as
defined herein in accordance with the CONTRACTOR requirement.
 Level 2 Subcontract Schedule
The Level 2 Schedule, presented with a bar chart format, is using the structure (WBS &
OBS).
This schedule containing about 10 activities by discipline/trades for each unit/area
identifies the milestone dates as defined in Time Schedule PART G. ATT #1. Master
Schedule and is a roll-up of the Level 3 Schedule.
Narrative descriptions explaining main assumptions made, critical paths identified and
highlighting main achievements will be attached to the first issue and schedule
revisions of the Level 2 Schedule.
 Level 3 Area Schedule
This level 3 unit/area Schedule developed on the basis of the construction plan and
relevant priorities is issued for the day-to-day follow-up of each activity to be carried out
during the execution of the WORK.
It defines the project critical paths and activity free and total floats.
With resource allocation and including about 20 to 30 activities by Discipline/trade for
each Unit/Area, this schedule allows construction monitoring on the basis of a

periodical evaluation of the remaining duration and issues trend / forecast analysis and
critical activities status.
Float is calculated for each activity and critical path for the entire scope is identified.
S-curves and associated manpower histograms directly generated from the level 3
Schedule are produced and attached to the issues of this schedule.
The CPM network is updated at agreed cut-off date and/or upon issue of the schedule
reports showing on a broken line for each activity progress against planned.
This level 3 Schedule is the basis for implementation of the Construction Progress
Measurement System.
This Level 3 Schedule is not resource-loaded. Manpower analysis is performed through
the Level 4 Schedule.
 Level 4: 90 Day Schedule:
Driven from the Level 3 Schedule, this detailed schedule, on a time-scale basis, detail
quantities to be installed and manpower required to meet the schedule for the next
ninety (90) days.
This 90 Day Schedule is monitored by the SUBCONTRACTOR on a weekly basis and
updated and submitted to CONTRACTOR on a monthly basis.
 Level 5: Weekly Work Plan

On the basis of the 90-Day Schedule, a Weekly Work Plan consisting of a three (3)
weeks look ahead schedule is submitted to CONTRACTOR on a weekly basis.
The Weekly Work Plan indicates scheduled activities, quantities to be installed,
manpower and equipment required to achieve the targets established in the 90-Day
Schedule. It is updated and issued on a weekly basis prior to the commencement of
the week being scheduled.
This detailed schedule indicates progress achieved for the previous week and
scheduled progress for the forthcoming 2 weeks. This schedule forms part of the
Weekly Progress Report.
Level V schedule is used for tracking the physical progress by discipline/trade and by
area at a very elementary level.

6.1.5 Manpower Schedule


SUBCONTRACTOR shall prepare a Manpower Schedule indicating manpower required
on the SUBCONTRACT from the EFFECTIVE DATE to completion. This shall be by
category or discipline on a monthly basis in the form of a manpower histogram.
Direct and indirect manpower shall be indicated separately. Actual manpower levels shall
be reported against this schedule on a monthly basis with scheduled and actual
manpower being the average daily manpower reported for the given month, excluding
absentees.

6.1.6 Format
The format of all schedules prepared by SUBCONTRACTOR shall be APPROVED in
advance by CONTRACTOR.

6.2 Physical progress measurement

6.2.1 Control methodology


An “earned value” Progress Measurement System shall be implemented by
SUBCONTRACTOR for all phases of the WORK. In case where design and / or
fabrication outside the SITE is included in the MAIN WORK, the Design and /or
Fabrication Physical Progress and the SITE Physical Progress will be each monitored
separately.
The measurement of the progress is based on achieved milestone for each phase of work
for each construction work item for each trade per unit or area.
A fixed milestone system and percentage table is used for each detailed construction work
item as written in section 6.2.4. SUBCONTRACTOR shall use the Work Breakdown
Structure and associated progress percentage provided by CONTRACTOR.

6.2.2 Physical Progress Tools


The SUBCONTRACTOR will use CONTRACTOR software called ‘Easy Plant’ for the
follow-up and monitoring of the Physical Progress. This software will be made available by
CONTRACTOR to the SUBCONTRACTOR on a self-service basis.

6.2.3 Construction Progress Measurement

Physical progress of the MAIN WORK is measured weekly. Physical progress is the ratio
of "completed MAIN WORK" to the "total volume of MAIN WORK".
SUBCONTRACTOR provides on a weekly basis the Work Progress Calculation Sheets as
per CONTRACTOR's format (called also “C3 form”) showing the progress of each
individual work item for APPROVAL by CONTRACTOR.
The Work Progress Calculation Sheets are entered into CONTRACTOR's system, which
calculates the physical progress of the MAIN WORK according to the principle set out
hereafter:
The total volume of MAIN WORK is that described / identified / defined in the
SUBCONTRACT.
The total volume of MAIN WORK is normally re-measured at SUBCONTRACT close-out.
However, an interim re-measurement can be initiated by CONTRACTOR or
SUBCONTRACTOR when the change in the volume of the MAIN WORK is significant.

Before MAIN WORK execution and for the purpose of measuring physical progress, the
MAIN WORK is broken down through various levels into individual work items as defined
hereafter:

The sum of the operations represents the totality of the MAIN WORK (or of the design, the
fabrication, the construction portions of the MAIN WORK, as the case may be).

During MAIN WORK execution, physical progress is measured as follows:


 Physical progress of each operation is visually and jointly recorded by the COMPANY
and/or CONTRACTOR on the one hand and the SUBCONTRACTOR on the other
hand according to the provisions of the SUBCONTRACT.

 Physical progress of the MAIN WORK (or of the design, the fabrication, the

assigned to them. Weights of progress stages are defined in the SUBCONTRACT.
 ‘Easy Plant’ software is used for the production of S-curves and manpower histograms
and the calculation of productivity through a linkage with the man-hours expenditure
system.

6.2.4 Worksteps definition


Progress workstep definition shall be as per SUBCONTRACT or shall be submitted to
CONTRACTOR’s approval in absence of such definition.

6.2.5 Certified Progress


It is clarified that the physical completion of a work item does not correspond to the “100%
progress” of the said work item.
CONTRACTOR dedicates a percentage of progress to the Quality Control documentation
(Quality Control Forms (QCF) which must be uploaded onto Easy Plant.
Accordingly, “100% progress” is reached when the dully approved Quality Control
documentation is uploaded onto Easy Plant: this is the Certified Progress.

6.2.6 Procedure of accounting the WORK

The Monthly Financial Status Report (MFSR) is prepared by multiplying the SUBCONTRACT
PRICE (as shown by the latest amendment issued) by the overall physical progress of the
MAIN WORK, and adjusted with CHANGES, retention and other deductions.

6.2.6.2 By using monthly executed quantities

Work quantities shall be accounted directly from the construction drawings, according to the
contractual Price Schedule(s) articles and measurement rules. Only in case such theoretical
calculation is not possible, CONTRACTOR shall survey, together with the
SUBCONTRACTOR, those works for which direct measurement of WORK executed
quantities is indispensable (such accounting being always executed in accordance with the
contractual Price List(s) articles and measurement rules).

It is clarified that only the works for which the properly signed Quality Control Forms (QCF)
have been issued will be considered “released for the WORK quantities accounting”.

The SUBCONTRACTOR and the SITE MANAGEMENT will utilize the data reported on the
Work Progress Calculation Sheet “C3 forms” to check physical work progress according to
the applicable progress control procedures. SUBCONTRACTOR shall update and submit on
a weekly/monthly basis to the CONTRACTOR’s Area Discipline Lead Supervisor the C3
forms (third detail work sheet), provided by SITE MANAGEMENT covering the work
assigned to him.

C3 forms, if not stated otherwise, updated and agreed by the CONTRACTOR and
SUBCONTRACTOR, in respect of works compensated on lump sum basis, will be used as a
basic document to account and value the relevant sum to pay to SUBCONTRACTOR for the
work done to date.

Approved C3 forms may be also used as a basic document for works compensated on unit
price basis, to assess the quantities done for each item of work to be multiplied by the unit
prices, to calculate the provisional amount to be paid to SUBCONTRACTOR.

In case more details are required in order to properly support the required detailed work
quantities accounting, the relevant supporting documents shall be attached to the C3 form
(i.e. C3 form plus supporting documentation provide all details to assess detailed work
quantities for the proper filling in the Accounting Ledgers, as specified below).

The documents for the accounting of works compensated on a unit price basis are the
Accounting Ledgers and the Book Keeping Register. In the Accounting Ledgers, the quantity
of work performed will be indicated, calculated in accordance with the accounting rules
specified in the SUBCONTRACT documentation, and in the Book Keeping Register these
quantities will be valued by the application of relevant unit prices of the SUBCONTRACT.

Without prejudice to SUBCONTRACTOR’s rights under Article 8 hereof, in the event of


disagreement between CONTRACTOR and SUBCONTRACTOR and/or dubious
understanding of the relevant SUBCONTRACT Price Items, the decision of the
CONTRACTOR shall prevail with regard to the accounting process and SUBCONTRACTOR
shall subsequently make all corrections required thereto.

The amount relevant to the overall Indirect Costs of the SUBCONTRACT PRICE indicated in
Article 2.2.1 b) of the Particular Terms and Conditions of Subcontract will be accounted pro-
rata, according to the percentage of progress reached by the overall Direct portion.

Particular procedure of Accounting Work per Part of Work:

CONTRACTOR will transmit to SUBCONTRACTOR drawings and documents issued for


construction (IFC) during WORK performance. Transmission of those drawings and
documents will take place as they are issued from time to time, in accordance with Article
5 of the General Terms and Conditions of Subcontract.

SUBCONTRACTOR, each time it receives drawings and documents IFC, that identify a
part of WORK (as for instance a single line or some lines on the whole, etc.) and prior the
start of the prefabrication or erection of that part of WORK, shall immediately proceed to
determine the work quantities for that part of WORK.

The amount calculated simply and solely by the multiplication of work quantities by unit
prices, after CONTRACTOR’s verification, will be assumed as the final total amount for
the Direct Costs of that part of WORK.

The Indirect Costs corresponding to that part of WORK will be calculated pro-rata as a
portion of the whole Indirect Cost lump sum amount indicated in Article 2.2.1 b) of the

Particular Terms and Conditions of Subcontract.

The total amounts for Direct Costs of each part of WORK determined in accordance with
the above provisions will be accounted for payment according to the relevant physical
progress.

The agreed total amount for the Direct Costs of each part of WORK shall be considered
fixed during the validity of the SUBCONTRACT and SUBCONTRACTOR shall not be
entitled to make any request for additional compensation or claim of whatever nature
other than through a CHANGES Request as per the terms of Article 14 of the General
Terms and Conditions of Subcontract.

Each time a part of WORK is completed SUBCONTRACTOR must expressly renounce its
right to make any further request or claim and accept the lump sum amount for the Direct
Costs of the part of WORK as the relevant final compensation.

6.3 Labour performance measurement system

SUBCONTRACTOR shall initiate and maintain throughout the duration of the


SUBCONTRACT a detailed labour performance measurement system, which will support
and complement the planning and scheduling control tools.

In maintaining these elementary scheduling and performance measurement control


parameters the SUBCONTRACTOR will regularly review and update its forecast of total
quantities and advise CONTRACTOR of any significant increases or decreases in the
SUBCONTRACT quantities.

During the MAIN WORK execution, Direct spent construction man-hours will be gathered
through various levels into individual work items as par ‘Easy Plant’ Work Breakdown
Structure implemented on SITE.
On a weekly basis, the SUBCONTRACTOR will gather into ‘Easy Plant’ software provided
by CONTRACTOR on a self-service basis all information related to spent man-hours and
issue labour performance report.

6.4 SUBCONTRACTOR’s subcontractors progress


CONTRACTOR shall have the right to contact SUBCONTRACTOR’s subcontractors from
time to time to discuss their progress. Such discussions shall not relieve
SUBCONTRACTOR of any of its obligations, responsibilities and/or liabilities under this
SUBCONTRACT. SUBCONTRACTOR will be given notice of any proposed meeting with
a sub-subcontractor in order to be represented at such a meeting.

6.5 Progress reporting


The SUBCONTRACTOR shall prepare and submit to CONTRACTOR the following
reports:
 Daily Progress Report as per the form in Attachment 2 - Daily Report,
 Weekly Progress Report as per a form submitted by SUBCONTRACTOR for
CONTRACTOR approval and containing as a minimum data mentioned below, a HSE

Monthly Progress Report
The SUBCONTRACTOR shall issue the 3rd day of the following month to
CONTRACTOR on a monthly basis a Monthly Progress Report. The report shall be of
the same format of weekly report together with the update of the Construction level 3
area Schedule updated for progress.

6.6 SUBCONTRACTOR’s Progress Control Implementation and Recognition


Pursuant to the provision of SUBCONTRACT Particular Terms & Conditions,
SUBCONTRACTOR Progress Control is monitored through the calculation of the “Monthly
Progress Control Score”, which will be used for the calculation of SUBCONTRACTOR
monthly Progress Control implementation payment.
The Monthly Progress Control Score is established monthly by CONTRACTOR based on
the fulfilment of the SUBCONTRACT Progress Control requirements. It will be calculated
by percentage of achievement over a total of one hundred percent (100%) as per
following breakdown. SUBCONTRACTOR progress control deliverables must be issued to

The non occurrence of these actions will represent the SUBCONTRACTOR’s failure in
fulfilling its duties relevant to the work front and productivity reporting. A corrective action
by SUBCONTRACTOR shall be required.
Different deliverables issuance occurrence can be agreed by the PARTIES during the
project execution if a stricter progress control is required by specific works (i.e., shut down
activities).
CONTRACTOR will assist SUBCONTRACTOR in the preparation of the “Work Front
Analysis” by providing information to SUBCONTRACTOR relevant to upcoming release of

IFC drawings and to arrival at SITE of CONTRACTOR’s EQUIPMENT and MATERIAL for
a period covering at least the forthcoming three months.

CONTRACTOR reserves the right to comment upon the “Work Front Analysis”.
CONTRACTOR comments, or absence thereof, shall neither release SUBCONTRACTOR
in any way from any of its obligations and liabilities under the SUBCONTRACT, or at law,
nor shall it justify any assumption by CONTRACTOR of any responsibility for any such
obligations or liabilities.
Build-up of progress, once accepted by the PARTIES, shall be a mandatory document for
SUBCONTRACTOR.
When the planned progress or productivity values are not achieved, SUBCONTRACTOR
shall submit within 7 DAYs its relevant Recovery Plan, identifying the corrective actions
which it needs to implement to comply with all the planned values and to maintain the
SUBCONTRACT SCHEDULE, and shall submit it to CONTRACTOR for evaluation.
In circumstances where the planned progress or productivity values are not achieved,
CONTRACTOR, without prejudice to any other rights or remedies it may possess, may
provide its comments, instructions and notices in respect of the Recovery Plan submitted
by SUBCONTRACTOR, suggesting alternative solutions to be implemented by
SUBCONTRACTOR.

For avoidance of doubt, it is clarified as follows:


• CONTRACTOR’s comments, or absence thereof, suggestions, instructions and/or
notices regarding SUBCONTRACTOR’s Recovery Plan shall not release
SUBCONTRACTOR in any way from any of its obligations and liabilities under the
SUBCONTRACT, or at law, nor shall constitute any assumption by
CONTRACTOR of any responsibility for any such obligations or liabilities; and
• SUBCONTRACTOR shall be solely responsible for the determination of the
Recovery Plan, which shall be implemented at its sole cost and risk.
No deviation in respect to the planned progress or productivity values shall entitle
SUBCONTRACTOR to request a CHANGE.

7. SITE INSTRUCTION
CONTRACTOR may issue site instruction to SUBCONTRACTOR in order to speed-up,
expedite, ensure safety / quality / timely execution of the WORK included in the scope of
work as per the form in Attachment 4 – Site instruction.
The Site Instructions issued by CONTRACTOR are not intended to constitute CHANGE to
the SUBCONTRACT. Should SUBCONTRACTOR consider entitlement to CHANGE, it
shall promptly submit a CHANGE REQUEST in accordance with the Article 28 of the
General Terms and Conditions of Subcontract, meanwhile executing the WORK instructed
through the site instruction.
Before issuance to SUBCONTRACTOR, a Site Instruction shall be signed by
CONTRACTOR's Construction Manager and Subcontracts Manager.

8. CHANGE / MODIFICATIONS
Strict compliance to the procedural actions herein described is mandatory.
SUBCONTRACTOR shall have sufficient management personnel assigned to the WORK
under the SUBCONTRACT to respond promptly to CHANGE Requests.
SUBCONTRACTOR must make a CHANGE proposal, as hereafter defined, either
following a CONTRACTOR-initiated CHANGE Request or as a constituent part of a
SUBCONTRACTOR-initiated CHANGE Request.
The estimating effort associated with such proposal for a CHANGE will not in itself be a
valid basis for extending the SUBCONTRACT SCHEDULE or increasing the
SUBCONTRACT PRICE.
The CHANGE proposal shall utilise a standard price breakdown summary sheet and shall
include the following data:
 total estimated price, with appropriate justification,
 effect on SUBCONTRACT SCHEDULE, with appropriate justification, demonstrating all
effects,
 a brief description of the changes involved, including appropriate identifying references
to the CHANGE Request and other documents,
 a statement defining the latest date of approval to proceed with the CHANGE can be

The proposal shall be presented in a clear and structured manner. The proposal shall be
presented with a sufficiently detailed breakdown of the causes for CHANGE to allow
proper segregation of their individual effects. The cause and effect relationship shall be
clearly established for each specific cause and the cost and schedule impacts individually
identified. Notwithstanding other reasons, failure by SUBCONTRACTOR to comply with
the above requirements shall be a valid reason in its own right for CONTRACTOR to
reject the CHANGE Request.

8.1 Initiation of a CHANGE request

8.1.1 By CONTRACTOR
CONTRACTOR-initiated CHANGE Requests (“VRC”) will be prepared by CONTRACTOR
on a CHANGE Request form in accordance with the Attachment 5.1 - CHANGE Request
issued by CONTRACTOR / Work Order Approval Form (CRCWO), logged in a
sequential log for CONTRACTOR-initiated CHANGE commencing with 001 onwards.
The CHANGE Request shall be signed by CONTRACTOR’s Subcontracts Manager and
the COMPANY (in the case where CONTRACTOR acts for and on behalf of the
COMPANY) prior to issue to SUBCONTRACTOR.
In accordance with the Article 28.3 of the General Terms and Conditions of the
Subcontract, a Work Order will be signed (on the same form) and issued prior to
implementation of the works.

8.1.2 By SUBCONTRACTOR
All SUBCONTRACTOR-initiated CHANGE Requests (“CRS”) will be prepared by
SUBCONTRACTOR on a CHANGE Request form in accordance with the Attachment 5.2
- CHANGE Request issued by SUBCONTRACTOR / Work Order Approval Form
(VRSWO), numbered sequentially and commencing with 001 onwards.
The CHANGE Request will be sent officially to CONTRACTOR together with the cost and
schedule proposal, all necessary details and supporting documentation.
If SUBCONTRACTOR's entitlement to a CHANGE is established, after discussion and
agreement with CONTRACTOR, a Work Order will be signed (on the same form).
If SUBCONTRACTOR’s entitlement to a CHANGE is not established,
SUBCONTRACTOR shall not cease the WORK and proceed with the WORK as part of its
original scope of work in accordance with the General Terms and Conditions of
Subcontract.

8.2 Execution of a Work Order


Signature by CONTRACTOR of a valid Work Order in accordance with the related
sections of forms in Attachment 5.1 or 5.2 is an instruction to proceed with the Work

In order to track works performed under a Work Order and to calculate the final amount of
the Work Order, attachments to the Work Order will be established as described

8.2.1 Lump sum or unit rates Work Order


Upon completion of the Work Order, SUBCONTRACTOR will prepare a close out to the
Work Order in accordance with the related sections of the forms in Attachment 5.1 and
5.2. This Work Order Close Out will be signed by SUBCONTRACTOR, and by
CONTRACTOR’s Superintendent, Construction Manager and Subcontracts Administrator
or Manager (and by the COMPANY in the case where CONTRACTOR acts for and on
behalf of the COMPANY).

8.2.2 Reimbursable Work Order


SUBCONTRACTOR will prepare a daily attachment to the Work Order in accordance with
the form in Attachment 6 – Daywork Time Sheet (DTS). CONTRACTOR will check and
confirm the information shown on these daily attachments.
Upon completion of the Work Order, the CONTRACTOR will prepare a close out to the
Work Order in accordance with the related sections of the forms in Attachment 5.1 and
5.2.
These Daywork Time Sheets will be signed by SUBCONTRACTOR, by CONTRACTOR’s
Construction Supervisor and/or Superintendent and/or Manager, Subcontracts
Administrator and/or Manager (and by the COMPANY in the case where CONTRACTOR
acts for and on behalf of the COMPANY). These DTS shall be submitted for
CONTRACTOR’s signature the following day before 10am.

Each attachment will be logged on the Work Order by the CONTRACTOR.

8.3 Subcontract Amendment


A SUBCONTRACT Amendment is the sole document by which the SUBCONTRACT can
be varied in content, price or schedule and is only valid upon signature by both parties. A
SUBCONTRACT Amendment is also the only mean by which any price variation
consequent to SUBCONTRACT Amendment can be invoiced. SUBCONTRACT
Amendments shall be numbered consecutively and will be issued by CONTRACTOR.

9. BACKCHARGES TO SUBCONTRACTOR
Where it can be clearly established that the SUBCONTRACTOR has failed to meet its
obligations under the Terms and Conditions of Subcontract, CONTRACTOR may decide if
a claim for recovery of costs shall be submitted to the SUBCONTRACTOR if
SUBCONTRACTOR fails to positively respond to CONTRACTOR’s request in accordance
with the General Terms and Conditions of Subcontract.

9.1 Non-conformance report (NCR)


When a deviation of a quality characteristic from its intended level or state or from a
procedure and/or from specifications, occurs, CONTRACTOR may deliver a Non-
Conformance Report (form to be provided by Quality Department) describing the non-

9.2 Backcharges
During the progression of the SUBCONTRACT, occasions may arise when WORK will be
required to be performed by others in lieu and place of SUBCONTRACTOR, or
CONTRACTOR incurs some extra costs through SUBCONTRACTOR's.
Costs incurred by CONTRACTOR for the account of SUBCONTRACTOR or through
SUBCONTRACTOR’s actions in accordance with the occurrences indicated in the above
paragraph will be back-charged to SUBCONTRACTOR.
A backcharge may result from:
 a request by SUBCONTRACTOR to CONTRACTOR to have WORK which is within the
scope of the SUBCONTRACT performed by others.
 Costs sustained by CONTRACTOR resulting from SUBCONTRACTOR's operations or
deficiency.
 Costs sustained by CONTRACTOR to correct defective or non-conforming WORK,
which SUBCONTRACTOR has stated or by its actions has indicated that it was unable
or unwilling to correct.
Whenever practicable, prior to backcharging costs to SUBCONTRACTOR, a backcharge
notice, as per the form in Attachment 7 – Backcharge Notice, shall be sent to
SUBCONTRACTOR indicating the nature of the WORK intended to be backcharged and

giving SUBCONTRACTOR seven (7) DAYS to state its intention to carry out the WORK
as required by the SUBCONTRACT and within the required time schedule.
Should SUBCONTRACTOR fail to reply or decline to carry out the said WORK,
CONTRACTOR shall initiate the necessary actions and Backcharge the related costs to
SUBCONTRACTOR increased by administrative charges as specified in the
SUBCONTRACT.

9.3 Liquidated damages application notice


The Milestone Table PART G. ATT #7. contains milestone dates which are subject to
liquidated damages.
Should SUBCONTRACTOR fail in the achievement of any of these milestone dates,
CONTRACTOR may deliver a notice for liquidated damages application describing the
milestone delayed and corresponding applied liquidated damages.

9.4 Notice of default


Should SUBCONTRACTOR fail in the performance of any of its obligations under the
SUBCONTRACT, CONTRACTOR may deliver a Notice of default describing the
deficiency to be remedied. SUBCONTRACTOR shall promptly take the necessary
remedial measures.

10. INSURANCE CLAIMS

10.1 Purpose
The objective is to obtain repayment by insurance companies of all the expenses incurred
which are covered by corresponding insurance policies subscribed by CONTRACTOR.
These expenses mainly cover:
 miscellaneous thefts,
 repair or replacement costs of materials or equipment damaged, lost or stolen during
transport,
 repair or replacement costs of materials, equipment or constructed items damaged
during construction,
 repair or replacement costs of materials, equipment or constructed items damaged
during operation.

10.2 Immediate action to be taken


At all times, SUBCONTRACTOR shall keep CONTRACTOR fully informed of all problems
encountered during the performance of the WORK which are likely to culminate in
insurance claims.
In the event of any occurrence likely to give rise to a claim under CONTRACTOR
insurances, SUBCONTRACTOR shall:
 Take any necessary steps to avoid extension of the damage

 Notify CONTRACTOR immediately and in any case no later than 48 hours after the
occurrence of the damage indicating (Refer to the form in Attachment 8 – Insurance
Claim Report):
The time, place and date of the accident,
Short description of the events,
Parties involved,
Names of injured including third parties if any, and of their employer,
Preliminary assessment of physical damage if feasible or proposed programme to
survey the damage.
Failure by SUBCONTRACTOR to so notify CONTRACTOR may foreclose consideration
of any claim based on such item or event.
 As soon as possible, take photographs, preferably in colour,
 Notify the responsible third party, if any, in writing of all damages and reserve all rights
against the responsible third party (notify carriers in the case of damage discovered at
or after delivery).

This does not authorise:

 The carrying out of repairs which are to be APPROVED beforehand by Insurer's Expert
and by CONTRACTOR,
 The carrying out of any action which will prevent the performance of the damage
survey.

10.3 Subsequent action to be taken


On receipt of SUBCONTRACTOR notification, CONTRACTOR will inform Insurer(s) and
request inspection of damage.
SUBCONTRACTOR shall give the Insurer's expert all facilities to carry out his
investigations on the damage.
Provide any further information or documentation required in order for CONTRACTOR to
prepare the final claim recovery.

11. PAYMENT BACK-UP PRESENTATION AND REVIEW

11.1 Monthly Financial Status Report (MFSR)


Unless otherwise specified in the SUBCONTRACT documents, the SUBCONTRACTOR
prepares each month a Monthly Financial Status Report on a format provided by
CONTRACTOR in Attachment 9 - Monthly Financial Status Report, as at, and
including, the cut-off date specified in the Particular Terms and Conditions of Subcontract,
indicating:
 The SUBCONTRACT PRICE based on latest amendment to the SUBCONTRACT,

 Cumulative amount of completed WORK, attaching physical progress reports


APPROVED by CONTRACTOR, or the relevant APPROVED executed quantities
(contractual articles with relevant quantity and amounts, progressively accounted and
determining the total amount relevant to the works performed as at the reference date
of the Monthly Financial Status Report).
 Cumulative amount of completed Work Orders,
 Amount of advance payments reimbursed or to be reimbursed to COMPANY and/or
CONTRACTOR,
 Amount of sums withheld by the COMPANY and/or CONTRACTOR in accordance with
SUBCONTRACT provisions.

11.2 Date of submittal of Monthly Financial Status Report


The Monthly Financial Status Report shall be submitted by SUBCONTRACTOR to
CONTRACTOR on or before fifth (5th) DAY of each month. After this date,
CONTRACTOR may have the report prepared at SUBCONTRACTOR's cost.

11.3 Review of Monthly Financial Status Report


Upon receipt of the Monthly Financial Status Report and not later than within ten (10)
DAYS of the receipt, the COMPANY and/or CONTRACTOR:

 Reviews the Monthly Financial Status Report and makes any applicable adjustments
as provided for under the SUBCONTRACT,
 Deducts any costs of works carried out at SUBCONTRACTOR's expense in
accordance with the SUBCONTRACT provisions,
 Makes any accounting calculations relating to prorata account,
 Prepares the billing statement of the amounts due to the SUBCONTRACTOR for the
whole of the WORK completed in accordance with the provisions of the
SUBCONTRACT and SUBCONTRACT amendments as at the date of the Monthly
Financial Status Report.
The "Monthly Financial Status Report" is APPROVED and signed as follows:
 the Subcontracts Administrator and/or Manager,
 SUBCONTRACTOR,
 CONTRACTOR’s Cost Controller,
 SITE MANAGER,
 the COMPANY (if required by the CONTRACT).

11.4 Invoicing
SUBCONTRACTOR is allowed to issue its monthly invoice only after the Monthly
Financial Status Report has been approved.
SUBCONTRACTOR shall submit its invoice accompanied by a copy of the approved
Monthly Financial Status Report in the number and format required by SUBCONTRACT

documents, for the exact amount shown on the APPROVED Monthly Financial Status
Report and Milestone Approval Sheet (MAS), to CONTRACTOR's accounting department
not later than five (5) DAYS after the date of transmission of the Monthly Financial Status
Report.
Each month, with each issue of the invoice, the SUBCONTRACTOR shall provide proof to
CONTRACTOR and/or SITE MANAGEMENT in respect of all payments, taxes and all
Social Security Contributions or other disbursements required under laws for social
security or other purposes in the Country of WORKSITE in favour of the employees of the
SUBCONTRACTOR. One copy of relevant documentation shall be attached to the
invoice.

11.5 Final Financial Statement and SUBCONTRACT Close-out


Unless otherwise specified in the SUBCONTRACT documents, the SUBCONTRACTOR
prepares, in strict conformity with the format provided in Attachment 10 - Final Financial
Statement, with a view to obtaining the certification of Completion of the WORK without
punch list items, the Final Financial Statement showing:
 SUBCONTRACT PRICE as shown in the SUBCONTRACT or its last amendment,
 Cumulative price of the WORK completed, attaching all the APPROVED Final Bills Of
Quantities,
 Cumulative price of completed Work Orders,
between the Consortium of TPSK and Long Son Petrochemicals Company Limited dated 28 Dec 2017, as amended, supplemented and/or restated from time to time.

 Amount of advance payments reimbursed or to be reimbursed to CONTRACTOR,


 Amount of sums withheld by CONTRACTOR in accordance with the SUBCONTRACT
provisions,
 Application of any escalation factor, if applicable under the SUBCONTRACT and if
practicable at the date of the Final Financial Statement.
Should SUBCONTRACTOR fail to timely submit its proposed Final Financial Statement,
then CONTRACTOR shall be solely entitled to determine the close-out amount of the
SUBCONTRACT. Such amount shall be the basis for the issuance by the CONTRACTOR
of the SUBCONTRACT Close-out Amendment.

11.6 Date of submittal of the SUBCONTRACTOR Proposed Final Financial Statement


The SUBCONTRACTOR Proposed Final Financial Statement shall be submitted by the
SUBCONTRACTOR to CONTRACTOR within ten (10) DAYS of the date of the last
request for Completion of the WORK certification.

11.7 Review of Final Financial Statement & Final account

11.7.1 Final account


Within fifteen (15) DAYS of the official date of the Completion of the WORK without
punch-list items, or within fifteen (15) DAYS of the notification of the correction of the last
punch-list item listed on the Completion of the WORK Certificate with punch-list items,
CONTRACTOR hands over to SUBCONTRACTOR the final account after review of the
Final Financial Statement, subject to the application of the escalation formula if any.

11.7.2 SUBCONTRACTOR has ten (10) DAYS after the receipt of this final account to submit
any comments in writing. Within ten (10) DAYS of the receipt of such comments from
SUBCONTRACTOR, CONTRACTOR will advise SUBCONTRACTOR in writing of
his/their decision regarding said comments.
CONTRACTOR’s form for the Completion of the WORK Certificate is provided in
Attachment 11 – Completion of the WORK Certificate.

11.8 Final Acceptance Certificate (FAC) and last payment


Except otherwise specified in the Particular Terms and Conditions of Subcontract, the last
term of payment is due at the time of Final Acceptance. CONTRACTOR shall issue a
Final Acceptance Certificate using the form provided in Attachment 12 – Final
Acceptance Certificate.

12. PROCUREMENT/SUBCONTRACTING BY SUBCONTRACTOR

12.1 General
SUBCONTRACTOR shall provide CONTRACTOR with:
 Procurement and Subcontracting plans with suppliers/sub-subcontractor’s name and
suppliers/sub-subcontractor’s information as required by CONTRACTOR,
between the Consortium of TPSK and Long Son Petrochemicals Company Limited dated 28 Dec 2017, as amended, supplemented and/or restated from time to time.

 copy of sub-orders,
 complete procurement/subcontracting status report at the end of each month,
 in all cases, the origin of the equipment and/or materials shall be clearly established
and stated in the shipping documents.
According to article 10 of the General Terms and Conditions of Subcontract,
SUBCONTRACTOR’s suppliers and subcontractors shall be subject to approval by
CONTRACTOR. SUBCONTRACTOR’s request shall be performed with the format
provided by CONTRACTOR as per Attachment 13 - SUBCONTRACTOR Proposed
Sub-Subcontractor request.
SUBCONTRACTOR shall attach to each request a pre-qualification dossier dully filled and
signed by its proposed sub-subcontractor as per Sub-Subcontractor Pre-Qualification
Questionnaire form approved by CONTRACTOR.
The major elements that CONTRACTOR will check in the pre-qualification dossier are the
following ones:
 Experience and references,
 Financial data,
 HSE statistics,
 Workload,
 Etc.
SUBCONTRACTOR is not allowed to contract lower sub-subcontractors than 3rd tiers (1st
tier being SUBCONTRACTOR).

12.2 Inspection of the SUPPLY

For purposes of ensuring the satisfactory performance of the SUBCONTRACT,


CONTRACTOR reserves the right to make inspections at any time during the fabrication
of the SUPPLY. In this respect:
 The SUBCONTRACTOR shall provide CONTRACTOR and COMPANY with free
access to any place where a task related to the SUPPLY is performed. The
SUBCONTRACTOR agrees to grant the same right of free access to its suppliers'
and/or sub-subcontractors' premises. The visits to SUBCONTRACTOR’s
subcontractors and/or suppliers shall be made in coordination with the
SUBCONTRACTOR,
 The SUBCONTRACTOR shall make available to CONTRACTOR, in accordance with
the provisions of the SUBCONTRACT, all the documents and/or resources required for
the inspection of the SUPPLY.

In accordance with the inspection plan included in the SUBCONTRACT,


SUBCONTRACTOR shall inform CONTRACTOR in writing at least ten (10) DAYS in
advance, of the place and date of presentation of the SUPPLY in its, or its supplier/sub-
subcontractor's workshop for the intermediate tests or the final workshop acceptance.

The SUBCONTRACTOR shall bear the costs incurred for:

 the constitution of the files (supplier manuals, official APPROVAL files, etc.) required by
the SUBCONTRACT,
 the performance of any tests required by the SUBCONTRACT.
If, due to the SUBCONTRACTOR, all or part of the tests must be performed outside the
specified workshop, the expenses incurred by CONTRACTOR in connection with these
tests shall be borne by the SUBCONTRACTOR.

All costs (travel and living expenses, travel time, work time) incurred by CONTRACTOR
shall be borne by the SUBCONTRACTOR in the following cases:
 If, as a result of a non-conformity, it turns out to be necessary to make additional and/or
complementary verifications to those provided for in the SUBCONTRACT.
 In the event of a postponement or cancellation by the SUBCONTRACTOR less than
eight (8) DAYS before the date scheduled for the control visit, inspection or
acceptance,
 If, for reasons attributable to the SUBCONTRACTOR, the inspection or acceptance
cannot take place on the scheduled date, or cannot be completed and that it becomes
necessary to conduct a new inspection or additional acceptance.

The presence of CONTRACTOR representatives in workshops, as well as any


verifications, comments and/or APPROVALS made by CONTRACTOR with regard to the
SUPPLY shall not release the SUBCONTRACTOR from any of its responsibilities. The
SUBCONTRACTOR may under no circumstance invoke CONTRACTOR's liability in
connection with the inspection visits.

The inspection reports prepared by CONTRACTOR shall be CONTRACTOR's property.

12.3 Packing, marking, delivery

12.3.1 Packing and marking


Prior to packing the SUPPLY, the SUBCONTRACTOR shall take all precautionary
measures in order to protect the equipment from bad weather, corrosion, loading
accidents, transportation or storage constraints, such as cleaning, painting, lubrication,
application of a protective film, disassembly of fragile components, anchoring or fastening
for purposes of protecting internal parts from vibrations or shocks.
The SUBCONTRACTOR shall comply with the packing and marking instructions included
in the SUBCONTRACT, if any and further given by CONTRACTOR and its suppliers. The
said packing and marking shall allow easy identification and retrieval on SITE.
The SUBCONTRACTOR shall specifically identify the items of equipment that require
special handling and/or transportation and/or storage conditions, as well as items
sensitive to weather changes, indicating the precautions to be taken.

12.3.2 Delivery
Unless otherwise specified in the SUBCONTRACT, the SUPPLY is delivered and installed
by SUBCONTRACTOR at the SITE.

The SUBCONTRACTOR may not make the SUPPLY available for shipping or ship the
same directly without CONTRACTOR's prior written consent, failing which,
CONTRACTOR reserves the right to return the SUPPLY to the SUBCONTRACTOR at its
expense in order to complete the inspection procedure, if necessary.
CONTRACTOR reserves the right to ask SUBCONTRACTOR to postpone the shipping of
the SUPPLY. In this case, any storage and insurance costs during the first thirty (30)
DAYS shall be borne by the SUBCONTRACTOR.
Past that period, the warehousing terms shall be agreed between the SUBCONTRACTOR
and CONTRACTOR, the risks inherent to the warehousing remaining at the charge of the
SUBCONTRACTOR.

12.3.3 Spare parts


SUBCONTRACTOR must provide a detailed list, with prices, of the required spare parts
and specific consumable parts and materials, and indicate their terms of delivery.
SUBCONTRACTOR agrees to deliver the spare parts and specific consumable parts and
materials within the appropriate time schedule, as well as any related documentation
required for precommissioning, commissioning and operation of the SUPPLY, in
conformity with the requirements set forth in the SUBCONTRACT.
The spare parts, being part of the SUPPLY, shall satisfy the same technical and
commercial conditions as those applying to the SUPPLY.
SUBCONTRACTOR expressly guarantees that the spare parts or parts of equal
functionality, shall be available for a period of ten (10) years from the Final Acceptance.

13. SHOP FABRICATION OUTSIDE THE SITE


For fabrication of EQUIPMENT or MATERIAL specified in the SUBCONTRACT to take
place in one or several workshops of the SUBCONTRACTOR outside the SITE, the
SUBCONTRACTOR shall be responsible for all SUPPLIES and services which would
have been included in its obligations should the WORK have been totally carried out on
SITE.
SUBCONTRACTOR shall also comply with the following obligations:

13.1 Place of fabrication


The COMPANY and/or CONTRACTOR shall be advised of the place(s) of fabrication.
SUBCONTRACTOR will not be allowed to change the place of fabrication location without
prior written APPROVAL by CONTRACTOR.

13.2 Fabrication progress


CONTRACTOR may proceed to carry out inspection and/or verifications check without
notice to ascertain the correctness of the progress reports. Should any discrepancy be
discovered, SUBCONTRACTOR shall correct its reports within forty-eight (48) hours. In
such case, SUBCONTRACTOR shall compensate CONTRACTOR for the costs incurred
in proceeding to the checks.

13.3 Inspection and tests


Refer to Article 12.2.

13.4 Coordination - fabrication in sections / erection activities


SUBCONTRACTOR is entirely responsible for the coordination of shop fabrication and
erection operations on SITE, if he has been awarded a SUBCONTRACT requiring shop
fabrication.
SUBCONTRACTOR shall be responsible for any possible adjustments required for the
sections fabricated outside SITE to be assembled in the best possible quality and time
conditions in accordance with the SUBCONTRACT. SUBCONTRACTOR shall be
responsible at its own cost for all the works required therefor.

13.5 Packing - Shipping


Refer to Article 12.3.

13.6 Exceptions to SUBCONTRACT


If, for a fabrication which under the SUBCONTRACT was to be performed on SITE, the
COMPANY and/or CONTRACTOR agree(s), as a special exception, in writing and at the
request of the SUBCONTRACTOR, that the WORK will be performed either partly or
totally in a workshop outside SITE, the SUBCONTRACTOR shall then bear the entire
responsibility for the consequences of such remote fabrication as well as for all and any
resulting additional charges and costs, including COMPANY's and/or CONTRACTOR's
travel and accommodation costs incurred as a result of such remote fabrication especially

with regard to procurement of materials or parts used in the fabrication, delays, damages
or losses due to transportation and/or adjustment on SITE of fabricated parts or sections.

14. RESOURCES

14.1 Personnel
SUBCONTRACTOR key personnel are to be submitted for APPROVAL to
CONTRACTOR and once APPROVED shall not be changed without CONTRACTOR prior
APPROVAL.

14.1.1 Administration
The SUBCONTRACTOR shall make all the necessary arrangements for the assignment
to the WORKSITE, in due time and for the required length of time, of sufficient personnel
with adequate qualification, as required for the proper performance of the WORK.
The SUBCONTRACTOR carries out all the administration work in connection with the
employment of this personnel and bears all the associated responsibilities.
This administration includes:
 visa proceeding requirements if applicable,
 recruitment,
between the Consortium of TPSK and Long Son Petrochemicals Company Limited dated 28 Dec 2017, as amended, supplemented and/or restated from time to time.

 technical and safety training,


 payroll,
 WORKSITE assignment compensation (allowances, accommodation, catering,
transport, etc.),
 discipline, application of labour laws and regulations especially with regard to health,
safety and protection of the environment,
 application of workmen's compensation (national insurance and fringe benefits,
unemployment, pension, etc.) and tax regulations, and generally of any payroll burden
in accordance with the existing conditions and regulations applicable at the
WORKSITE, with which regulations SUBCONTRACTOR is deemed to be fully familiar.
Should the progress of the WORK be jeopardised or upset due to industrial action,
SUBCONTRACTOR undertakes to meet any request of the COMPANY and/or
CONTRACTOR concerning the comparison of the SUBCONTRACTOR's personnel policy
with those of the COMPANY and/or CONTRACTOR and/or other subcontractors working
on the SITE.
SUBCONTRACTOR undertakes for the whole duration of the SUBCONTRACT not to
entice away or to hire personnel from any other party on the SITE.

14.1.2 Supervisory staff


SUBCONTRACTOR shall supply and assign to WORKSITE all required supervisory staff,
such as:

 Field Engineers,
 Superintendents,
 Supervisors,
 Health and Safety Officers,
 Security officers.
In case CONTRACTOR requests the presence of SUBCONTRACTOR's personnel in
CONTRACTOR's home office to carry out activities such as but not limited to mobilisation
follow-up, constructability reviews, schedule analysis, preparation of construction
procedures, the relevant costs shall be borne by SUBCONTRACTOR. The leader of the
said SUBCONTRACTOR's personnel shall be vested by SUBCONTRACTOR with the full
authority to take all decisions under the SUBCONTRACT on behalf of
SUBCONTRACTOR.

14.1.3 Labour
SUBCONTRACTOR shall supply and assign to WORKSITE all required labour such as:
 Foremen,
 Skilled workers,
 Semi-skilled workers,

 Unskilled workers.

14.1.4 Testing, inspection, pre-setting and adjusting personnel


SUBCONTRACTOR shall supply and assign to WORKSITE all personnel required for
those tests, inspection, pre-settings and adjustments which are included in the WORK.

14.1.5 Administrative personnel


SUBCONTRACTOR shall supply and assign to WORKSITE as necessary:
 personnel required for the administration of the WORKSITE: accountants, secretaries,
timekeepers, storekeepers, and nurses,
 personnel required for operation of the temporary camp.

14.1.6 All the above categories of personnel shall be provided in sufficient numbers and
qualifications so as to comply with the SUBCONTRACT SCHEDULE, good engineering
and construction practices, and the health, safety and environmental requirements in
accordance with applicable laws and to ensure proper performance of the WORK.
CONTRACTOR reserves the right to assess that the said personnel, and in particular key
personnel are adequately qualified, failing which termination of the assignment and
suitable replacement shall be demanded as per Article 14.1.8.
SUBCONTRACTOR undertakes to make all its people working on the SITE fully aware of
the SITE regulations and security, health, safety and protection of the environment
regulations.

SUBCONTRACTOR undertakes to employ for performance of the WORK under this


SUBCONTRACT only personnel engaged in conformity with legislation and union
agreements, if applicable.
SUBCONTRACTOR undertakes to require from all SUBCONTRACTOR’s subcontractors
compliance with the above obligations.
SUBCONTRACTOR shall take all necessary steps to ensure that personnel annual and
rotational leave or other personnel unavailability shall not affect the progress and safety of
the WORK. A two weeks notice shall be given to CONTRACTOR for any Key Personnel
annual or rotational leave.

14.1.7 SUBCONTRACTOR shall verify continually that its personnel are in possession and are
applying the latest revision of drawings and other documents, in particular those supplied
by CONTRACTOR. SUBCONTRACTOR shall be liable for any rework required as a
failure to act as stated above.

14.1.8 Termination of service


CONTRACTOR reserves the right to demand that SUBCONTRACTOR remove from the
SITE any of its personnel who are found to be undesirable for reasons of security, safety,
discipline, inadequate qualification or due to a request from COMPANY or local
Authorities.

Such personnel shall be replaced immediately by the SUBCONTRACTOR at its own cost
and SUBCONTRACTOR shall not be entitled to request for a CHANGE in this respect.
SUBCONTRACTOR shall render COMPANY and/or CONTRACTOR harmless against
any legal or extra-judicial actions which may be taken by withdrawn personnel in
connection with their work contract and it shall bear any costs or expenses including any
payments to the employee without having the right of recourse against COMPANY and/or
CONTRACTOR; similarly SUBCONTRACTOR shall render COMPANY and/or
CONTRACTOR harmless from any consequences resulting from the dismissal of
withdrawn personnel.

14.2 Construction equipment and tools


SUBCONTRACTOR shall supply all construction equipment and tools required for the
proper and timely performance of the WORK entrusted to him, whether they are or not
expressly mentioned in the SUBCONTRACT.
Similarly, the SUBCONTRACTOR shall supply all equipment and tools required for the
tests, checks, pre-setting, adjustments of the WORK to be carried out by
SUBCONTRACTOR.
SUBCONTRACTOR shall provide at its own cost, care and maintenance of all above-
mentioned equipment and tools. SUBCONTRACTOR shall be responsible for compliance
with all statutory provisions and regulations concerning the use of construction equipment
and tools which may also be subject to the requirements of Article 16 of the General
Terms and Conditions of Subcontract.
No construction equipment, tool or material shall be withdrawn from the SITE without prior
formal APPROVAL by CONTRACTOR.

15. TEMPORARY FACILITIES & CAMP


Unless otherwise specified in the SUBCONTRACT, SUBCONTRACTOR shall not be
allowed to use any permanent facilities of the PLANT for its own needs.

15.1 SUBCONTRACTOR's temporary facilities


SUBCONTRACTOR shall supply, install and maintain in good repair all SITE offices,
warehouses and storage areas arranged for storing EQUIPMENT, MATERIAL,
construction equipment, tools, workshops, shelters, change rooms and toilet facilities for
the use of its personnel, utility connections, lighting etc. all in conformity with applicable
(local) laws and regulations.
These facilities and the necessary connections shall be in conformity with
SUBCONTRACT requirements and in particular with any temporary site facilities
drawing(s) and/or specification provided in the SUBCONTRACT. These facilities and the
necessary connections shall be submitted for APPROVAL to CONTRACTOR.
Delivery, erection, dismantling and removal of SUBCONTRACTOR's own facilities,
together with the associated construction or demolition civil works to clear the SITE are
the responsibility of the SUBCONTRACTOR and shall be carried out timely at its own
cost.
Such temporary facilities shall on no account be considered as the SUBCONTRACTOR's
main offices and stores but as shelters enabling the WORK under the SUBCONTRACT to

15.2 Temporary camp


If local conditions require the installation of a temporary camp, SUBCONTRACTOR shall
supply, install and maintain in good repair this temporary camp to provide accommodation
for its personnel in accordance with the standard of living of these personnel and the
regulations in force.
In the month following the coming into force of the SUBCONTRACT, the
SUBCONTRACTOR shall submit for the review of CONTRACTOR all temporary camp
installation drawings, camp operation procedure and safety and security instructions to be
applied.
SUBCONTRACTOR shall, at any time, allow access to, and inspection of, the buildings by
the local Authorities and/or CONTRACTOR, SUBCONTRACTOR shall implement any
instructions given during such visits concerning camp cleanliness, disinfecting, waste
disposal, drainage and housekeeping, fire protection and personnel transportation to and
from the jobsite.

Delivery, erection, dismantling and removal of the temporary camp together with the
associated construction or demolition and grading civil works to clear the SITE are the
responsibility of the SUBCONTRACTOR and shall be carried out at its own cost.

15.3 Use of existing/temporary buildings and/or facilities


Should existing/temporary buildings and/or facilities be made available to the
SUBCONTRACTOR by CONTRACTOR at the beginning of the WORK and for its whole
duration, the SUBCONTRACTOR shall, upon completion of the WORK and within two (2)
weeks of the notification from CONTRACTOR, carry out, at its own cost, the services,
supplies and works required for cleaning and reconditioning to the original condition such
buildings and facilities.
Likewise, the SUBCONTRACTOR, who uses, during its WORK, temporary or final WORK
made available to him by CONTRACTOR, whether they are part of the PLANT or not,
shall, at its own cost, maintain them in a state of cleanliness, and carry out any
maintenance and/or repair works and, if its right to use them is not exclusive, he shall
allow free use by others.

15.4 Concerning the temporary facilities and camp


The setting up of an office or temporary camp in a town near the PLANT and the
associated dealings, authorisations and agreements with any authorities are the sole
responsibility of the SUBCONTRACTOR, CONTRACTOR being kept informed of the

without the SUBCONTRACTOR being entitled to request for a CHANGE in this respect
other than for the associated costs limited to the demolition, relocation and reconstruction
costs incurred by the SUBCONTRACTOR and checked by CONTRACTOR excluding any
other financial or other consequences.

15.5 Utilities and Services


The conditions and limits of supply are detailed in the SUBCONTRACT.
In the case where supply of utilities is the COMPANY and/or CONTRACTOR
responsibility under the SUBCONTRACT, the COMPANY and/or CONTRACTOR is
obliged to temporarily cut off the supplies in case of failure on the public network or
obvious wastage. SUBCONTRACTOR shall not be entitled to request for a CHANGE in
this respect, except as provided for under Article 15.5.1 below.

15.5.1 Water and electricity


In case of repeated or prolonged failure of the COMPANY and/or CONTRACTOR's
obligations to supply water and electricity, if so foreseen under the SUBCONTRACT,
SUBCONTRACTOR shall promptly propose mitigating solutions for APPROVAL by
CONTRACTOR. Upon CONTRACTOR approval, SUBCONTRACTOR shall be entitled to
request for a CHANGE in this respect.

15.5.2 SITE cleanliness


SUBCONTRACTOR is required to maintain the SITE in a satisfactory state of cleanliness
and shall remove all waste, rejected or excess materials. In case the SITE cleanliness is
unsatisfactory, CONTRACTOR reserves the right to have the SITE cleaned by others.
The cost increased by administrative charges of fifteen (15 %) percent of the said SITE
cleaning shall be deducted from payments due to SUBCONTRACTOR and the other
Subcontractors present on the SITE. The deduction shall be prorated between
SUBCONTRACTOR and the other Subcontractors according to the average number of
productive personnel (including foremen) present on the SITE over the last ten (10)
working days.

15.5.3 Mail and communications


SUBCONTRACTOR is responsible for all its means of communication and
telecommunication and shall bear all associated costs, including installation, consumption,

15.5.4 Consumables

Conditions of Subcontract.
SUBCONTRACTOR may be requested to use for its WORK fuels and lubricants of a

SUBCONTRACTOR commits to maintain on SITE beyond the necessary mobilisation

15.7 Transport - Warehousing - Handling - Import

SUBCONTRACTOR's scope of SUPPLY.

15.8 Imports
If SUBCONTRACTOR imports resources such as construction means, tools,
consumables and/or temporary facilities for the performance of the SUBCONTRACT, it
shall comply with the customs regulations in force.
Unless otherwise specified in other SUBCONTRACT documents, SUBCONTRACTOR
shall bear all duties and expenses relating to the import of such resources.
SUBCONTRACTOR shall make any required application for the temporary import of
construction means, tools, temporary facilities and bear all associated costs including
insurance, clearing and forwarding, wharfage, customs bond/guarantee costs/charges.

16. MATERIAL CONTROL

16.1 General
SUBCONTRACTOR shall implement strict material control throughout all phases of the
WORK in accordance with the requirements set forth in the SUBCONTRACT.
Within two (2) months after the EFFECTIVE DATE, SUBCONTRACTOR shall submit for
review its proposed procedures for a Material Control System (MCS) which will enable
SUBCONTRACTOR to meet the material control requirements. SUBCONTRACTOR shall
submit for CONTRACTOR review details of any computer system that he intends to use
related to material control.

16.2 Material control requirements


CONTRACTOR furnished MATERIAL/EQUIPMENT in the care of the
SUBCONTRACTOR shall be stored separately from SUBCONTRACTOR's material. They
shall remain at all times properly identified and identifiable throughout all construction
activities.
If not otherwise specified, SUBCONTRACTOR shall develop and utilise a material listing,
identification and coding system comprising tag numbers and a stock code and cover all
materials included in the WORK.
SUBCONTRACTOR supplied items shall be monitored separately.
The MCS shall be retained and used throughout the construction period.

16.3 Responsibilities
SUBCONTRACTOR and its sub-subcontractors shall be responsible both for their
material and equipment, and CONTRACTOR supplied items which have been issued to
SUBCONTRACTOR.
The activities shall include the following:
 Manage MATERIAL and EQUIPMENT received from CONTRACTOR,
 Issue material/equipment receipt, storage and allocation procedures in yards and on
construction sites to ensure integration into the overall MCS,
 Ensure timely input of data,
 Ensure timely receipt of documents,

 Follow-up prefabrication and assembly activities, notify release of fabricated elements

 Be responsible for the safe keeping of all MATERIAL and EQUIPMENT at the SITE.
Ensure that no MATERIAL/EQUIPMENT are stored in direct contact with the ground,
 Maintain records of all MATERIAL and EQUIPMENT received and installed,
 Be responsible for the optimisation of all bulk materials ensuring that prefabrication and
installation is performed in such a manner as to prevent excess wastage,
 Maintain records of all surplus and scrap,

or misused by SUBCONTRACTOR shall be for SUBCONTRACTOR's account.

16.4 Material receiving


SUBCONTRACTOR is responsible to check immediately upon receipt on a quantitative
and qualitative basis every delivery for its use under the SUBCONTRACT.
SUBCONTRACTOR shall initiate and follow-up all actions that have to be taken to solve
any pending problem on materials and equipment supplied under its scope of supply and
to protect CONTRACTOR's rights with respect to insurance cover.
It may be necessary for deliveries of EQUIPMENT or MATERIAL to be made outside
normal working hours. SUBCONTRACTOR shall provide attendance of personnel and
construction equipment necessary for receipt and offloading of these deliveries. It is
understood that deliveries outside normal working hours shall remain exceptional cases.
Accordingly, it shall not constitute a CHANGE.

16.4.1 Material Receiving Report (MRR)


A Material Receiving Report (MRR) shall be issued promptly by the SUBCONTRACTOR
on receipt and checking of materials on SITE as per the form in Attachment 15 - Material
Receiving Report.

MRR data shall be fed into SUBCONTRACTOR's Material Control System.

16.4.2 Overage, Shortage, Damage (OSD Report)


OSD reports shall be promptly issued (as per the form in Attachment 16 - Overage,
Shortage, Damage Report) by the SUBCONTRACTOR on receipt of a consignment or
MATERIAL and EQUIPMENT not acceptable for any reason or surplus quantity.
OSD data shall be fed into SUBCONTRACTOR's Material Control System.
SUBCONTRACTOR shall maintain a record of all OSD reports and monitor them on a
frequent basis for their resolution. OSD reports shall be numbered in a sequence
established by SUBCONTRACTOR.
SUBCONTRACTOR shall issue to CONTRACTOR on a weekly basis a status report of all
OSD actions that have been taken and their expected results.
MATERIAL and EQUIPMENT rejected must be identified and stored separately from any
other MATERIAL and EQUIPMENT.

16.4.3 Quarantine
SUBCONTRACTOR shall allow for quarantine procedure within its Material Control
System. Quarantine material list shall be permanently updated according to material
received and corrective action implemented and resolution of quarantine causes.

16.5 Material issue

16.5.1 Material Issue Slip (or Material Delivery Voucher)


The purpose of this slip is to monitor material issues of CONTRACTOR supplied
MATERIAL and EQUIPMENT to SUBCONTRACTOR.
SUBCONTRACTOR shall utilise Material Issue Slips for all issues from stores of
MATERIAL and EQUIPMENT and sign all Issue slips upon receipt of material.

16.5.2 Material Return Slip (or Material Return Voucher)


Return slip shall be issued for all MATERIAL and EQUIPMENT returned to stock from the
SUBCONTRACTOR providing quantity, condition and identification of MATERIAL and
EQUIPMENT returned.
CONTRACTOR shall sign all return slips.

16.6 Storage facilities


It will be the responsibility of the SUBCONTRACTOR to store, protect and maintain all
MATERIAL and EQUIPMENT in accordance with SUBCONTRACT and suppliers’
recommendations and provide the facilities necessary to prepare items for their
installation.

16.6.1 Material storage procedure


The following requirements shall be addressed by SUBCONTRACTOR when preparing
the Material Storage Procedure that is to be provided for CONTRACTOR's review.

SUBCONTRACTOR must respect all and any particular issued storage recommendations
covering packing, preventive maintenance, storage conditions and maintenance checks. It
is its responsibility to ensure that all MATERIAL and EQUIPMENT are kept in good
condition. Any problem arising during storage should be reported to CONTRACTOR with
the immediate action already taken.

16.6.2 Storage - Outside

a. Steel Plates
Steel plates shall be stored in steel frames or otherwise must be stored in the
horizontal position off the ground and separated by suitable dunnage that will facilitate
cranage and identification.
Steel plate is also to be stored primarily by grade and plate thickness.

b. Shapes
Steel shapes shall be supported off the ground and separated by adequate dunnage
and stored by grade, type and size.

c. Pipe
Pipe shall be stacked using protective wedges and with end protection. Different types

f. Electrical/Instrumentation Cable
Cable drums shall be stored primarily by discipline and then as far as possible by cable
drum schedule use.

g. Drum Storage
Drums shall be stored in horizontal position.

Certain items subject to prolonged external storage may require periodic re-application
of the appropriate colour coding; this shall be carried out by SUBCONTRACTOR.

16.6.3 Storage - Inside

a. Major Equipment Packages


All equipment after physical count and check for surface/appearance or damage will be
re-sealed and secured until required. Whilst in storage certain categories of equipment
will also be subject to regular maintenance.

b. Fittings and Valves


Fitting and valves below 4" shall be segregated from each other in accordance with
material and typology and ensuring correct colour coding is applied.

c. Electrical/Instrumentation Equipment
(Separate storage is required). Specific materials from these classifications such as
density metres, thermowells, printed circuit boards, etc. having been checked shall be
replaced in the manufacturer's packing. When this is not possible these items will be
sealed with desiccant in polyethylene bags until required.

d. Paint

SUBCONTRACTOR must store to minimise any fire risk and comply with any local
safety and health rules applicable to such product.

e. Toxic Materials
Because of their nature these materials shall be kept in an isolated and secure area.

16.6.4 Warehouse, SITE and storage yard safety and security


SUBCONTRACTOR is to make sure that safety and security procedures are strictly
applied.
It is SUBCONTRACTOR's responsibility to make sure that the warehouse, SITE and
storage yard are kept tidy, organised and guarded and that materials and equipment are
identified in such a way as to make items secure, safe and easily retrievable.

16.7 Surplus Material


Surplus Material is defined as MATERIAL and EQUIPMENT which is the property of
CONTRACTOR and which has been free issued to SUBCONTRACTOR for incorporation
into the WORK but is not incorporated into the WORK.
As Construction is near to completion or at least two (2) months prior to the Completion of
the WORK, a Preliminary Inventory of all remaining MATERIAL and EQUIPMENT surplus
shall be prepared by SUBCONTRACTOR and forwarded to CONTRACTOR. Such
Preliminary Inventory shall be regularly updated to finally include all surplus material.

CONTRACTOR shall determine which items of MATERIAL and EQUIPMENT are surplus.
The surplus materials shall be segregated and stored by SUBCONTRACTOR in a
separate area pending a decision on their disposal.
Surplus material shall be reported and summarised by SUBCONTRACTOR as follows for
CONTRACTOR review:
 unused materials ordered for specific units,
 balance of project bulk stocks,
 second hand materials,
 scrap materials.
Materials will be further identified to show:
 original purchase order number,
 quantity and unit,
 full description including weight and dimension,
 assessment of condition for each item.
A Material Return Note (MRN) shall be completed by SUBCONTRACTOR on each
occasion that MATERIAL and EQUIPMENT are declared surplus. The MRNs shall be
between the Consortium of TPSK and Long Son Petrochemicals Company Limited dated 28 Dec 2017, as amended, supplemented and/or restated from time to time.

16.8 Reconciliation accountability

a. Material Inventory
Periodic stock checking of SUBCONTRACTOR stock records against physical
inventory shall be conducted for the purpose of verifying the MCS.

b. Frequency
Each CONTRACTOR supplied item shall be checked on a regular basis.
Random stock checks may also be made by CONTRACTOR.

c. Reconciliation
SUBCONTRACTOR shall prepare and maintain a Material Reconciliation Register
which shall cover the following:
All CONTRACTOR provided items,
All SUBCONTRACTOR provided items.
The Material Reconciliation Register shall also be compiled under the related discipline
engineering headings and incorporate specific identifying details of the items involved
giving quantities received, fabricated, incorporated into the WORK, scrapped,
transferred, remaining and the like.

d. Accountability
Any of the items referred to in the foregoing paragraph which are unaccounted for or
otherwise misused by SUBCONTRACTOR shall be to SUBCONTRACTOR's account
and shall be treated as a negative CHANGE.
All schedule impact(s) resulting from or otherwise connected with such missing or
misused items shall equally be to SUBCONTRACTOR's account.

16.9 Preservation
SUBCONTRACTOR shall prepare and submit to CONTRACTOR for review a
preservation and maintenance programme for MATERIAL and EQUIPMENT.
Provision shall be made for routine checking / preservation to be undertaken by
SUBCONTRACTOR under supervision of supplier's representatives if applicable.

17. ATTACHMENTS – FORMS TO BE USED


The forms provided hereafter are given for guidance and shall be used by
SUBCONTRACTOR during the execution of the project in absence of other requirements.
These forms may be adapted and modified with the approval of CONTRACTOR.

SUBCONTRACTOR shall not be entitled to perform modification of these forms without


CONTRACTOR’s expressed approval. CONTRACTOR may modify depending on project
specificities, at its sole discretion these formats, such modification shall not constitute an
entitlement for SUBCONTRACTOR to request for a CHANGES.
