Dear Kristine,

On behalf of ANZ Global Services and Operations (Manila) Inc ("ANZ"), we are pleased to offer you the position of
Recoveries Officer with ANZ. This offer is subject to the conditions set forth below, as well as the enclosed/attached letter
which embodies the full terms and conditions of our offer of employment.

This letter, as well as the enclosed/attached letter, provides you with the information you need to accept this offer, the
conditions you will need to comply with in order for this offer to remain valid and your employment to become effective,
and the things you will need to do prior to your commencement with ANZ. You will find a copy of the full terms and
conditions of this offer enclosed/attached.

Accepting ANZ's offer of employment and next steps

As part of our e-Execution process, you will be asked if you accept the offer and the terms of employment in the
employment agreement (including the cover letter and Schedules). We must receive your e-Executed employment
agreement electronically within five calendar days from the date of this letter, otherwise this offer may be withdrawn.

When you meet your Onboarding Specialist, you will also need to sign this employment agreement by way of your
handwritten signature.

Conditions for the validity of offer and effectively of employment

1. Provide consent to undergo pre-employment screening and successfully pass screening

To comply with its legal and regulatory obligations and in accordance with ANZ policy, ANZ may require you, and you
consent, to undergo a police record check or other background checks, as well as medical and drug tests. You need to
successfully pass these checks and tests within the required timeframe in order for this offer to remain valid.

ANZ may engage the services of an external provider to conduct these checks. This external provider may contact you to
obtain your consent.
2. Other conditions

As some results may take time to be available due to circumstances beyond the reasonable control of ANZ, you may be
required to start your employment with ANZ in the interim. Should this happen, you understand and accept that your
employment is conditional on ANZ being satisfied with the outcome of your checks and tests. You also understand and
accept that any unsatisfactory outcome may cause the immediate termination of your probationary employment, at the
sole discretion of ANZ.

The other conditions that you will need to comply with are set out in the enclosed/attached letter containing the full terms
and conditions of our offer.

What to do before you commence

Before we can process your acceptance and prior to your commencement as an ANZ employee, you will need to do the
following:

1. Complete and provide certain employment documentation

Please complete and return the forms, which are enclosed with your letter of offer, to your recruitment consultant by five
(5) working days from receipt.

If this documentation is not provided prior to your commencement with ANZ, you may be asked to defer commencement
until the documentation is produced.

2. Open an ANZ account

All ANZ employees are required to have their salary credited to an ANZ bank account, where such a facility is available. If
your location does not currently have such a facility, your salary will be paid to your nominated bank account or a
preferred bank as determined by ANZ at the relevant time until such time as an ANZ bank facility becomes available in
your location.

Dear Kristine,

On behalf of ANZ Global Services and Operations (Manila) Inc ("ANZ"), I am pleased to confirm the terms of our offer to
you, subject to your compliance with the conditions set out below.

This letter sets out the terms of your employment, and constitutes your employment agreement with ANZ, provided you
have submitted a signed copy to your recruitment consultant within five (5) working days and have complied with all the
conditions of our offer of employment. If you accept this offer, this agreement will become your only employment
agreement with ANZ and will replace all previous employment agreements and understandings between you and ANZ.

1. Position Details

The details of your new position with ANZ including your reporting arrangements, work location and the date you will start
work in this position are set out in Schedule 1.

You agree to diligently perform the duties and responsibilities that ANZ assigns to you. ANZ may vary these duties and
responsibilities at any time.

Status of employment

You will initially be placed on a probationary period of six (6) months or one hundred eighty (180) calendar days, unless
sooner terminated for any of the causes provided by law or this agreement, during which your performance will be
evaluated based on the ANZ standards for regularization of employment, which are outlined in Schedule 4 of this
agreement. The particular performance expectations of this position and the ANZ Code of Conduct will be made available
to you on or shortly after the commencement of your employment with ANZ.

You agree that it is the prerogative of ANZ to evaluate your compliance with the standards for regularization, including
your performance, behavior and other relevant matters at any time during the probationary period, and decide whether or
not you are qualified to be a regular employee. This includes evaluation of the outcome of your checks and tests as
specified in the cover letter.

At the end of the probationary period and upon complying with the ANZ's standards for regularization of employment, you
may become a regular employee. Upon regularization, you agree to be governed by the same terms and conditions of
this agreement as well as all the rules and regulations of ANZ that may be in effect from time to time.

2. Pay and Rewards

Information about your pay and rewards are contained in Schedule 2.

3. Hours of Work

The number of hours that you agree to work and details of other work arrangements are set out in Schedule 1.

4. Policies, Procedures, Rules and Codes

Information about the way we work at ANZ is contained in our policies, procedures, rules and codes which you will have
access to on or shortly after the commencement of your employment with ANZ. You are then required to comply with
these policies, procedures, rules and codes and it is important that you continue to read, familiarise and update yourself
with them during the course of your employment. Our policies are available on our intranet (Max).

Your obligations under these policies, procedures, rules and codes form part of your employment agreement and may be
varied by ANZ from time to time at ANZ's discretion.

5. Code of Conduct and Ethics

ANZ has developed guiding principles and ethical standards which apply to you as an employee of ANZ. These are set
out in the Code of Conduct and Ethics and the supporting policy framework. You must act in accordance with these
principles and standards at all times.

6. Leave

Your leave entitlements, including annual leave, sick leave and parental leave, are contained in ANZ's policies which you
will have access to on or shortly after the commencement of your employment with ANZ. ANZ is committed to ensuring
that its leave policies comply with the minimum legal requirements as mandated by Philippines laws.

7. Ending Project Employment with ANZ

Schedule 3 sets out the different ways that your employment with ANZ may come to an end and the entitlements and
obligations that will apply.

8. Conflict of Interest

Some activities or interests may conflict with your obligations to ANZ. These activities and interests include:

(a) any outside business interest including non-ANZ work (paid or unpaid), business ventures, directorships,
partnerships or a direct or indirect financial interest which has the potential to be in conflict with your employment, the
interests of ANZ or ANZ's partners, customers or suppliers; or

(b) engaging in any activity that might compete directly or indirectly with ANZ Group or might pose a conflict of interest
with your employment; or

Act 2001 (Cth of Australia), any joint ventures or partnerships in which ANZ is a participant or any body corporate in which
ANZ or a related body corporate of ANZ is a strategic investor or has a strategic equity interest.

(c) having or gaining an interest including a direct or indirect financial interest (for example, ownership of shares or
ownership or investment in an outside business), which might pose a conflict of interest with your employment.

You must not do anything that may conflict with your obligations to ANZ, no matter how minor they may seem to be,
unless you have the prior written approval of ANZ.

You must also disclose any potential conflict of interest to ANZ before you start in your new role and as soon as possible,
at any time one arises, during your employment.

You also acknowledge and represent that you are not subject to any restrictions that would prevent you from working at
ANZ and performing your duties and responsibilities. Upon commencement of your employment, you shall terminate all
business relationships or concerns with which you may be personally involved with and which may conflict with your
obligations to ANZ.

9. Confidential Information

As a leading and trusted financial institution it is essential that ANZ guarantees the privacy, confidentiality and integrity of
its information.

Confidential information is any information about ANZ Group, its customers or its affairs which you obtain after signing
your contract of employment or is made available or accessible to during your employment, unless the information is
already available to the public other than as a result of a breach of this clause. Some specific examples of confidential
information include information about:

• Customers, including, their names, contact details, financial information and the dealings they have with ANZ
Group or the products and services we have supplied to them, and/or those individuals whose names and other
personal, sensitive personal or confidential information (e.g., birthdays, identification card numbers, etc.) have been
provided or made available/accessible to you/ANZ Group by the customers of the bank solely for purposes of
identifying them as customers’ beneficiaries in case of death or otherwise;
• ANZ's processes, procedures and systems;
• Working documents such as research, strategies, papers, proposals, presentations and financial information.

You must keep secure, and must not disclose, use, access, share, dispose of or retain confidential information, either
directly or indirectly, except where required as part of your role, or with the written consent of the customers/their
respective beneficiaries for personal/sensitive personal information, or your manager's written agreement for other
confidential information.

In the event that you are required by law, regulation or court order to disclose any confidential information, you shall
promptly notify ANZ in writing of such requirement and assist ANZ or the appropriate person to obtain a protective order or
other appropriate remedy from the proper authority. If ANZ or the appropriate person fails to obtain a protective order or
other appropriate remedy from the proper authority in a timely manner, you shall furnish only that portion of the
confidential information that is legally required to be disclosed and shall exercise all reasonable efforts to obtain reliable
assurances that confidential treatment will be accorded the information disclosed.
These obligations continue after your employment with ANZ ends.

Nothing in this clause prevents you from reporting possible violations of law to the relevant regulator or other body or from
making a disclosure protected under relevant whistleblower legislation. You do not need your line manager's agreement
to do this and you do not need to advise ANZ you have made such a report or disclosure.

Return and/or destruction, among others, of confidential or personal/sensitive personal information at the termination or in
the course of your employment will be as indicated in Schedule 3 on Return of Property.

10. Intellectual Property

In the course of your employment you may develop concepts or materials which give rise to intellectual property rights.

You agree:

• that ANZ will own all of these intellectual property rights;


• where applicable, to assign to ANZ any of these intellectual property rights (including any future rights); and
• to execute any further documents that are required by ANZ to give effect to these obligations.

You consent to any act or omission by ANZ that may infringe any moral rights you hold in any materials you create during
your employment.

If you have any right to intellectual property rights created in the course of your employment by operation of law, you
agree to assign the same to ANZ if these are related to or useful in the actual or anticipated business of ANZ, or result
from use of premises or equipment owned, leased, or contracted for by ANZ, or incorporate or use Confidential
Information of ANZ.

11. Monitoring of ANZ Systems

As a leading global financial institution ANZ has obligations to monitor and report fraud and other irregular activities to
regulatory authorities in accordance with the Anti-Money Laundering Act and applicable regulations. ANZ monitors the
use of our systems and equipment to ensure the security of our employees, buildings and information. By accepting this
employment offer, you consent to this monitoring occurring while you are an employee of ANZ. They types of monitoring
that take place at ANZ include:

• email and internet use monitoring: this is necessary to maintain secure systems, protect confidential information
and ensure email content and internet content are not menacing, harassing or offensive.
• access control and camera surveillance: for the protection of our employees and customers, information assets,
customers and some locations at ANZ are under security review and/or camera surveillance. Appropriate signage
is installed at all sites where camera surveillance is carried out.
• bank account monitoring: ANZ monitors ANZ bank accounts of employees for fraud patterns.

12. Privacy and Personal Information

By accepting this offer of employment, you consent to any ANZ Group entity collecting, processing, using, storing,
retaining or disclosing your personal and/or sensitive personal information, as defined in the Data Privacy Act of 2012,
including the personal/sensitive personal information of your identified beneficiaries or emergency contact person, for any
purpose directly or indirectly connected with or relevant to your employment. This may include the transfer/sharing of your
and your beneficiaries’/emergency contact person’s personal/sensitive personal information to another state, territory,
country, or third party.

Some examples of the purposes for which the personal/sensitive personal information may be collected, used or disclosed
include, but are not limited to:

• administering your employment relationship, including processing your pay, conducting background checks and
generally discharging all human resources management activities;
• contacting you in order to promote employee benefit schemes which are considered to be of potential interest to
you;
• identifying your named beneficiaries and/or contact person in case of death or emergencies;
• transferring your/your beneficiaries’ or emergency contact person’s personal/sensitive information to another ANZ
Group entity, which may or may not be in the same jurisdiction, for administrative purposes;
• disclosing the information to/sharing it with third party professional advisers, such as lawyers or accountants, and
government or regulatory bodies, such as tax authorities, when necessary in relation to your employment;
• disclosing or permitting incidental access to your and your beneficiaries’/emergency contact person’s
personal/sensitive personal information by third party service providers, including human resources or IT service
providers, who are providing services connected to administering your employment (such as payroll services) or
data processing, maintenance or like services, or otherwise facilitating ANZ’s obligations to you as your employer.
This may include service providers located overseas, and disclosing the said information incidentally but only up to
the extent necessary to a prospective purchaser of an ANZ business or ANZ Group entity (whether for due
diligence or other purposes) with which you have some direct or indirect connection.

You will have access to ANZ’s privacy principles and statements on or shortly after the commencement of your
employment.

Return and/or destruction, among others, of confidential or personal/sensitive personal information at the termination or in
the course of your employment will be as indicated in Schedule 3 on Return of Property.

To know more about how ANZ handles your personal information, please refer to the Privacy Notice attached to the
employment contract.

13. Repayment of Monies

You acknowledge that, both during your employment and after your employment ends, you have an obligation to repay
all amounts you owe to ANZ.

You agree that for all amounts:

• upon demand, you will repay any monies mistakenly paid to you by ANZ;
• upon demand, you will repay all amounts you owe to ANZ (for example, personal expenses incurred on an ANZ
provided credit card or mobile telephone, or amounts owing for ANZ funded study assistance); and
• subject to applicable law, ANZ is aurthorised to (i) withhold unpaid amounts from monies otherwise owed to you
upon termination of employment and apply the same to any or all of your outstanding monetary obligations to ANZ
or, in the course of your employment, or (ii) deduct from your succeeding available compensation, including
allowances and bonuses, without need of further consent, any of your outstanding and due and demandable
monetary obligations to ANZ.

This is without prejudice to the other rights of ANZ to effect settlement or payment of your obligations through other legal
means regardless of the amount monies otherwise owed to you.
14. Pre-Employment Screening and Ongoing Screening

In accordance with ANZ’s legal and regulatory obligations, and ANZ policy, you may be required and you consent to
undergo a police record check prior to commencing work with ANZ, or at other times during your employment. You will be
required to undergo and complete these checks and test within the required timeframe.

You may also be required and you consent to undergo other checks (e.g. medical check, drug test, sanctions screening,
reference checks, background investigation, etc.) prior to commencing work with ANZ, or at other times during your
employment. ANZ may engage the services of an external provider to conduct these checks, and may share your
personal/sensitive personal information with it up to the extent necessary to do so. Any other personal/sensitive personal
information you may share with the external provider as required by the latter in the performance of the tests will be
subject to your consent which the external provider must obtain and subject to its own privacy and data protection
statement.

Your initial and ongoing employment is conditional on ANZ being satisfied that the results of:

• a police record check is compatible with the inherent requirements of your position; and
• any other required background or other checks are to the satisfaction of ANZ (keeping in mind your position and
ANZ's role as a financial institution).

You consent to allow ANZ to use any information you provide to conduct reference checks and any other background
checks.

This offer and your employment are also conditional upon you holding all necessary visas and work permit and meeting all
immigration requirements necessary for you to work in the Philippines in your role with ANZ. If you require a work visa
and/or permit, your employment may not commence until such work visa and/or permit are/is obtained.

This employment offer, even once accepted by you, remains conditional on satisfactory completion of any pre-
employment checks ANZ may require you to undergo and is of no force or effect unless and until ANZ receives evidence
of your satisfactory completion.

If, in the opinion of ANZ, the results of any checks are not satisfactory, or you fail to undergo and complete any checks
and tests within the required timeframe, or you do not meet immigration requirements, this letter shall be of no force or
effect and your employment will not become effective, or where you have already started, may end your employment
immediately, with no liability to pay compensation to you, except that which is equivalent to whatever you have worked for
or have accrued in your favor in the interim.

If ANZ learns of an unsatisfactory result during the probationary period, ANZ will not regularize you and will terminate your
employment for failure to satisfy the standards for regularization referred to in Schedule 4. If ANZ learns of an
unsatisfactory result after your probationary period, the same may constitute a just cause for termination of your
employment pursuant to Schedule 3 (Details on Termination of Employment).

If ANZ learns of an unsatisfactory result during the probationary period, ANZ will not regularize you and will terminate your
employment for failure to satisfy the standards for regularization set forth in Schedule 4. If ANZ learns of an unsatisfactory
result after your probationary period, the same will constitute a just cause for termination of your employment pursuant to
Schedule 3 (Details on Termination of Employment).
15. Governing law and jurisdiction

This employment agreement will be governed by, and construed in accordance with, the laws of the Philippines. You and
ANZ agree to submit to the exclusive jurisdiction of the Philippines courts in respect of any dispute arising in relation to
your employment with ANZ.

16. Agreement Severability

If any part of this employment agreement is found to be illegal or unenforceable by any court of law or any competent
governmental or other authority, the remaining parts of the employment agreement will be severable and enforceable in
accordance with their terms, so long as they do not fail their essential purpose. You and ANZ agree to negotiate in good
faith to replace any such illegal or unenforceable part with suitable substitute provisions which will maintain as far as
possible the purposes and the effect of this offer.

17. Training and Qualifications

ANZ is committed to ensuring all employees complete and maintain the required training to meet ANZ's customer-focused
outcomes.

ANZ will review your current training and qualifications on commencement from time to time during your employment. You
may be required to undertake further training.

18. Variations to this Employment Agreement

You and ANZ may agree to vary this employment agreement in writing.

In addition, and to meet business needs, ANZ may change your position, position title, reporting arrangements, duties and
location upon giving you reasonable notice. In addition, ANZ reserves the right to assign you to related companies.

Changes to the terms and conditions of your employment will not constitute a termination of your employment, and will not
entitle you to any benefits under the ending employment provisions of this employment agreement.

If any changes are made to the terms of your employment, all other terms of this employment agreement will continue to
apply to your employment.

19. Consent to Electronic Transmission of Information

You agree to receive, for your consideration, this employment agreement electronically by accessing the ANZ Careers
Portal using your unique user name and password (using single sign on to access SuccessFactors Careers Portal via
PeopleHub if you are an existing ANZ employee).

Should you agree to accept the terms and conditions set out in this employment agreement, you consent to do so by way
of e-Execution. This will require you to:

• log into your candidate profile and select your application for the role;
• review the identified letter of offer;
• select the accept option on your online application to confirm that you have read, you have understood and you
agree to the terms and conditions in this employment agreement;
• type your first name and surname in the space provided to confirm your identity;
• type date of acceptance; and
• then click on “Submit”.

When you meet your Onboarding Specialist, you will also need to sign this employment agreement by way of your
handwritten signature.

Schedule 1 - Details of Position and working arrangements
This schedule forms part of your employment agreement with ANZ.

Position Title

You will be employed in the position of Recoveries Officer.

Classification

Your position is classified as Group Senior Officer Group 5.3

Reporting Arrangements

You will report to your line manager, Team Leader and to your matrix line manager, Operations Manager.

Work Location

30F MDC 100 Bldg. E. Rodriguez Jr. Ave., Corner Eastwood Ave., Libis, Quezon City

Commencement Date

Your appointment, will take effect from the date you report for work, which will be no later than 19 December, 2022.

If you fail to commence work on 19 December, 2022, this offer shall be of no force and effect and your employment will
not take effect, without any further notice to you or obligations on ANZ.

Agreed hours of work

You agree to work for forty (40) hours per week and any reasonable additional hours you may need to work to effectively
perform your role.

Additional compensation, if required by law and in accordance with ANZ policy, will be provided for hours worked in
excess of eight (8) hours per day and / or during night shift.

The schedule of your rest day/s will be determined by ANZ. While there may be a day or days in a week (other than your
scheduled weekly rest day) when you will not be required to report for work, such day or days will not be considered
additional rest day or rest days, but will be considered normal work day or work days without work.

The days and times you will be required to work these hours, and any changes, will be advised to you by ANZ.

Public Holidays

You may be required to work on Philippines' public holidays from time to time in accordance with business needs. You
will be provided with advance notice prior to each requirement to work on the public holiday, except in managing
unplanned absences. In the event that you are directed to work on public holidays, ANZ will pay you in accordance with
Philippine Labor Code.
However, if you will hold a position where you will be required to align with the public holidays of the country which you will
be assigned to support, you agree to comply with the applicable ANZ policy. In such a case, you may be required
to observe the public holidays of such country, in which case the corresponding dates which are designated as Philippine
public holidays will be considered your regular work day.
Schedule 2 - Pay and Rewards
This schedule forms part of your employment agreement with ANZ.

Remuneration

Your commencing annual Basic Salary (gross) will be PHP 438,600.00. It will be paid in equal monthly instalment in
arrears on the 15th and 30th of the month net of applicable taxes and mandatory deductions.

Your Basic Salary is based on full-time hours. If you are employed part-time, your Basic Salary and any
relevant components will be pro-rated based on your part-time hours of work.

In addition to your Monthly Basic Salary, you will be eligible to receive the legally mandated 13th Month Pay after
completion of at least one month of service with ANZ in a calendar year, provided you are entitled to the said benefit
based on applicable Philippine laws and regulation. The 13th Month Pay is calculated on one twelfth of your annual Basic
Salary, less any applicable taxes and mandatory deductions. The 13th Month Pay is pro rated for the first year of
employment.

Notwithstanding any provision to the contrary, it is expressly agreed that any bonus, benefit or other payment given by
ANZ to you in excess of your Basic Salary as stated in this clause 1 of Schedule 2 shall not be considered salary that you
are contractually entitled to, but as a gratuity that ANZ reserves the right to discontinue or revise at any time, at its sole
discretion. Furthermore, incidents when ANZ gives any bonus, benefit or other payment in excess of the Basic Salary
stated in this clause 1 of Schedule 2 shall not be considered as an established practice or precedent and shall not form
part of those due and demandable under this agreement.

Summary of Allowances

In addition to your Remuneration (as outlined above), you are eligible for the allowances set out in this clause. These
allowances are based on full-time hours. If you are employed part-time, your allowances will be pro-rated based on your
part-time hours of work. These allowances are reviewed regularly based on the local market and the business
requirements. These are subject to change at ANZ's discretion.

Annual (PHP)

Rice Allowance 24,000.00


Transportation Allowance 27,300.00

Payment of Salary to ANZ Account

All ANZ employees are required to have their salary credited to an ANZ bank account, where such a facility is available. If
your location does not currently have such a facility, your salary will be paid to your nominated bank account or a
preferred bank as determined by ANZ at the relevant time until such time as an ANZ bank facility becomes available in
your location.

You will need to meet the relevant account terms and conditions and present the necessary identification documentation
as required by law.
Retirement Benefit

You will be eligible to participate in ANZ’s employee retirement plan upon confirmation of permanent employment and in
accordance with ANZ policy.

For further information about the plan, please refer to the relevant policy on ANZ’s intranet on your first day of work and/or
in the course of your employment with ANZ.

ANZ Incentive Plan Participation

You may be eligible to participate in an applicable ANZ incentive plan.

Incentives and other rewards are not guaranteed, they do not form part of your terms and conditions of employment and
they are granted at ANZ's discretion and in accordance with all applicable ANZ policies (as varied from time to time) and
incentive plan terms (as varied from time to time). ANZ may take into account any matters it considers relevant in
determining whether and to what extent any incentives or other rewards are granted, including but not limited to the
performance of ANZ, the relevant business, and your individual performance (relative to your peers) and behaviours.

Incentives may be paid in cash, deferred equity, deferred cash, or a combination at ANZ's discretion.

ANZ may change the way in which incentives or rewards are given under the applicable incentive plan at any time,
including by changing the ratio of cash to equity, the threshold for cash payments, any applicable performance conditions
and the deferral periods.

If you are granted deferred equity or cash as part of your variable reward, any applicable conditions of grant will be
provided to you at that time.

ANZ may withhold tax and contributions as required by law (for example, superannuation/pension) from any incentive that
is paid to you.

Downward Adjustment

Any deferred remuneration (such as deferred equity and deferred cash) granted to you at any time will be subject to the
conditions on which it is granted, including ANZ’s discretion to downward adjust or further defer the relevant deferred
remuneration. The conditions of grant applicable to each award will be made available to you at or about the time the
grant is made.

Where there is a downward adjustment, the relevant deferred remuneration will be immediately and automatically forfeited
or will immediately and automatically lapse (as appropriate) and will not thereafter vest or be released, provided or paid.

Taxation and Government Contributions

Except for the taxes and contributions mandated by law to be withheld by ANZ or for the government filings required by
law to be made by ANZ in connection with the salary and other compensation and benefits arising from your employment,
you will be solely responsible for any taxation liability, social security contributions and government filings in respect of any
payment paid by ANZ to you both in Philippines and overseas.
ANZ will withhold or deduct tax and applicable, Social Security System, Philippine Health Insurance Corporation and
Home Development Mutual Fund (Pag-IBIG Fund) contributions from remuneration and other payments (including from
monies otherwise owed to you upon termination of employment) as required or permitted by law.

Medical benefit

You are eligible for coverage by ANZ's medical and life insurance plan, subject to any conditions specified by the
insurance provider for participation.

You will be provided with information about the scope of the cover and panel doctors. The healthcare provider and the
type and scope of coverage may be varied by ANZ from time to time.

You may not be covered by the plan during periods of extended unpaid leave.

Health Maintenance Organisation (HMO) Plan

You will be covered by Health Maintenance Organisation Plan in accordance with the applicable policy as varied from time
to time.
Schedule 3 - Details on Termination of employment
This schedule forms part of your employment agreement with ANZ.

Termination during probationary period

If you fail to meet the standards for regularization of employment, which include your satisfactory completion and outcome
of your checks and tests, ANZ may terminate your employment at anytime during the probationary period by giving you
notice before the effective date of termination.

Resignation

You may resign from ANZ by giving at least 30 days advanced written notice of your intention to resign without assigning
any reasons. ANZ in its sole discretion, may waive in writing the aforementioned 30-day notice requirement.

Termination

ANZ may end your employment, for any of the authorised causes permitted by the Labor Code of the Philippines ("Labor
Code"), by giving you 30 days prior written notice.

ANZ may end your employment, for any of the just causes permitted by the Labor Code by complying with the procedure
required under said law.

ANZ may terminate your employment for any the following grounds in so far as they are analogous to the just causes
permitted and in the manner required by the Labour Code:

(a) you are guilty of fraud, theft or dishonesty which results in loss of confidence of the bank in your ability
to faithfully perform your duties and responsibilities;
(b) you are habitually neglectful of your duties, or grossly inefficient in the performance of your duties;
(c) you engage in misconduct with such conduct being inconsistent with the due and faithful discharge of your
duties;
(d) you are guilty of the breach of any terms of employment as laid down in this contract;
(e) you become convicted of any criminal offence which results in loss of confidence of the bank in your ability
to faithfully perform your duties and responsibilities;
(f) you are guilty of insobriety or conduct tending to bring yourself, ANZ and/or any of ANZ's related corporations
into disrepute;
(g) you have committed an act of bankruptcy or compounded with or entered into any deed or arrangement with
his/her creditors generally, which results in loss of confidence of the bank in your ability to faithfully perform your
duties and responsibilities;
(h) you violate the terms of this agreement; or
(i) you fail complete and satisfactorily pass all background checks and test that ANZ will conduct within the
required timeframe.

The above grounds/causes are not exhaustive, and will yield too labor laws.

No other entitlements, benefits or any other form of compensation will be payable to you upon the termination of your
employment with ANZ if the termination of your employment is based on the just causes.
Duties during notice period

During a notice period, ANZ may require that you not perform your duties or attend at the workplace or that you perform
different duties. You agree to stop communicating with any ANZ Group customers, suppliers, employees and contractors
if asked to do so by ANZ. However, you remain an employee of ANZ and bound by the terms of this employment
agreement until the end of the notice period.

Non-Solicitation

During your employment with ANZ and for six (6) months after your employment with ANZ ends you must not (either
alone, with or through others) solicit, interfere with or attempt to entice away from ANZ Group:

• any employee of ANZ Group; or


• any customer or client of ANZ Group or any person who was in the habit of dealing with ANZ,

with whom you have had direct or indirect contact or dealings, or knowledge of, during the twelve (12) months before your
employment with ANZ ended.

You agree that the restriction is both reasonable and necessary in order to protect the legitimate business interests of
ANZ.

Your obligations relating to confidential information continue to operate following the end of this non solicitation period.

Return of Property

At any time if requested by ANZ, or when your employment ends, you must return all ANZ Group property to ANZ. You
must also return any notes or records (electronic, hard copy or otherwise) made or which might have come to your
possession or come under your control or made accessible or available to you during the course of your employment
which contain any information that is confidential to ANZ Group or its customers, or classified as personal/sensitive
personal information by law or ANZ policy.

Further, whether during the term of this employment contract or after its termination, you must:

(a) irretrievably delete, erase, de-identify, anonymize or otherwise destroy all confidential, personal or sensitive personal
information in your possession or control that is not capable of physical delivery to ANZ, including that contained in
computer memory, magnetic, optical, laser, electronic or other media, and, when so requested by ANZ, confirm in writing
that you have done so including the method, time and place of destruction; and

(b) give a full written account to ANZ concerning confidential, personal or sensitive personal information that was at
some time in your possession or control and was not returned to ANZ personally or confirmed in writing to ANZ as having
been irretrievably deleted, erased, de-identified, anonymized or otherwise destroyed in accordance with paragraph (a)
above, and, at the same time, as applicable, perform tasks specified in the section.
Schedule 4 - Standards for Regularisation of Employment
This schedule forms part of your employment agreement with ANZ.

External Appearance

• You must keep yourself neat, presentable and well groomed at all times. You must carry yourself in a dignified and
respectful manner.

Attendance & Punctuality

• You must be able to strictly observe scheduled workdays, work hours and break periods. You must be able to
report to work regularly and on time. Frequent absences, tardiness or "undertime" is strictly forbidden.

Job Competence

• You must prove your knowledge and understanding of the nature, details and demands of your job. You must be
able to demonstrate ease in learning the rudiments of your job and in understanding instructions.

Attitude

• You must demonstrate a sincere interest and enthusiasm in your job. You must show a positive outlook towards
ANZ, its business, operations, beliefs and concerns. You must show willingness to learn and to overcome job
difficulties. You must be able to perform your job with a positive attitude even while working under stress. This
includes having the quality of initiative, responsibility and foresight.

Discipline

• You must be able to comply with ANZ's rules and regulations. You must be able to show maturity in accepting
criticisms and remarks regarding your work and attitude.

Attitude towards co-employees and superiors

• You must be able to show respect to your superiors, co-employees and others in general. You must be able to
work well with others. This includes the ability to cooperate and to work as part of a team.

Work Quality As Recoveries Officer

• You must be able to prove to the satisfaction of ANZ advanced skills, initiative and competence in your duties and
responsibilities.

Background Checks

• You must be able to complete and satisfactorily pass all background checks and tests that ANZ will conduct within
the required timeframe.

ANZ Policies

• You must familiarise yourself and comply with ANZ Values, Code of Conduct and Ethics Framework, ANZ Global
Performance Improvement & Unacceptable Behaviour Policy, ANZ Expectation Document, and all other applicable
ANZ policies.
The above list of regularisation requirements is not an exhaustive list. You are required to perform your duties according
to the terms and conditions set out in your employment agreement.
