Dear Norma,

It is with great pleasure that Crossover Health Management Services, Inc. (“Company”) extends you an
offer of employment as a Client Success Manager on the Account Management Department Team
remotely in California. This position will play a key role in delivering a truly integrated system of care. We
have confidence you will positively influence our success and are thrilled to have you join our team.

SUMMARY OF OFFER:
POSITION: Client Success Manager
LOCATION: San Francisco, CA
REPORTING TO: Anna Nachamie, Associate Account Principal
START DATE: July 12, 2021
COMPENSATION : $67,000.00 per year (less withholdings)
EXEMPTION STATUS: Exempt
HOURS PER WEEK: 40
BENEFIT ELIGIBILITY: You’ll be eligible for benefits on the 1st of the month following your start date Details are
included in the attached Summary of Benefits.

You will be eligible to participate in Crossover's annual incentive program. This position has a target
bonus of 5% with payout based on individual and company performance. The program is evaluated on an
annual basis and funding is based on the company reaching its financial targets.

EMPLOYMENT CONDITIONS

This employment offer is contingent upon a satisfactory reference and background check, which will need
to be completed in a timely manner so as to not delay your proposed start date above. We will also need
to collect standard new hire employment documents, including required employment forms, work
authorizations and proof of identity on or before July 5, 2021.

Employers are required to verify the identity and employment eligibility of all new hires within three (3)
business days of their start date. To assist us in complying with this requirement, please bring appropriate
documents with you on your first day (e.g. U.S. Passport or Social Security Card).

Because the Company’s proprietary information is extremely important, this offer of employment is
expressly subject to your executing our Confidential Information and Invention Assignment Agreement, as
well as your agreement to follow all other rules and policies that the Company may announce from time to
time. This offer is also conditioned upon your signing and returning the Arbitration Agreement enclosed in
your pre-hire documents.

While your employment shall begin as described above, it shall at all times be considered “at-will.” Both
you and the Company reserve the right to terminate with or without cause or prior notice. Your at-will
employment status cannot be modified, unless it is written and signed by both you and the Chief Executive
Officer of the Company.

The above terms are a general outline of the employment terms being offered to you. In the event of any
inconsistency between this offer letter and Crossover’s policies or plan documents (as amended from time
to time), the terms of Crossover’s policies and plan documents will prevail. This offer letter constitutes the
final and complete agreement between us, and by your signature below, you agree that you are not relying
upon any information from any other source, or any previous communications as a condition of your
employment. If any term herein is unenforceable in whole or in part, the remainder shall remain enforceable
to the extent permitted by law.

Norma, we are thrilled to have you join our efforts to transform primary care. Please accept this offer by
signing and dating below. This offer will remain open for three (3) business days following receipt of this
letter and is contingent upon your start date within the month of July 2021.
