BROKERAGE FEE SHARING AGREEMENTS

1. PARTIES

This Commission Sharing Agreement ("Agreement"), created on January 21, 2023, is


executed between GreekSummer OE, Kritovoulidou 13, Chania, 73100, Greece, VAT
number 801647970, legally represented by Dimitris Bouzounierakis DOB 20/1/1977
("Selling Broker"), and Salame Miled, DOB 1/1/1987, and ID 592-2275583-44 ("Listing
Broker").
The Selling Broker and the Listing Broker, each referred to as a "Party" and, collectively,
as the "Parties", agree to the following:

2. NATURE OF AGREEMENTS

2.1. The Selling Broker shall sell to the Client the different real estate properties
located in Greece ("Real Estate").
2.2. The Listing Broker shall provide information on potential buyers of the Real
Estate that the Selling Broker is selling.
2.3. This Agreement shall commence on the 21th day of January 2023 and shall
continue unless terminated by either Party through a written notice given
fourteen (14) days prior to the termination date specified in the notice.

3. CONSIDERATION & PAYMENTS

3.1. In consideration of the nature of this agreement, every sold house by the Selling
Broker to the clients provided by the Listing Broker shall warrant the Listing
Broker:
 For Villa Vignola, located in Chania, 3.500.000 euros half of the
commission of the profit made by the Selling Broker from the buyer. If
Listing Broker acts as an individual, not as a business entity, the corporate
tax incurred from Listing Broker’s commission will be deducted from the final
payment. EXAMPLE: if Property is sold for 1.000.000 euros, with the 2%
buyer’s commission, the total buyer’s commission shall be 20.000 euros, with
24% VAT 24% totals 24.800 euros. If the Listing Broker is not a corporate
entity the commission i.e. 20.000 euros, shall be split equally, minus the
corporate taxes incurred by the taxable amount, 22% typically; i.e. the final
payment of Listing Broker’s commission will be his share minus the corporate
tax 10.000-2200 or 7800 euros. If Listing Broker is a corporate entity, then
half of the commission will be given i.e. 10.000 euros.
The aforementioned fee binds the Selling Broker and Listing Broker for the
following properties:
Vignola Villa, located in Chania. Sale price 3.500.000 euros. Commission
1% out of 2% from the buyer.

 For Villa Paradiso, located in Kalyves, 1.250.000 euros , complete buyer’s


commission will be given to the Listing Broker.
If Listing Broker acts as an individual, not as a business entity, the corporate
tax incurred from Listing Broker’s commission will be deducted from the final
payment. EXAMPLE: if Property is sold for 1.000.000 euros, with the 2%
buyer’s commission, the total buyer’s commission shall be 20.000 euros, with
24% VAT 24% totals 24800 euros. If the Listing Broker is not a corporate
entity the commission i.e. 20.000 euros, will be paid minus the corporate
taxes incurred by the taxable amount, 22% typically; i.e. the final payment of
Listing Broker’s commission will be his share minus the corporate tax
20.000-4400 or 15.600 euros. If Listing Broker is a corporate entity, then full
of the buyer commission will be given.
The aforementioned fee binds the Selling Broker and Listing Broker for the
following properties:
Villa Paradiso, located in Chania. Sale price 1.250.000 euros.

 For Villa Glass/Mirror, located in Agioi Apostoloi, 1.900.000 euros , complete


buyer’s commission will be given to the Listing Broker.
If Listing Broker acts as an individual, not as a business entity, the corporate
tax incurred from Listing Broker’s commission will be deducted from the final
payment. EXAMPLE: if Property is sold for 1.000.000 euros, with the 2%
buyer’s commission, the total buyer’s commission shall be 20.000 euros, with
24% VAT 24% totals 24800 euros. If the Listing Broker is not a corporate
entity the commission i.e. 20.000 euros, will be paid minus the corporate
taxes incurred by the taxable amount, 22% typically; i.e. the final payment of
Listing Broker’s commission will be his share minus the corporate tax
20.000-4400 or 15.600 euros. If Listing Broker is a corporate entity, then full
of the buyer commission will be given.

Villa Glass/Mirror, located in Chania. Sale price 1.900.000 euros.

3.2. Listing Broker is not entitled to any commission, from the Real Estate’s seller.

 For reservations to villas in Mykonos, 40% of the agent’s net commission


will be given to the Listing Broker.
If Listing Broker acts as an individual, not as a business entity, the corporate
tax and VAT incurred from Listing Broker’s commission will be deducted from
the final payment. EXAMPLE: if reservation amounts to 10.000 euros, with
the 15% commission, the total agency’s commission shall be 1500 euros,
with 24% VAT 24% totals 1860, ie VAT is 360. If the Listing Broker is not a
corporate entity the commission i.e. 800 euros, will be paid deducted by the
corporate taxes incurred by the taxable amount, 22% typically, and
subsequently the VAT generated, ; i.e. the final payment of Listing Broker’s
commission will be 800 deducted by 132 euros, the 22% the corporate tax
from the 1500 euros of Listing Broker’s fee, and the subsequent VAT, 144
euros, total 800-132-144 = 524 euros.
If Listing Broker is a corporate entity, 800 euros will be paid.

3.3. All transactions shall be paid via bank transfer or checks, or it could be cash
upon agreement.

4. COVENANTS, REPRESENTATIONS, & WARRANTIES

4.1. The Selling Broker warrants that (1) all the properties being sold have been
physically inspected. (2) the legitimacy of the ownership. The Selling Broker
shall provides to the Listing Broker the necessary information to advertise the
property.
4.2. The Listing Broker warrants that (1) they shall solely provide the Selling Broker
the basic information of the of clients with their consent. (2) All of the basic
information about the clients shall be deemed true and accurate.

5. GENERAL PROVISIONS

5.1. All of the information provided shall be kept highly confidential by the Parties
involved in the Agreement. The information shall only be disclosed if required by
law.
5.2. Any form of communication in relation n to this Agreement (i.e amendments,
notice, termination) shall be made through writing, and shall hold legal effect
once both Parties have affixed their signatures on the document.

6. APPLICABLE LAW
This Agreement and the interpretation of its terms will be under the laws of and subject to
the exclusive jurisdiction of the Greek law and state courts in Chania, Crete, Greece.

7. SIGNATURE
IN WITNESS WHEREOF, each of the Parties has executed this Commission Sharing
Agreement as of the day and year set forth above.
