Property Management Agency Agreement

Marbella: XXX

This Property Management Agreement (the “Agreement”) is entered into by and


between a real estate agency SEAVIEW HOME S.L., CIF: B-93071348, address:
Avda. Ricardo Soriano 35-17, Marbella, 29602, Spain, represented by YULIA
YUSHINA, DNI: X 5507172-Y, (hereinafter referred as the “Agent”),

and, as the party of the second part, XXX, with passport No: XXX, with permanent
residential address in XXX (hereinafter referred as the “Owner”).
The parties agree as follows:

1. Subject of the Agreement

According to the present Agreement, Agent assumes an obligation by order of the


Owner to perform the actions as detailed in the section 3.1 hereof, and Owner is
obliged to pay the services, in accordance with the section 4 hereof.

2. Object of the Agreement

The subject of the present Agreement is an apartment with an address at:

XXX

(hereinafter referred as the “Apartment”). Apartment is owned by Owner, as


confirmed by the abstract from the Property Registry with a record number
№_______ (Numero de finca).
The Apartment is transferred by the Owner to the Agent under the Acceptance-
Transfer Act with an inventory (in the form of the photos made by the Agent) and
the Agent is accepted under this Act.

3. Rights and Obligations of the Parties

3.1. Agent is obliged to:


3.1.1. Keep the key of the apartment. Sharing the key with a third party is only
possible in agreeing with Owner.
3.1.2. Execute the short lease of Apartment to prospective customers at the price
and under the terms pre-agreed and confirmed by Owner.
3.1.3. Accept payments from the tenants and deposit the money into the bank
account of Owner excluding Agent’s rental fee stated in the section 4:
- within 3 working days since the guest check-in for the bookings received via
SEAVIEW HOME (direct bookings) and platform AIRBNB.
- within 12 working days after guest check-out for the bookings received via
platform BOOKING.COM.
3.1.4. Arrange arrivals and departures of tenants:
a) Welcome the client in the apartment on check-in date and key handover;
b) Provide tenants with an emergency phone number (24 hours) that is reachable
during tenant’s staying at the apartment;
c) Security deposit acceptance from tenants (credit card guarantee deposit);
d) Arrange tenant’s departure and key handover on the check-out date;
e) Check Apartment for damages and security deposit refund (in 2 days after
check-out after full inspection of the property);
f) Arrange cleaning and laundering after tenant’s departure;
g) Prepare Apartment for the next check-in.
3.1.5. Inform Owner about Apartment condition after the departure of tenants;
3.1.6. Send to Owner updated booking report informing about future confirmed
bookings for the Apartment;
3.1.7. When necessary and only by pre-approval of Owner, Agent shall provide the
Apartment maintenance during the term hereof at additional fee (arrangement of
replacing or repairing plumbing or electrical equipment, additional buying or
replacing interior objects if needed). Agent shall provide the invoice on the incurred
expenses to Owner upon request.
3.1.8. Agent shall timely inform and consult Owner on all the issues and cases
concerning the execution and compliance hereof.
3.1.9. The Owner's personal visits are unlimited. Desired dates will be blocked upon
written request, as long as these dates are still available.

3.2. Owner is obliged to:


3.2.1. Give Agent 3 key sets from Apartment specified in the section 2 hereof.
3.2.2. Pay the services of Agent in accordance with the terms specified in the section
4 hereof.

3.3. Owner guarantees:


3.3.1. Owner guarantees that he/she, joint owners and all parties concerned in
Apartment take no exceptions against signing of the present Agreement.

4. Terms of Payment

4.1. The Agent's commission is 20% (VAT included) of the gross rental price of
every executed reservation. The gross price does not include portal commissions.

Agent charges guests for final cleaning and laundry. The Owner pays this fee only
after his personal visits.

4.2. Emergency visits to Apartment on condition of the prior consent of


Owner is €30 (plus 21% VAT). The cases of emergency: electricity and plumbing
issues, repair works, delivery etc.

4.3. Payment of the rental commission stated in clause 4.1. is made by mutual
settlement with the Owner at the time of receipt of funds from the guest.

5. Obligations of the Parties

5.1. In case of a failure to pay on time in accordance to the sections 3.1.3, Agent
shall pay Owner a fine to the amount of 0,1% of the payable sum per day of the
delay.
5.2. On default or defective performance of the obligations, the Parties are liable
under the legislation of Spain.

6. Termination of the Agreement

6.1. Owner has the right to dissolve the present Agreement unilaterally providing
no future bookings are confirmed in accordance with latest booking report provided
by Agent.

6.2. If the Owner cancels confirmed booking he shall pay to a Tenant a penalty of
50% from the rental amount due.
6.3. In case of termination of the Agreement the Parties shall pay all amounts due to
the expected date of the termination hereof.

7. Final Provisions

7.1. The Parties exercise their rights and obligations in accordance with the present
Agreement and the legislation of Spain.
7.2. In case of disagreements between Agent and Owner on the subject hereof, the
Parties shall undertake all efforts to settle these issues by negotiations.
7.3 If it is found impossible to settle the problems by negotiations, the issues will be
reviewed in accordance with the legislation of Spain.

8. Other Terms and Conditions

8.1. The present Agreement, its content and all the amendments are confidential
documents that shall not be disclosed.
8.2. The present Agreement includes 4 pages, consists of two copies of equal legal
force, one copy for each Party.
8.3. All changes and amendments to the present Agreement shall be made in
writing, in duplicate, one copy for each Party, being an integral part hereof.
8.4. The present Agreement shall come in force upon its signing and it should be
valid within ONE year. Upon the expiration of the term hereof, this Agreement may
be extended by mutual consent of the parties.
