Non-Compete and Non Disclosure
The Employer and the Employee are referred to individually as “Party” and collectively as the
“Parties”.
In consideration of the mutual promises and covenants in this Agreement, which receipts, and
sufficiency hereby are acknowledged, the Parties further agree to the terms as follows:
NON-COMPETE COVENANTS
The Employee, who is employed under Vergara Miller Law Firm (“Company”) agrees that he
shall not provide similar products, services, or engage in the representation of any other
business of similar nature to the Employer’s business without written consent during the
employees’ time of working for the Employer and 2 years after the end of the employees
work with the Employer.
The Employee will exclusively represent the Company and be restricted to accept any
employment or engage in any business activities with competitors according to the provisions
provided in this Agreement.
● OWNERSHIP
All materials and resources, which include but are not limited to articles, files, data,
documents, presentations, and reports produced, accessed, and submitted by the
Parties during the entire term of the Employee’s employment to the Company, shall
remain under the Employer’s sole property. The Employee is restricted from using the
Employer’s property for personal gain or any purpose that may damage the business.
● CONFIDENTIAL INFORMATION
The confidential information in this Agreement shall include but is not limited to,
documents, data, designs, plans, methodologies, products, and other business
information relating to the business’s assets, operations, or contract, furnished to the
Employee while delivering his obligations (Confidential Information”).
