Introduction

Ex 1:

Kohinoor Energy Limited, was incorporated on 26th April 1994 as a public limited company under the
Companies Act, 2017. The Company is listed on the Pakistan Stock Exchange. The principal activities
of the Company are to own, operate and maintain a power plant of 124 MW capacity in Lahore and
to sell the electricity produced therefrom to a sole customer, the Pakistan Water and Power
Development Authority (WAPDA) under a Power Purchase Agreement (PPA), for a term of 30 years
which commenced from June 19, 1997. The registered office of the Company is located in Islamabad.

Ex 3:

Kohinoor Energy Limited (KEL), was jointly established by by Saigols Group of Companies and Toyota
Tsusho Corporation on 26th April 1994 as a public limited company. Kohinoor Energy Limited is part of
Pakistan’s power generation and distribution sector.

Pakistan’s power generation and distribution sector is extremely competitive. Kohinoor Energy
Limited faces immense competition from companies like Nishat Power Limited, …. and Engro
Powergen Qadirpur Limited.

Pakistan’s power generation and distribution sector is composed of many different companies
produce and sell electricity to generate revenue using a variety of cost-efficient methods. With an
objective to take part in the prosperity of the country through power generation. Kohinoor Energy Limited
owns, operates, and maintains a 131 MW (gross) furnace oil fired power station in Lahore to
generate electricity.

On 8th November 1995 Kohinoor Energy Limited signed a Power Purchase Agreement (PPA) with
Pakistan Water and Power Development Authority (WAPDA). Under this agreement KEL must
generate and sell electricity to WAPDA its one and only customer for a term of 30 years.
