埃塞俄比亚建筑工程公司是一家由部长理事会第 366/2015 号条例(经第 390/2015 号条
例修订)成立的国有企业(SOE ),根据埃塞俄比亚法律注册并获得许可，其注册办事处位于埃
塞俄比亚亚的斯亚贝巴 22952/1000 号邮政信箱(以下简称为“ECC ”,该表述应包括其授权

ETHIOPIAN CONSTRUCTIONWORKS CORPORATION is a state-owned enterprise (SOE)
established by Council of Ministers RegulationNo. 366/2015 (as amended by RegulationNo.
390/2015). It is registered and licensed according to Ethiopian laws. Its registered office is located
in P.O. BoxNo. 22952/1000, Addis Ababa, Ethiopia (hereinafter referred to as "ECC"). This
expression should include its authorized representative? ), ECC established according to Council of
Ministers RegulationNo. 366/2015 (as amended by RegulationNo. 390/2015)? Is a state-owned
construction company, its responsibilities and business scope include:
 作为承包商参与国内和海外建筑工程，包括建筑和其他土木工程的建造、升级和维护；
 Participate in domestic and overseas construction projects as a contractor, including the
construction, upgrading and maintenance of buildings and other civil projects;
 生产其活动所需的建筑材料，并酌情出售；
 Production of building materials needed for its activities, and sale as appropriate;
 获得资金、技术和现代管理投入，包括吸引投资或从事投资，并在国内外工作中具有竞
争力和盈利能力；
 Obtain capital, technology and modern management input, including attracting investment or
engaging in investment, and be competitive and profitable in domestic and foreign work;
 利用自身的培训设施或与相关的国内或国际研究、教育和培训机构合作，为公司培养符
合要求的专业、数量和质量的合格人力资源；
 Make use of its own training facilities or cooperate with relevant domestic or international re-
search, education and training institutions to cultivate qualified human resources in terms of
specialty, quantity and quality for the company;
 具有法人资格、享有法人权利和承担法人义务，并且根据第 25/1992 号《公共企业公
告》第 7 条，不承担超过其总资产的责任；一般有能力实现其目标和开展相关活动，包
括以自己的名义起诉和被起诉；获取、占有、拥有、处置、质押和抵押动产和不动产；
签订合同和借款；发行和接受商业和其他票据；开立和操作银行账户并进行投资；

 It is qualified as a legal person, enjoys legal person rights and assumes legal person obligations,
and according to Article 7 of Announcement of Public EnterprisesNo. 25/1992, it does not as-
sume the liability exceeding its total assets; Generally capable of achieving its goals and carry-
ing out related activities, including suing and being sued in its own name; Acquisition, posses-
sion, possession, disposal, pledge and mortgage of movable and immovable property; Signing
contracts and borrowing money; Issue and accept commercial and other bills; Open and operate
bank accounts and make investments;

江西洪涛建材制造有限公司是一家集高端节能中空玻璃、防火玻璃、夹层玻璃、超大玻
璃生产、新型模块化高端玻璃幕墙生产安装和铝材加工、销售等于一体的大型综合性高端建
材加工集团企业，位于中华人民共和国江西省南昌市安义县高新工业园创业西路 16 号，业
务范围（许可项目:建筑劳务分包(依法须经批准的项目，经相关部门批准后方可开展经营活
动，具体经营项目以相关部门批准文件或许可证件为准 ) 一般项目:技术玻璃制品制造，技

of the large comprehensive high-end building materials processing group enterprises, located at 16
Chuangye West Road, Anyi County high-tech industrial park, Nanchang, China, scope of business
(permitted projects: construction subcontracting (for projects subject to approval by the relevant

 鉴于埃塞俄比亚建筑工程公司和江西洪涛建筑材料制造有限公司拟建立合作伙伴关系，
通过合作采购、建立制造加工工厂并作为埃塞俄比亚的独家代理，开发运用江西洪涛建筑材
料制造有限公司的玻璃、铝建材制造加工技术及产品销售，签订本备忘录如下:

Whereas Ethiopia ETHIOPIAN CONSTRUCTIONWORKS CORPORATION and Jiangxi

Hong Tao Building Materials Manufacturing Co., Ltd. intend to establish a cooperative partnership,
develop and apply the glass and aluminum building materials manufacturing technology and
product sales of Jiangxi Hong Tao Building Materials Manufacturing Co., Ltd. through cooperative
procurement, establishment of manufacturing and processing plants and acting as the exclusive
agent of Ethiopia, and sign the following memorandum:

第 1 条:合作谅解备忘录的目的
Article 1: Purpose of the Memorandum of Understanding on Cooperation
通过签署本谅解备忘录，江西洪涛建筑材料制造有限公司表示愿意在未来签署双方均可
接受的协议的前提下，交付玻璃加工和铝建材制造加工技术，转让工厂运营所需的知识、技
术诀窍和专业技能。
By signing this Memorandum of Understanding, Jiangxi Hong Tao Building Materials Manu-
facturing Co., Ltd. expresses its willingness to deliver glass processing and aluminum building ma-
terials manufacturing and processing technologies and transfer the knowledge, technical know-how
and professional skills needed for factory operation on the premise of signing an agreement accept-
able to both parties in the future.

第 2 条:合作谅解备忘录的条款

Article 2: Terms of the Memorandum of Understanding on Cooperation

1. 为充分了解埃塞俄比亚国内建材市场行情及营商环境等情况，同时，也为今后双方技术
合作或投资建厂打下坚实的基础，双方同意在本谅解备忘录签订后 1 月内先行合作采购
铝型材及玻璃、五金等配套产品业务，埃塞俄比亚建筑工程公司应确保自启动采购业务
之日起（即签订采购合同之日起）一年内向江西洪涛建筑材料制造有限公司采购 10 万吨
以上的铝型材及玻璃、五金等配套产品，江西洪涛建筑材料制造有限公司同意以低于当
地市场（建议明确当地具体城市名称）价格向埃塞俄比亚建筑工程公司予以优惠（注：
江西洪涛建筑材料制造有限公司已向埃塞俄比亚建筑工程公司提交了产品销售报价表，
ECC 同意按上述报价表采购结算，具体采购协议另行签订），一年后，如双方合作采购
业务顺利，双方同意再按本谅解备忘录其他条款进行实施。

In order to fully understand Ethiopia's domestic building materials market and business
environment, and to lay a solid foundation for future technical cooperation or investment in
factories, both parties agree to cooperate in purchasing aluminum profiles, glass, hardware and
other supporting products within months after the signing of this Memorandum of Understanding.

Ethiopian construction engineering company shall ensure that it purchases more than 100,000 tons
of aluminum profiles, glass, hardware and other supporting products from Jiangxi Hong Tao
Building Materials Manufacturing Co., Ltd. within one year from the date of starting the
procurement business (that is, from the date of signing the procurement contract). Jiangxi Hong Tao
Building Materials Manufacturing Co., Ltd. agrees to give preferential treatment to Ethiopian
Construction Engineering Company at a price lower than the local market (it is suggested to specify
the specific local city name) (Note: Jiangxi Hong Tao Building Materials Manufacturing Co., Ltd.
has submitted a quotation sheet for product sales to Ethiopian Construction Engineering Company,
ECC agrees to purchase and settle according to the above quotation sheet, and the specific purchase
agreement will be signed separately). After one year, if the cooperative procurement business
between the two parties is smooth, both parties agree to implement it according to other terms of
this Memorandum of Understanding.

2. 通过签署本谅解备忘录，江西洪涛建筑材料制造有限公司同意提供玻璃加工和铝建材制
造加工技术，以实现和扩大埃塞俄比亚建筑工程公司的建筑目标，并与埃塞俄比亚建筑
工程公司合作提供玻璃和铝建材制造加工技术领域的能力建设。

By signing this Memorandum of Understanding, Jiangxi Hong Tao Building Materials

Manufacturing Co., Ltd. agreed to provide glass processing and aluminum building materials
manufacturing and processing technologies, so as to achieve and expand the building goals of
Ethiopian Construction Engineering Company, and cooperate with Ethiopian Construction
Engineering Company to provide capacity building in the field of glass and aluminum building
materials manufacturing and processing technologies.

3. 埃塞俄比亚建筑工程公司通过签署本备忘录承诺创造提供所有必要的有利环境，使江西
洪涛建筑材料制造有限公司能够具有履行本备忘录条款的条件。

By signing this Memorandum, ETHIOPIAN CONSTRUCTIONWORKS CORPORATION

promises to create and provide all necessary favorable environment, so that Jiangxi Hong Tao
Building Materials Manufacturing Co., Ltd. can meet the conditions for fulfilling the terms of this
Memorandum.

4. 双方共同理解，本谅解备忘录代表了第一份一般性谅解，并未特意说明为实现其目的将
采取的方法和策略。埃塞俄比亚建筑工程公司和江西洪涛建筑材料制造有限公司的技术
合作或投资建厂所有具体和详细的权利义务应在具体的合作协议中规定，合作协议在先
行合作采购业务一年后由埃塞俄比亚建筑工程公司和江西洪涛建筑材料制造有限公司另
行协商确定。
It is understood by both parties that this Memorandum of Understanding represents the first
general understanding and does not specify the methods and strategies to be adopted to achieve its

purpose. All specific and detailed rights and obligations of ETHIOPIAN CONSTRUCTION-
WORKS CORPORATION and Jiangxi Hong Tao Building Materials Manufacturing Co., Ltd. for
technical cooperation or investment in building factories shall be stipulated in the specific coopera-
tion agreement, which shall be determined by Ethiopian Construction Engineering Company and
Jiangxi Hong Tao Building Materials Manufacturing Co., Ltd. through negotiation after one year of
cooperative procurement.

5. 双方同意保持持续和积极的沟通，以实现本协议规定的目标和时间表。

Both parties agree to maintain continuous and positive communication in order to achieve the ob-
jectives and timetable stipulated in this agreement.
