2. During the Special Meeting of the Board of Directors of the Corporation held on

unanimously passed and approved the following resolutions:.

“RESOLVED, that the Corporation authorizes its Officer-In-Charge, SANDRA

MARGARITH C. OABEL, and its Trading and Technical Head, MARY GRACE R. SAN JAUAN and
its Trading Staff, RUTH O. NARAG, whose specimen signatures appear below, to represent,
execute, and sign the Settlement Agreement with Sojitz Asia Pte Ltdfile an application for the
Corporation’s renewal of accreditation as importer and to execute and submit the necessary
corporate documents and other requirements to the Land Transportation Office (LTO)., to
make, accept, and approve compromise/settlement proposals in relation thereto, to receive
any payments made in relation to such Settlement Agreement, and to do such other acts and
things as may be proper or appropriate for such Settlement Agreement.”

Corporation until subsequently revoked by a resolution of the Board of Directors of the
