discharge in a free flowing, concentric, funnel-flow manner. If the product to be
stored does not meet these requirements, eccentric discharge, bridging and packing can occur which may result in silo structural damage/failure,
injury, or DEATH. Special unloading and/or fluidizing equipment designed specifically for any non-flowable materials are necessary to ensure
consistent flow of the product from the silo. Failure to use proper loading procedures and unloading equipment will void the SCAFCO
structural warranty.
**CAUTIONARY NOTE: The sweep auger listed in this quotation will vary in performance based on grain consistency and condition as well as bin/silo
floor conditions. Capacities listed are optimum based on dry, clean, corn, and ideal conditions. The sweeping process will be complete after one or two
revolutions. For commercial sweep augers it is recommended that the center portion of the sweep be used first and then add on sections in sequence, per
revolution, until the entire sweep has been assembled and the bin unloaded to avoid damage to the auger per the manufactures owner’s manual. After
completion of the sweep process a minimum grain layer of 2”-3” (50 mm – 75 mm) will remain for manual sweeping. Although the sweep auger
components are warranted against defects in material and workmanship for one year, when installed and operated according to manufacturer’s instructions,
SCAFCO does NOT warranty sweep auger performance. If sweep auger is left in silo after clean out, it must be removed from the center well sweep pivot
and laid next to unload system. Left installed in sweep pivot during filling and emptying can result in damage to center well.

PAYMENT, CREDIT & SHIPPING INFORMATION AND OBLIGATIONS:
1 PAYMENT TERMS: SCAFCO's acceptance of Purchaser's order and commencement of production will begin upon SCAFCO's receipt of a non-
refundable down payment in the amount of 20% of the above total cost (the “Non-Refundable Down Payment”), including freight and insurance, if offered. The
remaining balance shall be due no later than twenty one (21) days prior to container loading at SCAFCO's Spokane, Washington U.S.A. facility. Purchaser will
be in material default of this Contract if it fails to pay the Remaining Balance as required herein. After the remaining balance and applicable fees are paid, the
shipment will be scheduled for the next available loading date.
2 AVAILABILITY: Shipment depends on availability of steel at time order is placed. Available for shipment Ex-Works Spokane, Washington U.S.A.
approximately twelve to fourteen (12-14) weeks after receipt of a non-refundable 20% Down Payment and Purchaser’s written approval of pre-production
design drawings, if requested by SCAFCO. All shipments are subject to availability of suitable truck, rail, ocean and/or air transportation

4 The quoted freight prices are for the convenience of Purchaser, based on rates and fees in effect as of the date of this quotation. Actual freight charges invoiced
to Purchaser will be based on the rates and fees in effect at time of shipment.
5 The number of containers/vans/flatbeds and quoted price is based on the estimated weight of the equipment and legal transportation weight limits. Charges
invoiced to Purchaser will be based on the actual quantity of containers required.
6 CPT and CIP Incoterms 2010 do not cover any port or handling charges outside of the country of export. These extra costs are not included in this quotation,
but instead shall be to the account of Purchaser and/or Purchaser's consignee.
7 Demurrage, standby and/or detention charges imposed by the freight forwarder, trucking companies, and/or ocean carrier and incurred outside the U.S.A. shall
be borne by Purchaser and/or Purchaser's consignee; SCAFCO assumes no responsibility for payment of such demurrage, standby and/or detention charges. For
will call orders, SCAFCO assumes no responsibility for payment of such demurrage, standby and/or detention charges.
8 Title shall pass from SCAFCO to Purchaser upon: (i) delivery of the goods to SCAFCO‘s contracted carrier; and (ii) SCAFCO's release of commercial shipping
documents.
ADDITIONAL INFORMATION AND OBLIGATIONS:
A This quotation expires, is withdrawn, and shall terminate if it is not accepted and counter-signed within 30 Days from the Date stated above.

B All costs of independent inspection services, required or requested, shall be borne by the Purchaser. All prices are quoted in U.S. Dollars.
C Unless specifically listed and included in this Quotation, on-site technical silo erection assistance services are not provided. Prices for optional on-site technical
silo erection assistance services are available upon request.

D All technical documents provided for this quote are to be considered typical and are to be used as reference only, are subject to change, and are NOT intended to
be used for construction instructions or specifications. Final “For Construction” documents will be issued following engineering design of the ordered material
package.

herein. This Quotation shall supersede and may not be modified by documents issued by SCAFCO’s field personnel, including but not limited to account
representatives, branch managers, and the like, as they do not have authority to sign documents modifying this Contract. Use by SCAFCO of a Purchase Order,
or similar document, number provided by Purchaser to facilitate administration, billing, and payment shall not be deemed acceptance of terms and conditions
appearing therein that are in addition to, or conflict with those contained herein. No modification of this Agreement by Purchaser shall have any effect unless
such modification is agreed to and accepted by an authorized officer or agent of SCAFCO, in writing.

SCAFCO reserves the right to correct this quotation for errors or omissions.

binding agreement (the “Contract”) between Purchaser and SCAFCO Grain Systems
