DIGITAL MARKETING FEE AGREEMENT

On behalf of the Directors or Tiger Digital Ventures Limited (owner of Bangladeshi car classifieds websites
www.garibazar.com and www.motor-bazar.com) we are delighted to work with you and your esteemed car
dealership and showroom.

This Digital Marketing Fee Agreement (the “Agreement”) is entered into effective on _____________________
(“Effective Date”), by and between _________________________________________, registered in Bangladesh
(“Buyer”) and TIGER DIGITAL VENTURES LIMITED, registered in both Bangladesh and Australia (“Supplier”).

GENERAL PROVISIONS

A customer is defined as follows:

1. A lead that has been forwarded by the Supplier to the Buyer.
2. A lead contains:
a. The name of the lead
b. The contact number (phone) of the lead
3. A lead can contain the email (not mandatory).
4. All leads are also tracked and recorded for accounting purposes.
5. Someone who is genuinely interested to get a quote for one of the services.
6. The Buyer’s contact person contacts the Lead and works to convert him or her to a customer.
7. Once the lead is converted to a customer and each time the customer makes a payment, the Buyer pays its
agent and the Supplier a commission, for the entire length of the car finance/lease/loan contract.

The Supplier assumes all costs of advertising, domains, web hosting and labor involved in collecting the leads.

The Buyer assumes all costs of sales, transport, wages and labor involved in converting the lead to a customer.

All leads are generated directly by the Supplier and passed on exclusively to Buyer. Leads will not be resold to
any other entities as long as the Buyer is paying the Supplier on time as per the agreement.

Buyer understands and agrees that all phone leads received will be considered legitimate and will be charged as
such.

REPORTS

The Buyer agrees to provide the Supplier a weekly report of how many leads have been contacted, how many
have requested quotes, for which services they are interested and how many have been converted to customers,
and for which prime value.

DIGITAL MARKETING FEES

The Buyer will pay the Supplier a marketing fee rate as per the table below less taxes on all incomes generated
by leads provided by the Supplier, and then converted to a customer by the Buyer’s sales department.

PAYMENTS

This is a Post-Paid program. Once a new lead is received and a lead is converted to a customer, digital marketing
fee will be paid by the Buyer to the Supplier on a monthly basis. There is no minimum or maximum for monthly
payments. The Buyer will pay the Supplier on a monthly basis, after receiving the invoice from the Supplier, with
any of the payment methods available, including Paypal, Internal Bank Transfer or online with the Supplier online
payment system.

INDEPENDENT CONTRACTOR

This Agreement shall govern the relationship of the parties, which shall be that of an independent contractor.
Nothing in this Agreement shall be construed so as to create an employer—employee relationship. Supplier is
an independent contractor in relation to Buyer. No agency relationship, joint venture or partnership is created
by this Agreement. Supplier shall have no authority, express or implied, to enter into contracts with third parties
or make representations on behalf of Buyer without its express written consent. Supplier understands it is an
independent contractor and is therefore solely responsible for all self-employment taxes and any federal, state
and local taxes or fees that may arise from the independent contractor relationship.

TERM AND TERMINATION

This agreement is ongoing from the initial start date. The agreement can be ended with one month notice by
either party, with a written (email) notice.

MODIFICATION

This agreement may be amended from time to time by mutual consent. Any amendments to this agreement
must be in writing and signed by both parties.

CONFIDENTIALITY

Each party acknowledges and agrees that any information relating to the other party’s business which is not
generally known to the public is confidential and proprietary information. Neither party will disclose the
Confidential Information to third parties without prior written agreement. However, the Supplier can use the
Buyer details, information and commercial offers to generate leads and collect them from the Supplier different
channels for the benefit of the Buyer.

INDEMNIFICATION

(a) Supplier - The Supplier shall indemnify and hold harmless the Buyer from and against any and all third-party
claims, demands, losses, damages and reasonable expenses (including, without limitation, reasonable legal fees)
arising from or in connection with the conduct of this agreement.

(b) Buyer - The Buyer shall indemnify and hold harmless the Supplier from and against any and all third-party
claims, demands, losses, damages and reasonable expenses (including, without limitation, reasonable legal fees)
arising from or in connection with the conduct of this agreement.

ENTIRE AGREEMENT

The parties have read this Agreement and agree to be bound by its terms, and further agree that it constitutes
the complete and entire agreement of the parties and supersedes all previous communications, oral or written,
and all other communications between them relating to the license and to the subject hereof.
