ACCOUNTANCY, BUSINESS AND MANAGEMENT CLUB

Constitution and By-Laws

PREAMBLE

We, the members of the Accountancy, Business and Management Club of Senior
High School Department of Villamor College of Business and Arts- General Santos
City, imploring the aid of Almighty God, to build a just and humane society responsible
to establish an organization that shall bind us together, effectively assertour rights,
promote general welfare, foster the spirit of unity and aspiration , nurture the true sense
of nationalism, for such purpose do ordain and promulgate this Constitution and By-
Laws.

ARTICLE I
NAME AND DOMICILE
Section 1:The organization shall be officially known as the Villamor College of
Business and Arts –Accountancy, Business and Management Club, also known as
VCBA-Senior High ABM Club.
Section 2:The office of the organization shall be found in the Villamor College of
Business and Arts, Senior High School Campus, General Santos City.
ARTICLE II

NATURE AND PURPOSE

Section 1:Nature

a. The VCBA-Senior High ABM Club is an organization of bona fide


students of Senior High School of Villamor College of Business and
Arts

b. The organization is an academic, non-profit and non-sectarian


students’ organization.

Section 2: Purposes.
a. To support academic activities for the purpose of broadening students’
academic and professional competence.
b. To promote an environment conducive for the attainment of academic
excellence.
c. To serve as a forum for the expression of the students ideas and
sentiments on issue of general significance.
d. To represent its members to any proper forum in all matters
concerning their general welfare.
e. To develop a strong spirit of unity and understanding among students.
f. To establish good relationships with other existing student
organizations in order to foster community life.
g. To undertake such projects and activities as may be necessary or
useful to promote the best interests of the members.
h. To encourage, motivate and train its members for leadership roles.
i. To protect and promote the rights and interest of the members.
j. To uphold and ensure genuine and democratic participation and
representation in all policy-making bodies that affects the students
shall refer to management and administration.
k. to provide students with opportunities for association and interaction
with Accountancy, Business and Management people: students,
faculty and staff who feel that Accountancy, Business and
Management is the greatest thing there is. .

ARTICLE III
MEMBERSHIP

Section 1: All students enrolled in the VCBA are automatically members of VCBA
Senior High ABM Club.

Section 2: Members must abide the Constitution and By-Laws of the club.

Section 3:A student shall cease to be a member of the club.

a. Upon Graduation
b. Discontinuance of study
c. Willful violation of the constitution and By-Laws.

Section 4:Eligibility for membership or appointed or elected student officer positions


shall not be limited on the basis of race, religion, national origin, ethnicity, color, age,
gender, gender identity, marital status, citizenship, sexual orientation, or disability. The
club shall have no rules or policies that discriminate on the basis of race, religion,
national origin, ethnicity, color, age, gender, gender identity, marital status, citizenship,
sexual orientation, or disability.

ARTICLE IV

RIGHTS AND DUTIES OF THE MEMBERS

Section 1:Every member has the rightto:

a. Enjoy and exercise the freedom of expression and inquiry for the
purposes not contrary on the Law of the Land, and the club.
b. Be informed of any activity and projects of the club.
c. Have grievances or complaints heard and speedily be addressed.
d. Have access to all records and documents pertaining to the operations
and proceedings of the club.
e. Issue, circulate and publish manifest on matters affecting the general
welfare of the students for purposes not contrary of the Law of the
Land, Senior High and the organization.
f. Organize peaceful assembly for the purposes not contrary to the law,
rules and regulations of the Senior High School Department.

Section 2: Every member is duty bound to:

a. Pay the membership fee for every semester and other fees determined;
b. Attend every meeting called by the club.
c. Actively participate in all activities undertaken and sponsored by the
club;
d. Reserve and protect the image of the club;
e. Respect the rights of other members.

ARTICLE V

COMPOSITION AND STRUCTURE

Section 1: The VCBA ABM shall have minimum of one (1) and a maximum of three
(2) Advisers from among the faculties of Villamor College of Business and
Arts, Senior High School Department.

Section 2:The VCBA set of officers shall be: President, Vice-President, Secretary,
Treasurer, Auditor, P.I.O, Business Manager and the representatives.

ARTICLE VI

DUTIES AND FUNCTION OF ABMADVISER (S) AND OFFICERS


Section 1: Adviser (s) shall:

a. Serve as an immediate consultant of the club;


b. Advice the officers at all matters concerning its proper organizational
mobilizations, financial and legal affairs and societal relations;
c. Propose and suggest Income Generating Project/s and programs
beneficial to the organization;
d. Approved the projects as may be proposed by the officers;
e. Uphold the Law of the Land and the VCBA –Senior High ABM Club ,
CBL; and
f. Be at all times accessible to the organization and serve with utmost
responsibility, integrity, loyalty, honesty, and efficiency.

Section 2: The President shall:

a. Preside over meetings of the club;


b. Create committees and appoint its committee chair to assist him on
the implementation of rules and regulation, policies and programs of
the club as may be deemed necessary;
c. Supervise and coordinate the activities of the club; and
d. Have the power to call for an emergency meeting as the necessity
arises.

Section 3: The Vice President shall:

a. Preside over meetings of the clubin the absence of the President;


b. Perform all the functions delegated to him by the President;
c. Assist the President in the execution of rules and regulations, policies,
and projects of the club; and
d. Represent the meetings outside the jurisdiction of this club in the
absence of the President.

Section 4: The Secretary shall:


a. Be responsible for the recording of the minutes of every meeting;
b. Have the duty to keep all important documents of this club;
c. Have the duty to report the minutes of the previous meetings to the
General Assembly; and
d. Perform such other duties inherent to the position.

Section 5: The Treasurer shall:

a. Have the custody of all money, financial records and assets of the
club;
b. Have the duty to collect all fees, fines and other financial statements;
c. Make the liquidation of the cash flow at the end of the semester; and
d. Perform such other duties that are inherent in the position.

Section 6: The Auditor shall:

a. Check the records and reports of the treasurer;


b. Perform such duties delegated by the officers; and
c. Assist the treasurer in the pursuance of his or her duty.
Section 7 The P.I.O shall:

a. Disseminate information to all members of the club by posting


announcementsand by using media related materials;
b. Take charge of giving proper and due publicity to all activities of the
Student Council; and
c. Perform all other functions delegated by the President.

Section 8: The Business Manager shall:

a. Transact approved business deals inside the establishments and shall


report the same to generl assembly;
b. Be in charge of all purchases of the club;
c. Screen all project proposal prepared by other officers and submit the
same to the proper authorities;
d. Screen all sponsorship requests by other club and reports the
details of sponsorship for approval; and
e. Performs all other functions delegated by the President.

Section 8: The Representatives shall:

a. Propose projects for their level,


b. Initiate activities for the grade level he/she represents,
c. Encourage participation among members on his grade level on the
activities of the club,
d. Conduct investigations and inquires in his grade level regarding issues
affecting the club.

Section 9: The Ex-officios shall:

a. Present to the executive body the demands and suggestions of the


department they are representing;
b. Serve as communication channels to disseminate to their department
what have been discussed in the executive meeting;
c. Elect the next set of officers for the next academic year;
d. Submit the list of the new set of officers to the officers of VCBA SSC
not a month before the end of the semester of the academic year; and
e. Have legislative power.

ARTICLE VII

QUALIFICATIONS OF OFFICERS

Section 1: General Qualifications: All candidates for position either elective or


Appointive must:

a. Be a bona fide student of Villamor College of Business and Arts Senior


High School.
b. Not have any failing grades in any subject in the previous semester
prior to the election.
c. Not hold a waived, warning, and/or dismissal status in the previous
semester prior to the election,
d. Not have and derogatory record either inside or outside in the school
premises.
e. Not an over staying student in the course he/she is enrolled.

Section 2:In case of the vacancy on other position except for the representatives
thereshall be a special election.

Section 3:The candidates for the position of President must be aGrade 12-Senior High
School Students of Villamor College of Business and Arts.

Section 4: The candidate for the position of Vice President must be a grade 11 or
12-Senior High School Student of Villamor College of Business and Arts.

Section 5:The candidate for the position of Secretary must be angrade 11 or 12Senior
High School Student of Villamor College of Business and Arts.

Section 6:The candidates for Treasurer and Auditor must be knowledgeable in


Accounting and auditing principles, either grade 11 or 12 student.

Section 7:The candidate for PIO must be good in public relations.

Section 8: The candidate for Business Manager must be good council transactions.

Section 9: The candidates for representatives shall satisfy the general qualifications.

ARTICLE IX

ELECTIONS OF OFFICERS

Section 1:Election of officers in this organization shall be in accordance with the


Democratic representation process.

Section 2: Election of officers for shall be done on the 1 stweek of July.

Section 3: The election of officers shall be done through aSenior High-wide popular
Election, subject to the provision of Article IX of this Constitution and
By-Laws.

Section 4: All officers may be re-elected.

Section 5:In case of a failure of election in the positions of President, Vice President,
Secretary, Treasurer, Auditor, PIO, a special election shall be called
for not more than a month after the preceding election.

ARTICLE X

ACCOUNTABILITY OF OFFICERS
Section 1: All officers of Villamor College of Business and Arts Senior High
Accountancy, Business and Management Club-Senior High must be at all Times
accountable to the members of the organization and serve them
With utmost loyalty, responsibility, efficiency and integrity.

Section 2:Any elected Villamor College of Business and Arts Senior High officers may
beImpeached or suspended by the two-thirds (2/3) vote of the membersthrough secret
balloting excluded the subjected officer.

ARTICLE XI

GROUNDS FOR SUSPENSION AND IMPEACHMENT OF OFFICERS

Section 1:The following are the grounds for suspension:

a. Three (3) successive absences in all kinds of meetings and programs


without any valid reason.

b. Display of behaviorcontrary to the Constitution and By-Laws of the


club.

c. Disrespect to any adviser, officer and any member of the club, and

d. Involvement in any unjustifiable brawl, riot, and trouble within and


outside the campus and such other acts considered inappropriate.

Section 2: The following are the grounds for impeachment:

a. Gross neglect of duties

b. Any grave violation of this Constitution and By-Laws

c. Gross or misconduct or any immorality within or outside the campus


bearing the name of the club.

d. Draft and corruption

e. Bribery

ARTICLE XII

PROCEDURES FOR SUSPENSION AND IMPEACHMENT

Section 1:Any officers and member may file and present proof of complaint against
any officers on the grounds provided by Article XI and submit such to the
set of officers for further verification and approval.
Section 2: The defendant shall be notified of the complaint against him/her and shall
Submit a counter affidavit to answer the allegation filed against him/her
Within three days.

Section 3:The defendant shall be afforded witha public, speedy and impartial trial.

Section 4: Public notice shall be afforded to the members of the organization.

Section 5: The officers and the adviser (s) shall serve as justices of the suspension
And impeachment proceedings. They shall choose among themselves the
Chief Justice.

Section 6: The proceedings shall take place in the office of the club or at
place deemed appropriate.

ARTICLE XIII

SUCCESSION

Section 1: In case of the President’s incapacity, death or permanent disability


Resignation or recall, he or she shall be succeeded by the Vice-President

Section 2: In case of the Vice President’s incapacity, death or permanent disability,


resignation or recall, he or she shall succeeded by the Secretary.

Section 3:The successor shall serve only the unexpired term of office of his/her
Predecessor.

ARTICLE IX

SANCTION FOR NON-OFFICER MEMBERS

Section 1: Non-officer members shall not be exempted from sanctions.


The circumstances and penalties are as follows:

a. Every absence in the meetings of the club and


Non-participation in the programs and activities will be
Equivalent to an amount to be specified by the set of officers,
Duly approved by the administration.

b. Any member displaying behavior contrary to the Constitution


And By-Laws of the club shall be subjected to
Disciplinary action that shall be determine by the set of officers
Duly approve by the administration.

c. Disrespect to any adviser, officer, co-member of the organization shall


be subjected to disciplinary action shall be decided by the set of
officers duly approved by the administration

d. Members who have committed three (5) accumulated absences in the


activities of the organization and have violated the provisions
paragraph b and c of this section shall constitute the grounds for
declaring them as members not in good standing.

ARTICLE X

MEETINGS

Section 1: There shall be a bi-monthly meeting of the officers and they shall
determine the time,date and venue.

Section 2: special meetings of the officers and/or of the heads of the committees
may be called by the President as deemed necessary duly noted by the
adviser (s) and approved by the office of the students’ affairs, whenever
the meeting is set against a class schedule.

Section 3: There shall be at least one General Assembly or General Assembly


Meeting every semester.The date of which shall be determined by the
Set of officers noted by the adviser (s). However, the set of officers may
call for an emergency General Assembly or General Assembly Meeting
when necessity arises duly approved by the administration.

Section 4:There shall be a quorum in every meeting. The set of officers meeting
shall constitute 50% +1 of the total number of officers and the General Assembly
meeting shall not be less than 30% of the VCBA-Club-Senior HighAccountancy,
Business and Management lation to be valid.

ARTICLE XI

FUNDING

Section 1: The VCBAAccountancy, Business and Management Club-Senior High


shall enjoy fiscal autonomy in all its financial matters.

Section 2:There shall be a membership fee every semester. The amount shall be
determined by the set of officers noted by the adviser (s) to be approved
by the administration.

Section 3: To sustain the organization’s mission and vision, The VCBA


Accountancy, Business and Management Club-Senior High officers
May engage in any legal income generating project or endeavorupon the
approval of the adviser (s).

Section 4: All income generating projects must be deliberated and approved by the
majority of the officers.

Section 5: Any disbursement of funds shall be accompanied by a resolution duly


Approved by the council and disbursement voucher signed by the
Treasurer. Disbursement of funds shall be liquidated within thirty (30)
Days after the completion of the activity.
Section 6: The VCBA-ABM general fund shall be deposited on the bank chosen
By the adviser (s) and officers and bear the name of the VCBA-
Accountancy, Business and Management Club-Senior High
The general funds shall be comprised of the membership fees such
Other fees duly approved by the body.

Section 7:All disbursement of VCBA-Accountancy, Business and Management Club-


Senior High funds must be audited by the auditor.

Section 8:If deemed necessary, contributions for any activity from the VCBA-
Accountancy, Business and ManagementClub-Senior High
members shall be allowed upon the approval of the administration .

Section 9:The VCBA Accountancy, Business and Management Club-Senior High may
borrow money from other sources only on legal
Terms subject to the approval of the majority of the officers and adviser(s)

Section 10:Donations for financial assistance may be extended to the member of the
organization only if necessary and upon approval of the officers and
adviser (s)

Section 11:No money shall be taken out from the VCBAAccountancy, Business and
Management Club-Senior High fund except for the
pursuanceof its projects and activities duly approved by the majority
Of the officers

Section 12: The adviser (s) the President and the Treasurer shall be the signatories
of the passbook.

ARTICLE XII

GENERAL PROVISION

Section 1: The VCBA-Accountancy, Business and Management Club-Senior High shall


adopt its official seal and logo

Section 2:The official color of the organization shall determined by the set of
Officers noted by the adviser (s) and approved by the administration

Section 3: All rights and duties of the students not mentioned in this Constitution
And By-Laws shall be recognized and respected by the VCBA- ABM
Senior High School, Providedhowever that such rights and duties are
promulgated competent authorities.

Section 4:The General Assembly shall be the highest policy-making body

ARTICLE XII

RATIFICATION AND AMENDMENTS

Section 1: The VCBA- ABMClub-Senior High Constitution and By-Laws can be


amended and revised upon the proposal of any of the officers or upon the
initiative of the member (s) of the organization duly approved and verified
by the 2/3 two-thirds votes of the set of officers.

Section 2: Officers duly suspended or impeached shall not be counted in the 2/3 vote
of the approval of the officers specified in section 1of this article.

Section 3: Amendments and revision of the Constitution and By-Laws shall be


through Constitutional Convention (ConCom).

Section 5: The members of the ConCon shall elect among themselves a Presiding
Officer.

Section 6: Any amendments or revision of the Constitution and By-Laws shall only
Be approved by the simple majority vote of the members present during
The conduct of the ConCon.
Section 7: All amendments or revision of the Constitutional and By-Laws shall be
Ratified by 2/3 two-thirds votes of the total population of the club.

Section 8: Two-thirds 2/3 votes shall be determined through the affixed signatures of
the members of the club for the ratification.

Section 9: Incapacitated, deceased or members not in good standing shall not be


Counted.

ARTICLE XIV

RESIGNATION

Section 1: Any officer shall file his/her resignation letter to the adviser of the
club.

Section 2: The adviser shall be elevate the correspondence given to him/her


to the administration officers within 3 days for approval or
dissatisfaction.

Section 3: The concerned administrative officer/s shall render judgment to the


Resignation letter 5 days after it was elevated by the – Accountancy,
Business and Management Club-Senior High adviser

Section 4: Upon approval, the – VCBA – Accountancy, Business and Management


Clubofficer who will resign and was approved
shall take effect 1 week after the approval.

Section 5: - VCBC – Accountacy, Business and Management Club-Senior High


School officer who resigned can still run for any position in the next
VCBA – ABM Club election.
ARTICLE XV

EFFECTIVITY

Section 1: This Constitution and By-Laws shall take effect immediately upon the
Ratification of the members of the club.

ARTICLE XXIII

TRANSITORY PROVISION

Section 1: The VCBA- - Accountancy, Business and Management Club-Senior High


Schoolelection code shall govern the officers.
