RFQ General Terms and Conditions

1. GENERAL: This RFQ is for Price and Lead time and submission of responses to this RFQ is not a promise of future
purchase order
2. SUBMISSION OF RESPONSES: Responses to quotes must be received no later than the date and time indicated on the
RFQ Form. All information requested in the RFQ must be provided.
3. SEEKING CLARIFICATION: All sellers will have a time of maximum 3 days from receipt of RFQ to seek any clarification
4. AMENDMENTS TO THE REQUEST FOR QUOTE: WorldRef may amend, suspend, cancel, or re-issue the RFQ, or any part
of it, so long as it notifies the Respondent. WorldRef may change material aspects of the RFQ, such as the timeline,
requirements, or evaluation approach, provided it gives the respondent time to respond and update its quote in relation
to the changes.
5. BASIS OF AWARD: Each line item is separately awardable and WorldRef shall submit purchase orders as required to the
overall lowest responsible and responsive vendor complying with the provisions of the Request for Quote. The following
criteria may be considered by WorldRef in selecting the most advantageous quote:
a. Conformance to specification;
b. The quality of performance in previous Purchase Orders;
c. Item pricing;
d. Delivery Period
e. End user preference

WorldRef reserves the right to cancel the solicitation and to reject any or all quotes in whole or in part and is not bound to
accept any quote if acceptance of that quote is determined to be contrary to the best interest of WorldRef. Submission of
responses to this RFQ and/or a resulting purchase order does not authorise the vendor to stock materials required for
producing finished goods or stock finished goods in anticipation of future orders. WorldRef will not be responsible for any
stock on hand or finished goods during or after the quotation period.
6. SAMPLES: Samples of items, when required, must be furnished free of expense to WorldRef and, upon request, be
returned to the vendor at the vendor’s expense. Samples of selected items may be retained for comparison purposes.
7. Taxes: Vendors shall provide written confirmation on the 0.1% GST (Merchant Export) for all RFQs mentioning export;
failure to do so will result in non consideration of the quotation.
8. RIGHTS AND REMEDIES OF WORLDREF FOR DEFAULT: If any item furnished by the Vendor fails to conform to
specifications, or to the sample submitted by the Vendor, WorldRef may reject it. Upon rejection, the Vendor must
promptly reclaim and remove such item without expense to WorldRef, and immediately replace all such rejected items
with others conforming to such specifications and samples. If the Vendor fails to do so, WorldRef has the right to purchase
in the open market a corresponding quantity of any such items and to deduct from any monies due the Vendor the
difference between the prices named in the purchase order and the actual cost to WorldRef.
9. REJECTION OF QUOTE: Quotes may be considered irregular and may be rejected if they show omissions, alternations of
form, additions not called for, conditions, limitations, unauthorised alternate bids, or other irregularities of any kind.
WorldRef reserves the right to waive minor technicalities or irregularities in the quote.
10. TERMINATION: WorldRef reserves the right to terminate the RFQ or quotation at any time during the validity period.
10. VALIDITY OF QUOTATION: The sellers must give a minimum quotation validity of 15 days.
