PRIVATE PURCHASE - SALE CONTRACT

It is hereby recorded by this document of PURCHASE AND SALE of the vehicle with license
plate BQ-8983, which is celebrated on the one hand by THE SELLER, Mrs. ELIZABETH
GALVEZ GIRON, identified with DNI Nº 45105034, with address in AA.HH. Josefina Ramos
Parcel 111 of the District of Imperial - Cañete, and of the other part THE PURCHASER
SEGUNDO FRANCISCO FLORES TANANTA, identified with DNI Nº 44414611 with
domicile in Sector Miraflores Mz. U Lt. 41 - Cerro Alegre of the district of Imperial - Cañete in
the following clauses.

FIRST: THE SELLER declares that he is the owner of the vehicle with license plate No. A8-
7319.

Without any reservation or restriction whatsoever and, therefore, he is not prevented from
disposing of it.

SECOND: The agreed price for the purchase and sale of the vehicle referred to in the
previous clause is S/ 1,000.00 THOUSAND NUEVOS SOLES.

That the seller declares to have received from THE BUYER to its entire satisfaction in the
following form 50% AT THE SIGNATURE OF THE CONTRACT AND THE BALANCE 15
DAYS FROM THE DATE.

THIRD: Likewise, THE PURCHASER in turn declares to have received the material vehicle
of the present contract to its entire satisfaction and without any responsibility in the future for
THE SELLER in the technical and mechanical part because it is a used vehicle.

FOURTH: Both contracting parties declare to know the legal situation (liens, fines, any
affectation, charge, etc.) of the vehicle by means of the corresponding Certificate of Lien.
Issued by the Vehicle Property Registry Office of the Jurisdiction in which the transferring
unit is registered and its administrative legal situation is known before entering into this
contract: THE SELLER being obliged in any case to the eviction and legal reorganization.

FIFTH.- In accordance with the first clause, THE SELLER declares that the vehicle to be sold
is not registered in the Tax Registry of installment sales, nor any other type of affectation;
likewise, it is not registered in the Registry of Transport Pledge, and the BUYER may request
certified proof from said Registries to ensure the effectiveness of the operation carried out.

ADDITIONAL CLAUSE: The vehicle being sold is operative and working.

In witness whereof the SELLER and the BUYER sign and notarize their signatures in the City
of Cañete on the Twenty-fifth day of May of the year Two Thousand and Twelve.
