‫تحت رقم المحرر (‪ )2023/1/271000‬بتاريخ (‪)2023/05/03‬‬ ‫ثم اعقبوه بملحق عقد التأسي‬
‫وحيث أن الشركاء أعاله ترغبان في وتغيير اسم التجاري وتغيير النشاط وفقا للشروط التالية‪:‬‬

‫الدوليةةةةة‪ ،‬ومةةةةةوانا البحريةةةةة‪ ،‬والبنةةةةةوو وكافةةةةة الشةةةةةركات والم سسةةةةات أو االعمةةةةةال التجاريةةةةة اأخةةةةةرى‬
‫والتوقيه علي كافة المستندات واأورا والعقود مه أو أمام الجهات المذكور ‪.‬‬

‫المعامالت المالية‪( .‬منفرديك او مجتمعيك)‬

‫فتو البالغات ومتابعتها والتنازل عنهةا بعةد اسةتيفاء قيمتهةا وتوكيةل المحةامين وعةزلهم ولةه الحةق ان يرفةه او‬
‫يدفه اية دعوى وله حق الحضور بالنيابة عن الشركة في أ دعوى مرفوعةة منهةا أو ضةدها بالخصةومة مةه‬
‫أ شخص أو أشخاص مهما كان نو الخصومة أمام محاكم الدولةة وللمةدير حةق تمثيةل الشةركة أمةام مراكةز‬
‫الشرطة والنيابات العامة وحضور التحقيقات واادالء باافادات أمامهما‪ ،‬وله حق المتابعة والمطالبة القضاةية‬
‫والسير في إجراءاتها حتى مراحلهةا النهاةيةة أمةام جميةه المحةاكم داخةل دولةة اامةارات العربيةة المتحةد علةى‬
‫اختالف أنواعها ودرجاتها ابتـداةي واستةناف ونقض أو تمييز والقيام بكافة إجةراءات التقاضةي والةدفا فيهةا‪،‬‬
‫وتسةةليم واسةةتالم المةةذكرات والمسةةتندات وااللتماسةةات واانةةذارات واالعةةذارات وتقةةارير الخبةةراء وااعالنةةات‬
‫واأورا القضةةاةية والتبلي ة والتبل ة ‪ ،‬والحضةةور أمةةام جميةةه دواةةةر التحقيةةق والتنفيةةذ والكتةةاب العةةدل وجميةةه‬
‫الةةدواةر الرسةةمية والمراجةةه الوطنيةةة واأجنبيةةة فةةي الدولةةة واانكةةار وفةةي إقامةةة البينةةة والتصةةديق عليهةةا‬
‫واالعتراض على بينه الخصم‪ ،‬وله حق التدخل في أ دعوى مدعيا أو مةدعى عليةه أو منضةما فةي الةدعاوى‬
‫التةةي تمةة حقةةوقي وطلةةب إدخةةال الغيةةر وإقامةةة الةةدعوى المتقابلةةة وتبلةة اأحكةةام الغيابيةةة والتقريةةر بعمةةل‬
‫المعارضةةات ومباشةةر كافةةة الطةةر المقةةرر للطعةةن أو الةةت لم فةةي اأحكةةام والقةةرارات واأوامةةر بطريةةق‬
‫االستةناف والتما إعاد الن ر والتقرير بالنقض والتمييز والتنازل عن اأحكام كليةا أو جزةيةا والتنةازل عةن‬
‫أ من طر الطعن فيها والتوقيه على التسوية والصلو والتنازل وفقا لرأيه وقوله وااقرار بالحقو والتنازل‬
‫عنها والسداد نيابة عن الشركة وتقةديم العةرض الحقيقةي وقبولةه وسةحب صةور ااحكةام وتنفةـيذها وفةي طلةب‬
‫الحجز التنفيذ وبيه المحجوزات والح ب وتقةديم إشةكاالت التنفيةذ والحجةز التحف ةي وتثبيتةه وإلغاةةه وبكافةة‬
‫االمور الوارد فى الماد ‪ 61‬من قانون االجراءات المدنية‬
‫دفه اايجارات والرسوم والغرامات وبدالت االستهالو وأثمان البضاةه الخاصة بالمنشأ وصرف بواقيها‬

‫تعيين مو في المنشأ وعمالها والمستشارين والتعاقد معهم وتسديد أجورهم ودفعها وااشةراف والمنةا ر‬
‫على سير أعمالهم وإنهاء خدماتهم وغير ذلو من أعمال اادار دون حصر‪.‬‬

‫استخراج بطاقةات المةو فين والعمةال وإقةامتهم وتجديةدها وإلغاةهةا وتجديةد الةرخص وإلغاةهةا وشةراء وتسةجيل‬
‫السيارات باسم الشركة وتجديد تراخيص سيارات المنشأ وتأجيرها ومالحقتها‪ ،‬ودفه الرسوم المقرر وصرف‬
‫بواقيها‪.‬‬
‫التصةةةرف بممتلكةةةات المنشةةةأ ومنقوالتهةةةا وسةةةياراتها بكافةةةة أوجةةةه التصةةةرف الشةةةراء والبيةةةه ونقةةةل ملكيتهةةةا‬
‫سواء السمه أو السم الغير‪.‬‬
‫شةةةةةةراء وبيةةةةةةه وتنةةةةةةازل وتجديةةةةةةد وتسةةةةةةجيل المركبةةةةةةات لةةةةةةدى إدار المةةةةةةرور و‪/‬او هيةةةةةةةة الطةةةةةةر‬
‫والمواصةةةةالت (‪ )RTA‬والتوقيةةةةه علةةةةى عقةةةةود الشةةةةراء وتوكيةةةةل السةةةةاةقين لقيةةةةادات السةةةةيارات وعةةةةزلهم‬
‫وتعيةةةين مةةةدققي الحسةةةابات والمحكمةةةين وعةةةزلهم وتحديةةةد اتعةةةابهم وكةةةذلو تسةةةديد الةةةديون وتحصةةةيل‬
‫الحقةةةةو والةةةةديون والعمةةةةوالت والتعويضةةةةات المسةةةةتحقة بذمةةةةة الغيةةةةر شةةةةراء وتسةةةةجيل العالمةةةةات‬
‫التجاريةةةةة لةةةةدى وزار االقتصةةةةاد ومتابعتهةةةةا واالسةةةةتعالم عنهةةةةا وتقةةةةديم الطلبةةةةات لةةةةديها والتوقيةةةةه‬
‫عليهةةةا واسةةةتالمها والتنةةةازل عنهةةةا السةةةمه او السةةةم الغيةةةر والتوقيةةةه علةةةى عقةةةود البيةةةه والتنةةةازل وكافةةةة‬
‫االورا والعقود والمستندات‪.‬‬

 ‫أن يقوم بشراء أية أعمال تجارية أو أصول أو بضاةه علي الحساب‪.‬‬

‫أن يقوم بتعيين أو إلغاء المحاميين وأن يرفه أو يدفه أية دعاوى أمام كافة محاكم الدولة بمختلف درجاتها‬

‫ان يقوم بشراء او بيه ا مركبات وتسجيلها لدى الدواةر المختص بها او ترهين ‪ /‬توديه مركبات‪ /‬المخزونان‬
‫‪ /‬أثاثات والموجودات اأخرى للشركة لألطراف اأخرى و‪/‬او البنوو‪.‬‬
‫ان يمثل أمام كافة الوزارات والسلطات المحلية لتأسي هذه الشركة وأن يقوم بأ عمل يرتبط بهذا الشأن‪.‬‬

‫أن يقوم بالتوقيه علي كافة العطاءات و العقود والمستندات و اايصاالت ذات الصفة المالية أو التجارية نيابةة‬
‫عن الشركة‪.‬‬

‫أن يعتمد ويصاد علي كل السندات للدفاتر الحسابية ولدفه كافة المصروفات‪.‬‬

‫ولهمةةةا الحةةةق تسةةةجيل الشةةةركة لةةةدى الهيةةةةة االتحاديةةةة للضةةةراةب – وزار الماليةةةة‪ -‬وتحةةةديث البيانةةةات حةةةين‬
‫الطلةةةب‪ ،‬وتقةةةديم ااقةةةرار الضةةةريبي وسةةةداد المسةةةتحقات الضةةةريبية وطلبةةةات السةةةداد علةةةى الةةةدفعات ولةةةه‬
‫حةةةق االعتةةةراض علةةةي قةةةرارات الهيةةةةة االتحاديةةةة للضةةةراةب بالسةةةبل القانونيةةةة – ان لةةةزم االمةةةر‪ .‬وطلةةةب‬
‫إعةةةةةاد الن ةةةةةر فةةةةةي الضةةةةةريبية المسةةةةةتحقة وتمثيةةةةةل الشةةةةةركة لةةةةةدى لجةةةةةان فةةةةةض المنازعةةةةةات الضةةةةةريبية‬
‫واسةةةةترجا الضةةةةراةب او المبةةةةال المدفوعةةةةة لةةةةدى الهيةةةةةة – ان لةةةةزم االمةةةةر‪ .‬ولةةةةه حةةةةق تعيةةةةين المةةةةدققين‬
‫الحسا بيين وتفويضهم بتمثيل الشركة امام الهيةة االتحادية للضراةب‪.‬‬

‫المةةديرين االداري ةين مفةةوض بصةةالحية التوقيةةه نيابةةة عةةن الشةةركة ولةةه كةةذلو مطلةةق الصةةالحية فةةي ممارسةةة‬
‫سلطات مجل االدار ‪.‬‬

‫يقوم المديرين االداريين بوضه الن م المتعلقة بإدار الشركة عموما وأمورها المالية‬

‫أن يحيال كل أو أ من هذه السلطات إلى أ شخص آخر او البنوو‪( .‬منفرديك او مجتمعيك)‪.‬‬

‫أو بنةاءا علةى طلةب أ مةن‬ ‫المجلة‬ ‫على مجل اادار عقد اجتماعاته في دبي بناءا علةى دعةو مةن رةةي‬
‫أعضاء مجل إدار الشركة‪.‬‬

‫ومكمال له ويقرأ ويفسر معه‪.‬‬ ‫راتعا‪ :‬يعتبر هذا الملحق جزء ال يتجزأ من عقد التأسي‬

‫حرر هذا الملح ق وتم التوقيه عليه من قبل اطرافه‪ ،‬وأعطى كل طرف نسخة منه‪ ،‬وتود نسةخة لةدى الكاتةب‬
‫العدل لغا يات التوثيق‪ ،‬وتكون النسخ اأخرى أغراض التسجيل وفقا لما يقتضيه قانون الشركات‪.‬‬

The Civil Company has been established by virtue of a Professional License issued by DED
License No: (1088255) under the trade name “AVALON CAPITAL MARKETING
MANAGEMENT – CIVIL COMPANY” have a memorandum of association certified by the
Electronic eNotary under No. (228151/1/2022) dated on 10/08/2022.
After they made amendment of Memorandum of Association certified by the Electronic
eNotary under No. (271000/1/2023) dated on 03/05/2023.

Whereas the Partners wishes to change the trade and to modify as follows:

The Managing Directors shall have all of the powers necessary for the management of the
company and signing on its behalf and carrying out all acts required by its objects. The powers
of Managing Director include the following:- (Singly or Jointly)

To represent the company to sign in all matters and affairs relating to the day to day business
and operation and any matters before all the local Authorities, Government and non-

Government Departments, Ministries, Airport, Sea port, Municipality, Commercial Registration,
Department of Economic Development, Notary Public, All Courts in UAE, Police, Immigration
Department, General Director of Residency and Foreigners Affairs Ministry of Labor (Ministry
of Human Resources & Emiratisation), Chamber of Commerce, Civil Defense, Traffic
Departments, Roads & Transport Authority (RTA), Consulates and Embassies, Free Zones
Authorities, Ministry of Health, Ports and Customs, (Air, Sea, Land and border post) Courts,
Public Prosecution, Post Office, Petroleum Department, Ministry of Economy, Ministry of
Finance, Federal Tax Authority, Ministry of Industry and Economic, Etisalat, Du, Ministry of
Labor and Social Affairs, Department of Immigration and naturalization, Land Department,
Water and Electricity Authority, Nakheel Properties, Tamweel, Banks and all other departments
and International Airports and Sea Ports, the companies, Non-Government Organizations,
Establishments or other businesses and sign all documents, papers and contracts with or
before them.

Open and close bank accounts in the name of the Company with any banks in UAE; to
manage such accounts by withdrawing and depositing monies; to issue, sign, endorse, accept
and pay cheques; to settle any liabilities for the company’s activities as required by any
finance companies and banks in the UAE; to transfer the workers’ and employees’ salaries to
banks; to make bank transfers with all UAE banks and conduct all other financial transactions.
(Singly or Jointly)
To file complaints, to follow and assign the same after receiving their values; to appoint and
remove lawyers; to file and defend any suits and to represent the Company in any case
whether filed by or against the Company in litigation with any third party before courts of the
UAE. The Managing Director may represent the Company before Police Stations and Public
Prosecution; to attend investigations and submit affidavits and statements; submit legal claims
and follow the procedures till the final stages before all courts of different types and degrees
in the UAE including Court of First Instance, Appeal Court, and Cassation Court, and to take all
litigation and defense actions. The Managing Director may deliver and receive memorandums,
pleadings, documents, pleas, warnings, experts’ reports, declarations and summons; to attend
before all investigation and execution departments in addition to the notary public and all
official departments and national and foreign authorities in the UAE; to adduce, approve or
object on the evidences submitted by other litigants, enter any lawsuit in his capacity as
plaintiff or defendant or joint litigant in respect of cases concerning my rights and interests; to
request for introducing third parties and file counter cases; to receive judgments in absentia
and submit objections and take all necessary actions for appeal and protests regarding all
judgments, decisions, and orders through appeal and cassation and to waive judgments fully
or partially; and to waive any method of appeal; to sign settlement agreements as per his
opinion, say and act; to approve the claimed rights, and assign the same; to pay amounts in
behalf of the company; to submit real offers and accept the same; to apply for photocopies of
judgments and execute the same; to apply for executive attachments; to sell confiscated items
and apply for imprisonment; to submit execution grievance; to apply for provisional
attachment and cancel the same and all the matters mentioned in the article 61 of Civil
Proceedings Law.

To pay rents, fees, penalties, bills, and prices of the goods related to the Establishment and to
receive the remaining balances.

To appoint the Establishment’s employees, workers and consultants; to conclude employment

contracts with them, to define their salaries and pay the same, to supervise their work, and to
terminate their services, and make all administrative actions without limitation.

To issue labor cards and employment visas for the employees and workers, and to renew and
cancel the same; to renew the trade license and vehicles registrations cards, and to renew and
cancel the same, and to pay the fees and receive the remaining balance of the same.

To dispose of the Establishment’s properties, movable properties and vehicles and to dispose
of the same including sale, purchase and transferring the same to his name or to the name of
third parties.

To buy, sell, transfer, renew vehicles and register the same with Traffic Departments and/or
RTA; to sign purchase agreements; to authorize drivers to drive vehicles and dismiss the
same; to appoint and dismiss auditors and arbitrators, to define their fees and remuneration;
to pay debts and collect rights, debts commissions and due indemnities; to buy and register
trademarks with Ministry of Economy and follow-up procedures and inquire about the same; to
submit, sign and receive applications. To assign the same to his name or to third parties; to
sign sale and assignment contracts and all papers, documents and contracts required in this
regard.

To purchase any business, assets or goods on credit.

To appoint or remove Advocates, lawyers and to file or defend any suits before all U.A.E.
Courts at all levels.

To buy or sell any vehicles and register the same with the concerned Departments or to
mortgage / hypothecate vehicles/ stock / furniture and other assets of the company to other
parties and/or bank.

To represent before all the Ministries and local authorities for establishing this company and
do any other work in connection therewith.

To sign all tenders, contracts, documents or receipts of financial or commercial nature on

behalf of the company.

To authorize and sanction all the vouchers for books of account and payment of all expenses.

They have the right to register the company before the Federal Tax Authority – Ministry of
Finance; to update the information accordingly; to submit the tax returns, pay due taxes and
make tax payment requests. He has the right to object Federal Tax Authority’s decisions by
legal ways, if necessary; request reconsideration of imposed taxes; to represent the company
before the Tax dispute resolution committees; to refund taxes and amounts paid at the
Authority- if necessary. He has the right to appoint auditors and to authorize them to
represent the company before the Federal Tax Authority.

The Managing Directors is authorized to sign on behalf of the company and fully authorized to
exercise all of the powers of the Board of Director.

The Managing Directors shall draw up regulation relating to the administrative and financial
matters.

To sub-delegate all or any of these powers to any other person or banks. (Singly or Jointly)

The Board of Directors shall convene its meeting in Dubai at the invitation of the Chairman or
request of any member of the Board of Directors of the company.

Fourthly: This amendment shall form an integral part of the Memorandum of Association and
shall be read and interpreted with it.

The addendum has been made and signed by its parties. One copy is given to each party and
one copy to be lodged with the Notary Public. The other copies for registration purposes as
required under the Commercial Companies Law.

All the parties have agreed on this amendment and singed hereunder before the Notary
Public.
